For

International Oil Shale ExploitationBid Round 2011

TheMinistry of Petroleum and Mineral Resources and The General Establishment of Geology and Mineral Resources (GEGMR) invite international qualified and interested companieshaving the technical and financial capabilities for an International Bid Round to develop and exploitoil shale deposits and mining operations in Al-Khanaser area,100 km south east of Aleppo.

1.Tender Book includes:

  • Technical Part.
  • Basic Contractual and Commercial Conditions.
  • Draft PSC Model Agreement (will be mutually agreed upon in its final form with the winning Bidder).

2.Bidders may submit their offers for oneor more than one blocks of the (14)blocks(separate offer for eachblock is required), taking into consideration the ability to sign one contract or more with the successful bidder.

3.Startingfrom1/7/ 2011,interested companies can contact The General Establishment of Geology and Mineral Resourcestoobtain the Tender Book against an amount ofthreethousand US Dollar($3,000)onlyto the order of The General Establishment of Geology and Mineral Resources (GEGMR) at:

- Interested Bidders shall submit their bids in three (3) sealed envelopes: A, B,C all togetherto be put in a forth sealed envelope, at the Closing Date of 30 /11 /2011 as follows:

SEALED ENVELOPE (A) contains qualification documents:

Allfinancial and technical qualification documents are according to enclosed application form as the flowing:

1.A bid bond in amount of US Dollar $ 5,000(fivethousand US Dollar) for each Block, exclusively in the name of the qualified bidder, issued by a Syrian bank in favor of The General Establishment of Geology and Mineral Resources (GEGMR)and valid for at least six months from the date of the closing date and extensible for a further period, if required, anditshould be issued before the closing date.

-This Bid Bondwill be returned back to thebidderin case his offer is not accepted.

Notes:

  • In case the bid is submitted by a consortium (more than one company), the consortium should identify one company, which should bea qualified one,as the operator of the Contract and the bid bond submitted under itsname, and all companies comprising the consortium shall be jointly and severally liable for the performance of operator of the Contractby submitting a guarantee letter.
  • All the above mentioned documents should be titled andstamped by the qualified Bidder.

GEGMRshall confiscate the Bid Bond guarantee amount without any legal procedure, in the following cases:

(a) The bidder withdrew before the announcement of the bid results.

(b)The successful bidder withdrew or failed to provide GEGMRwith the necessary documents required (including the Performance Guarantee) before the final signature date of the contract which will be determined byGEGMR.

SEALED ENVELOPE (B)containsthe Technical Offer:

According to the basic information mentioned in the Technical Part of the Tender Book, Bidder submitspreliminary information about:

-Proposed work program and budget for the Exploration Stage.

-Implementation Plan.

-New technologies and studies to be applied to achieve his commitments during the Exploration Stage.

SEALED ENVELOPE (C) containsthe Commercial Offer:

  • Bidders submit their offers according to the form of the Basic Contractual and Commercial Conditions of the Tender Book.
  • Bidders submit their clear commitments to the main provisions and articles of thedraft Production Sharing Model Agreement.

The envelope (B)should not be opened unless this company is qualified according to the Tender Book and the needed document.

Envelope “(C)” should not be opened unless envelope (B) is approved.

All envelopes should be titled:

“CONFIDENTIAL”

Offer(s) shall be disregarded if:

-The bidder does not submitthe full amount of the bid bondwithin the determined deadline exclusivelyin the name of the qualified bidder.

-The bidder submitted his offer and bid bond after the Closing Datestated in this announcement.

-Ministry of Petroleum & Mineral Resources shall have the right to reject any offer without giving reasons.

- Each offer is considered valid forsix (12) months starting from the day that follows the closing date.

-All interestedbidders should submit their tenders by the Closing Date stated in this announcement without having the right of extension.

-The successful bidder should submit the following documents (in both English and Arabic languages):

­Articlesof Incorporation of the Bidder.

­The Commercial Registration of the Bidder(s).

­All documents that prove the Bidder's legal existence.

­The Bidder's company(ies) shareholders and their nationalities.

­The power of attorney, (the original copy), of the Contractor’s representative, who isauthorized to sign the Production Sharing Agreement (PSA).Such valid power of attorney will be submitted directly before the final signature and upon GEGMRnotification.

­All submitted documents should be notarized, authenticated and legalized by the competent authorities and the Syrian Embassy or the Consulate General of the S.A.R. in the Contractor’s country(ies) of origin and the Ministry of Foreign Affairs in Syria.
