SBC Communications Inc. (“SBC”) and BellSouth Corporation (“BellSouth”) have filed applications pursuant to Sections 214 and 310(d) of the Communications Act of 1934, as amended, 47 U.S.C. §§214, 310(d), seeking Commission approval to transfer control of or assign to an SBC/BellSouth joint venture, Alloy LLC (“Newco”), licenses and authorizations currently controlled by subsidiaries and affiliates of either SBC or BellSouth. As listed below, these applications pertain to licenses for the Experimental Radio Service, Cellular Radiotelephone Service, Personal Communications Services, Private Land Mobile Radio Services, Specialized Mobile Radio Service (“SMR”) and Fixed Microwave Services, as well as international Section 214 authorizations.

Request for Waiver of Spectrum Aggregation Limit

The applicants state that the transaction will create certain overlaps in violation of the Commission’s cellular cross-ownership restriction or spectrum aggregation limits (“spectrum cap”) and have committed to divest in conformance with the Commission’s rules. With respect to the Los Angeles MTA, the applicants request a waiver of the spectrum cap until January 27, 2001.

Final action will not be taken on these applications earlier than 31 days following the date of this Public Notice. See 47 U.S.C. § 309(b). Interested parties may file comments or petitions to deny no later than June 19, 2000. Replies to such pleadings may be filed no later than June


29, 2000. All filings concerning matters referenced in this Public Notice should refer to DA 00-1120 and WT Docket No. 00-81, as well as the specific file numbers of the individual applications or other matters to which the filings pertain.

GENERAL INFORMATION

The transfer of control and assignment applications referenced herein have been found, upon initial review, to be acceptable for filing.
