The HEIF Collaborative R&D fund at the University of Sheffield has awarded funding to the above titled project attached as Annex 1 to [Principal Investigator Name] of the Department of [name] at the University of Sheffield (“the Project Lead”). The project involves commitment and collaboration from [Company Name] (“the Project Partner”). Each is hereafter referred to as a Party and together the Parties.

The funding will be administered by the Project Lead and any costs incurred by the Project Partner will be borne by the Project Partner. The Parties will co-operate to perform the project (the “Project”).

The Project start date is [date] and the Project will run until [date], contingent on the Project starting as described in the proposal.

The Project Partner shall perform the tasks envisaged in the Project proposal as submitted in their application, or as may be agreed between the Parties. A copy of the original proposal is attached to this letter agreement at Annex 1.

All intellectual property and know how generated in the course of the Project (“Arising IP”) shall belong to the Project Lead. The Project Lead hereby grants to the Project Partner a licence to use its Arising IP only for the Project and non-commercial research purposes. All outputs of the Project are available for non-commercial research purposes by each of the Parties and in on-line research archives. In the case of the Project Lead the outputs may also be used for teaching purposes. Should the Project Partner require additional use of or access to the Arising IP then the terms of such use or access shall be subject to separate negotiation and agreement between the Parties.

Project Lead shall be free to publish academic papers based on the Project and shall supply a copy of any such papers to Project Partner for their information.

In carrying out the Project, the Parties may disclose information to each other that is confidential in nature (“Confidential Information”). The disclosing Party shall ensure that the other Party is made aware, either verbally or in writing, when the information shared should be considered Confidential Information and the receiving Party agrees to keep such Confidential Information secret, treating it as they would their own Confidential Information.
