CORPORATE CREDIT CARD APPLICATION INSTRUCTIONS

Please follow these instructions for prompt issuance of a credit card:

1.Complete the attached application with the exception of the clock number and vendor # which I will get. Provide G/L codes, i.e. 66-000, to set default account codes.

2.In the Word document the cardholder will type his/her name instead of signing their name.

3.The cardholder will forward the email with attachments to their manager with a statement indicating acceptance of the terms provided in the word document to use the credit card.

4.The manager will forward the attachments to the unit manager/department head indicating their approval to issue a Wells Fargo MasterCard.

5. The unit manager/department head will forward the attachments to ndicating their approval to issue a card.

6.I will order the card upon receipt of the unit manager/department head’s email approving the card.

CORPORATE BUSINESS CARD AGREEMENT

The following is the Agreement between Leggett & Platt, Incorporated and you, the cardholder / employee, covering your Wells Fargo Business Card (herein referred to as the “Card”) and your business card account with the Company. By applying for, signing, or using the Card or account, or signing this Agreement, you will be bound by this Agreement.

1. Definitions. The words “you”, or “your” mean the person named on the Card issued to you by Wells Fargo (“the Bank”). The words “we”, “our”, “us”, and “the Company”, mean Leggett & Platt, Incorporated.

2. Business Card. The Card issued to you is for use in connection with an account opened at the joint request of you and the Company.

3. Use of Account. You are authorized to use your account for the purchase of goods and services FOR BUSINESS PURPOSES ONLY. Corporatepolicy mandates the use of this card only for business expenses. Further use of personal credit cards for business purposes is not allowed except in emergency situations.

Enhanced data passed from the participating airline reservation systems and hotel chains to MasterCard will provide detailed information to Leggett & Platt pertaining to travel & entertainment transactions, including but not limited to a breakdown of hotel folio charges, passenger names and additional legs of travel. Primarily due to privacy concerns, MasterCard and participating T&E vendors require that a disclosure be provided to all cardholders whose transaction information will be provided to Leggett & Platt as part of the company-sponsored program.

4. Credit Line. You will be advised of the credit line applicable to your account. You promise not to allow your outstanding balance to exceed your credit line. To request an increase in your credit line, obtain the approval of your supervisor and contact the Program Administrator in the Corporate Finance Department.

5. NO CASH ADVANCES ARE PERMITTED.

6. NO PERSONAL USE OF THE CARD IS PERMITTED.

7. Billing Statements. You will receive a final billing statement on the 9th of every month electronically. You must reconcile your statement, approve and forward it to your approver by the 16th of every month.

8. Use of the Business Card. You may not authorize any other person to use your Card, or account, for purchases, identification, or for any other reasons. If you have allowed someone else to use the card, or if you have voluntarily relinquished physical possession of the Card to some other person, you will be liable for all purchases incurred by that person to the extent allowed by applicable law. You agree that you will not resell or return for a cash refund any goods, tickets, or services obtained with the Card.

  1. Problem with Goods and Services. If you have any questions, problems, or

disputes concerning the billing statement, please contact the merchant immediately to dispute any erroneous charge. In addition, you MUST notify the Bank within 60 DAYS of the billing date and the Bank will take all reasonable and appropriate steps to provide the information you request, or to solve the dispute. However, unless required by law, the Bank is not responsible for any problem you have with any goods or services you charge on the Card. If you have a dispute with a merchant honoring the Card, you must settle the dispute directly with the merchant.

10. Cancellation. We can cancel your account, refuse to allow further transactions, or revoke your Card at any time, for any reason.

11. Lost or Stolen Card. You agree to notify the Bank immediately if the Card is lost or stolen, or if you suspect it is being used without your permission. The 24-hour

Customer Service phone number is: 800–932-0036. Also, it is imperative that

you also report this to the Program Administrator in the Corporate Finance Department.

12. Foreign Exchange. If you make a purchase in a foreign currency, MasterCard will

convert it into U.S. dollars using the procedures set forth in its Operating Regulations in effect at the time the transaction is processed. Currently, those Regulations provide that the currency conversion rate to be used is either a Wholesale market rate, or a government mandated rate in effect one day prior to the processing date, increased by one percent. The currency conversion rate in effect on the processing date may differ from the rate in effect on the transaction date, or the posting date. The currency conversion rate used may be the same as, greater than, or less than the amount that would be calculated by conversion through a financial institution in the country in which the purchase occurred.

13. Enforcement and Discipline. In the event your use of the card is inappropriate or in violation of this Agreement or Company policy, you will be subject to corrective action including cancellation of your card, and may be subject to discipline up to and including discharge.

14. Return of Card. Upon termination of your employment, cancellation of your card or at the request from the Company, you agree to immediately return the card to the Company and agree to be personally liable for any charges on the Card subsequent to termination, cancellation or request for return of your Card.
