12. Nomination of vessel:

  1. The Owner/Agent/Ship Broker shall nominatea “Suitable Performing Vessel”to BCICwith copy to MUNTAJATat least five (05) days prior to the first day of laycan.Owner/Agent/Ship Broker, in its written nomination of the vessel, shall furnish at least the following vessel details to enable MUNTAJAT,QATAR to evaluate the suitability of the Vessel according to acceptance criteria:

Vessel should be Free of Central line Bulk Head and free of Inner Beams which should be suitable to load BaggedUrea. At time of nomination, Owner/ Disponent Owner also to provide a completed Muntajat Questionnaire for Dry Cargo Vessels (as per Annex C attached).

  1. Bidder will submit a copy of the C/P or terms and conditions of fixation of the vessel while nominating a vessel which must include full details of the shipowners (Name of Owners, PIC, phone no, e-mail address) & also clearly showing terms of payment.
  2. Vessel will be fixed with head owners or disponent owners of the vessel. In case vessel fixed with a disponent owner then the bidder must provide the charter party chain of the vessel at the time of nomination of the vessel and the bidder will also remain responsible and liable for the performance of the disponent owners of the C/P chain

  1. Vessel should be fixed with head owner or disponent owner in the name of the bidder and a proof thereof to be submitted.
  2. Bidder will ensure payment of freight, dead freight and demurrage to the owner or disponent owner as per terms and condition of theC/P signed between BCIC & the successful bidder. Any failure in payment of freight by the bidder will be treated as breach of the C/P and BCIC shall have the right to payment of freight directly to the ship owner or the disponent owners without any notification to the bidder.Ifthe freight agreed between bidder and BCIC do not cover the freight agreed by the bidder with the ship owner, then BCIC have the right to realize any excess freight from bidder's performance guarantee or from any other contract with the same bidder.
  3. IT MAY BE MENTIONED THAT PRICE OF THE COMMODITY (UREA) IS FIXED ON THE BASIS OF LAYCAN. DUE TO FAILURE TO NOMINATE VESSEL AS PER LAYCAN IF THE PRICE OF THE COMMODITY INCREASES, THEN THEADDITIONAL INVOLVEMENT FOR INCREASE OF PRICE WILL BE ON OWNER/ AGENT/SHIP BROKER ACCOUNT & TO BE REALIZED ACCORDINGLY.

g) VOYAGE TIME: Vessel must reach at discharge port within 20 (Twenty) days from the sailing date.

13. AGE:

VESSEL AGE SHOULD NOT EXCEED 25 (TWENTY FIVE) YEARS PROVIDED THE VESSEL IS APPROVED BY INSURER SADHARAN BIMA CORPORATION (SBC, DHAKA, BANGLADESH) PRIOR TO SHIPMENT. SBC NORMALLY CHARGED HIGHER RATE OF PREMIUM FOR THE VESSELS WHOSE AGE IS OVER 20 (TWENTY) YEARS. SBC ALLOWS & CONCESSION IN PREMIUM FOR SHIPMENT OF CARGO UP TO 20 YEARS OF AGE AND CLASSED BY A CLASSIFIED ASSOCIATION/SOCIETY.OTHERWISE, ADDITIONAL PREMIUM, UNCLASSED OAP/AP OR ANY OTHER EXTRA CHARGES IMPOSED BY SBC WILL HAVE TO BE BORNE BY THE OWNERS/AGENT/SHIP BROKER.

14. FLAG: EXCLUDING ISRAEL.

15. Arrival Condition of Vessel. Owner/Agent/Ship Broker shall be solely responsible for the cleaning of the vessel’s hold before loading (including, without any limitations, ensuring that the hold is dry and free of rust scaling) in order for the vessel to be fit and ready to load and to carry the specified

cargo. Seller shall have the right to reject the NOR should the above conditions not be met. Additional time for cleaning and for discharge of resulting liquids and waste materials shall be included in calculation of laytime and, if allowable laytime is exceeded, Owner/Agent/Ship Broker shall be responsible for all demurrage incurred therefor.

16. Holds Inspection. If on inspection, the independent surveyor rejects the vessel due to insufficient cleanliness, Owner/Agent/Ship Broker shall be responsible for arranging further cleaning in accordance with any reasonable recommendations of the independent surveyor. Expenses pertaining to first inspection only will be borne by Seller, and any subsequent holds inspection shall be for the account of Owner/Agent/Ship Broker. Holds inspections shall be carried out in daylight only. All time lost from berthing till acceptance by surveyor, including waitingfor daylight will beexcluded from laytime. If berth isoccupied with

another vessel, holds inspection can be carried out at F/Anchorage. Vessel’s agent should coordinate with master, surveyor and seller, arrange necessary transportation (boat) for surveyor to attend the ship at anchorage and return. All expenses pertaining to transport arrangement will be for the account of Owner/Agent/Ship Broker.

17. ETA and NOR Specific Requirements. Owner/Agent/Ship Broker shall give 7/5/3/2/1 day ETA notice to Seller (QATAR CHEMICAL & PETROCHEMICAL MARKETING & DISTRIBUTION COMPANY (MUNTAJAT), Q.J.S.C, DOHA, QATARTEL:+97440132574, FAX:+97440133682.

NOR shall be tendered from Mesaieed Freighter Anchorage during office hours (from 07.00HR to 15.00 HRS, from Sunday till Friday).

a)If NOR is tendered before 10.00 hrs, laytime will commence at 13.00 hrs on the same day, provided the cargo holds are passed by independent surveyor appointed by Seller (with Buyer’s consent); otherwise upon passing holds inspection.

b)If NOR is tendered after 10.00 hrs, laytime will commence at 08.00 hrs on the next working day provided the cargo holds are passed by independent surveyor appointed by Seller (with Buyer’s consent); otherwise upon passing holds inspection.

If holds inspection is failed by independent surveyor, vessel must re-tender NOR within the laydays and all previous NOR(s) shall be deemed null and void. Nevertheless, in case the vessel holds are passed after the agreed laydays, laytime to count only upon actual commencement of loading.

18. Inaccessible Area of Vessel. No cargo to be loaded into deep-tanks or places not easily accessible, unless with Seller’s consent, in which case any extra costs and additional time incurred for loading/ stowage shall be borne by Owner/Agent/Ship Broker

19. Loading Berths. Cargo will be loaded from one safe berth for each grade, being, Prilled Urea at Berth No.1, bagged urea at Berth No.2 and granular urea at Berth No.3 and /or Berth No.4. All shifting charges (i.e. tug charges, pilotage etc.) and waiting time for shifting from one berth to another (unless berth is occupied with another vessel) for loading different grades of cargoes are for the account of Owner/Agent/Ship Broker and time spent shall not count as laytime.

20. Expenses During Loading.

a)Port charges, quay / berth dues and harbor dues, weight and tonnage dues and similar dues on vessel according to port tariff shall be for the account of Owner/Agent/Ship Broker

b)Opening and closing of hatches shall be arranged by Owner/Agent/Ship Broker at its expense.

c)Overtime shall be for the account of the Party ordering same, however the crew’s and officer’s overtime shall always be for the account of Owner/Agent/Ship Broker.

21. Hatch Opening.

Minimum opening of vessel’s hatches to be 7.5 x 2.5 meters. Length Over All (LOA): 240/Meters - Maximum displacement Allowed: 87200 Tons Maximum Air Draft: 13 meters

22. Loading Rate & Terms.

22.1

a)For Prilled Urea in bulk – 6,000 MT per weather working day (“PWWD”) of 24 consecutive hour;

b)For Granular Urea in bulk – 6,000 MT PWWD of 24 consecutive hours; and

c)For Bagged Urea Prilled/Granular– 1700 MT PWWD of 24 consecutive hours.

d)Combined Urea in Bulk Prilled/Granular-6,000 MT PWWD of 24 consecutive hours.

22.2

Loading shall be on FHEX EIU which means Friday Holiday Excluded, Even if Used. Under this term, weekend commences at 12.00 HRS on Friday until 07.00 HRS on Sunday i.e., time used for loading during weekend and local or legal holidays shall always be excluded from laytime. Sundays shall count as a normal working day.

If a local or legal holiday precedes the weekend, time from 17.00 HRS on the previous working day until 08.00 HRS on the next working day is excluded and no time shall count even if used.

If the vessel arrives outside laycan, laytime shall commence upon commencement of loading.

If loading commences prior to actual layday, half such time worked to count as laytime.

23. Bill of Lading. Master willsign and release clean (bills) of lading to seller. B/L must be marked “FREIGHT PREPAID”and released to sellerPRIOR SAIL THE VESSEL. Owner/disponent owner shall be liable for interest and/or other expenses / consequences as may result from the delay in receipt of B/L.

26. Humidity – Bad Weather.

Weather working days exclude high humidity days. If humidity level reaches 74%, loading shall be stopped and laytime shall be interrupted until humidity levels falls below 74%. Any loading stoppages due to rain or strong and heavy wind, fog, sea swells or sandstorms are excluded from laytime. This clause is applicable irrespective of commencement of loading or berth occupied with another vessel WIBON, WCCON, WIFPON, WIPON.

27. Agents.Seller shall recommend the agent at the loading port.

28. Demurrage/Despatch at load port (Max.USD 6000/USD 3000)

a)Seller shall pay demurrage that shall be mutually agreed between the Seller and Owner/Agent/Ship Broker for all time lost and Owner or Charterer shall pay Seller despatch at half the rate of demurrage for all time saved, within 30 (Thirty) daysafter submission of a claim.

b) AFTER FINALISATION OF DEMURRAGE AMOUNT WITH THE SELLER OF CARGO, OWNER/ DISPONENT OWNER/AGENT/SHIP BROKER MUST SETTLE THE ISSUE DIRECTLY WITH THE SELLER OF CARGO.

c)AFTER FINALISATION OF DESPATCH AMOUNT WITH THE SELLER OF CARGO, OWNER/ DISPONENT OWNER/AGENT/SHIP BROKER MUST ARRANGE PAYMENT OF THE SAME TO THE SELLER OF CARGO WITHIN 30 (THIRTY) DAYS AFTER SUBMISSION OF CLAIM.

d)IF PAYMENT IS NOT MADE WITHIN STIPULATED TIME, THE CHARTERER BCIC MAY INSTRUCT THE FREIGHT L/C OPENING BANK TO SEND THE AMOUNT TO SELLER, M/S. f)DISCHARGE RATE AT DISCHARGEPORT: Successful bidder must discharge bagged cargo at the rate of Minimum 1500 MT/PWWD.

29.Shifting. If Seller issues an order and/or instruction to shift the vessel to Anchorage or a new berth due to any operational and/or technical reasons and/or port regulations and/or safety precautions during loading or to be kept at Anchorage before commencement of loading, the working time lost will be counted as laytime consumed. All expenses pertaining to shifting and re-berthing due to the above reasons and instruction from the Seller shall be borne by Seller.

30. (a)DELIVERY OF CARGO:THE QUANTITY OF CARGO AS PER BILL OF LADING SHALL BE DELIVERED AT THE PORT OF DISCHARGE BY THE MASTER/CHIEF OFFICER OF THE SHIP ON BEHALF OF THE OWNERS AND RECEIVED BY THE REPRESENTATIVE OF THE CHARTERER I.E. CARRYING CONTRACTOR(S) IN PRESENCE OF C&F AGENT AND SURVEYOR APPOINTED BY THE CHARTERER CARGO QUANTITY TO BE ASCERTAINED BY THE NUMBER OF BAGS AS PER BILLS OF LADING AND OWNERS/ MASTER/VESSEL SHALL BE RESPONSIBLE TO DELIVER THE NO. OF BAGS LOADED AS DESCRIBED IN THE BILLS OF LADING. DURING TRANSFER OF TITLE OF THE CARGO FINAL DISCHARGE REPORT (FDR) WILL BE PREPARED AND SIGNED BY THE MASTER/CHIEF OFFICER OF THE SHIP AND REPRESENTATIVES OF CHARTERER I.E. SURVEYOR AND C&F AGENT APPOINTED BY THE CHARTERER. JOINT TALLY MAY BE ARRANGED BY BOTH THE REPRESENTATIVE OF CHARTERERS AND OWNERS AND THE TOTAL OF THE TALLY AS SUCH WILL FORM THE FDR. FDR SO PREPARED WILL BE FINAL AND BINDING ON BOTH THE PARTIES. IN CASE OF DISAGREEMENT, THE DAILY TALLY REPORT WILL BE FINAL AND BINDING.

(b) UPON ARRIVAL OF CARGO AT DISCHARGING PORT IN BANGLADESH, DISCHARGE OF GOODS SHALL BE COMPLETED BY THE BIDDER. IF THE BIDDER FAILS TO DISCHARGE WHOLE CARGO AS PER CONTRACT SCHEDULE THEN BCIC WILL HAVE THE RIGHT TO ARRANGE DISCHARGE OF THE CARGO. ALL COSTS, CHARGES WHATSOEVER ARISING DUE TO BIDDERS FAILURE TO DISCHARGE THE CARGO AS PER CONTRACT SCHEDULE WILL BE DEDUCTED FROM THE FREIGHT L/C, CONCERN PERFORMANCE GURANTEE AND ANY OTHER BILLS OF THE BIDDER. THE BIDDER AGREES TO PAY SUCH COST WITHOUT ANY RESERVATION.

31. FREIGHT RATE:TENDERERS TO QUOTE FREIGHT RATE IN US DOLLAR, BASIS FREE IN / LINER OUT.

32. FREIGHT PAYMENT:

PAYMENT OF FREIGHT TO BE MADE BY IRREVOCABLE LETTER OF CREDIT IN US DOLLAR AS FOLLOWS:

INITIAL 80% FREIGHT TO BE PAID WITHIN 05 (FIVE) WORKING DAYS AFTER DISCHARGING OF 25%(TWENTY FIVE PERCENT) OF B/L QUANTITY AT DISCHARGING PORT.

BALANCE 20% (TWENTY PERCENT) FREIGHT TO BE PAID ON COMPLETION OF DISCHARGE AND RIGHT & TRUE DELIVERY OF CARGO I.E.
