INSTRUCTIONS:
1.PRICE-Ifnopriceisspecifiedherein,chargesshallnotexceedSupplier'sstandardpricefor merchandiseoflikequalityandquantity.
2.DISCOUNT-Discounttermsmustbestatedontheinvoice.Discountswillbecalculated fromthedatematerialortheinvoiceisreceivedwhicheverislater.
3.DELIVERY-TheDistrictreservestherighttocancelthisorderinwholeorinpartifany shipmentofmerchandisecoveredherebyisnotreceivedbythetimespecified.
4.QUANTITY-TheDistrict'scountwillbeacceptedasfinalandconclusiveonallshipments notaccompaniedbyapackinglist.Unlessexpresslyprovidedfortothecontraryonthefaceof thisorder,allshipmentsaretobemadeF.O.B.destination,andtheSellershallbearallcostfor cartage,boxing,orcontainersasrequired.
5.EARLYDELIVERY-GoodsshippedtotheDistrictinadvanceofdeliveryschedulesmay berejectedorreturnedattheSupplier'sexpense.
6.INVOICING-Invoices(induplicate,onemarkedORIGINAL)mustbemailedto AccountingServices,AdministrationBuilding,360ColbomeSt.,St.Paul,MN55102(unless otherwisespecified)thedayshipmentsaremade.Individualinvoiceswillbeissuedforeach shipmentandeachorder.
7.IDENTIFICATION-THEDISTRICT'SPURCHASEORDERNUMBERMUSTSHOW ONALLINVOICES,PACKINGLIST,ANDBILLSOFLADING.
8.SOCIALRESPONSIBILITY-TheDistricthasadaptedtheGlobalSullivanPrinciplesof SocialResponsibility.Wealsoencourageoursupplierstoadoptandfollowtheseprinciples.For furtherinformation,visit
CONDITIONS:
1.ACCEPTANCE-Thisorder,whenacceptedbytheSupplier,shallconstitutetheentire contractbetweenthebuyerandsellerasagreedtoandshallnotbealtered,amended, supplemented,orcancelledwithoutthewrittenapprovalofTheSt.PaulPublicSchools(lSD
#625)(referredtobelowasthe"District").EithertheSupplier'swrittenacceptanceofthisorder
ortheshipmentofanyconfirmingarticleorcommencementofperformancehereunder,shall constituteacceptanceofthiscontract,andnocontraryoradditionaltermsorconditionsshall apply.
2.CHANGES-TheDistrictmayfromtimetotime,bywritteninstructionsordrawingsissued
totheSupplier,makechanges,issueadditionalinstructions,requireadditionalwork,ordirectthe omissionofworkpreviouslyordered.Theprovisionsofthisagreementshallapplytoallsuch writtenmodifications.

3. ADDITIONS-Noextrawork,additions,oralterationswillbepaidforbytheDistrictunless performedpursuanttoandinaccordancewiththewrittenorderoftheDistrict.
4.CANCELLATIONS-TheDistrictmaycancelthisorderatanytime,givingnoticein writing.Anequitableadjustmentinpriceand/ordeliveryschedulewillbenegotiatedfor materialscompletedorinprocessatthetimeofthechange.
5.TERMINATIONFORDEFAULT-a)TheDistrictmaybynoticeinwritingdirectSellerto terminatethispurchaseorderorworkunderthispurchaseorderinwholeorinpartatanytime
forbreachofanyoneormoreofitsterms.b)IntheeventofSeller's defaulthereunder,the
Buyermayexerciseanyorallrightsaccruingtoit,bothatlawincludingthosesetforthinArticle
2oftheUniformCommercialCodeorinequity.c)Seller'sobligationsunderthewarranty, patentandconfidentiality provisionsofthispurchaseordershallsurvivesuchtermination.
6.WARRANTYANDINSPECTION-Allarticlessoldandmaterialsandworkapplied hereundershallbeofgoodqualityandfreefromanydefectsandshallatalltimesbesubjectto inspectionandrejection;butneithertheDistrict's inspectionnorfailuretoinspectorrejectshall relievetheSupplierofanyobligationshereunder.Suchinspectionshallnotexcludeany warrantiesinrespecttosuchgoods.
7.SAMPLES-Mayberequestedforinspectionandapprovalpriortomanufactureordelivery. TheDistrictwillnotberesponsibleforthecostofthesamplesorshippingtoourlocation.
8.PATENTS-TheSellerwarrantsthatthematerialdelivered,eitheraloneorincombination withothermaterials,willnotinfringeonanypatentsintheUnitedStatesoranyforeigncountry.
9.INDEMNIFICATION-TheSelleragreestoindemnifytheDistrictandholditharmless fromandagainstallliability,lossandexpense(includinglegalfees)foralldamagesand/or
bodilyinjuries(includingdeath)resultingfromtheactions,errors,omissionsornegligenceofthe Seller,itsdirectors,officers,employees,agents,contractorsorsubcontractors,including,butnot limitedto,anydefectinmaterial,anydefectinservices,workmanship,designofanygoods furnished,patentand/orcopyrightinfringementsorviolations,and/orfailuretofolloworabide
byanyandallgoverninglaws,ordinances,codesandregulations.
10.INSURANCE-The successful Vendor/Contractorshallmaintainthefollowinginsurances:

11.BANKRUPTCY-Intheeventofanyproceedingsinbankruptcyorinsolvencybyoragainst theSeller,orintheeventoftheappointment(withorwithouttheSeller's consent)ofanassignee forthebenefitofcreditors,orofareceiver,theDistrictmaycancelthisorderfordefault.
12.MINNESOTALAW-Performanceofthisorderandallothermatterspertainingthereto shallbegovernedbythelawsoftheCommonwealthofMinnesota.
13.LEGALVENUE-Thelegalvenueforanyandallclaimsorotherlegalmatterspertaining totheperformanceofthisordershallbethelocalcourtsfortheCountyofRamsey,Minnesota.
14.TAXES-TheDistrictisexemptfromallFederalExciseTaxes.TheDistrictisan instrumentalityoftheCommonwealth ofMinnesota,andassuch,isexemptfromtheMinnesota SalesandUseTax.
15.NON-APPROPRIATION-TheDistrictreasonablybelievesthatbudgetedfundswillbe obtainedsufficienttomakeallpayments. However,continuationofanyagreementsbeyond June30thofanyyeariscontingentuponappropriationofbudgetedfundsforpaymentofthat contract. Intheeventthatadequatefundsarenotsoappropriated,theDistrictshallnotifythe
vendorassoonaspossiblepriortothenecessarycancellationandnopenaltyinanyformshallbe
leviedagainsttheDistrictbecausecancellationofanypartoralloftheequipmentrequiredby failureofappropriation.
COMPLIANCES:
AsasupplierofmaterialsorservicestotheDistrict,(includingitsBuildingsCampuses), suppliersmustcomplywiththefollowing:
1.OSHA-Productsshallmeet,andbeincompliancewith,thecurrentapplicableprescribed standardsoftheFederalOccupationalSafetyandHealthofActof1970ineffectonthedateof thisorder.
