Constitution Of The National Karate Association Of Canada

1)Article I : Name

The incorporated name of the Association is the National Karate Association of Canada also known as the "NKA".

2)Article 11 : Head Offices

The head office of the Association shall be in Canada and at such place therein as the Board of Directors of the Association may from time to time determine. In the absence of a designated location, it shall be in the municipality of the President or Senior Officer presiding over the Association from time to time.

3)Article 111 : Purpose and Objects

a)The Association is the national sport federation for amateur karate in Canada. The Association has the following additional purposes and objects:

b)To represent Canada in sanctioned international events and tournaments;

c)To maintain an existing membership in international bodies governing karate and such further or other bodies as deemed appropriate;

d)To promote and perpetuate karate as a martial art, as a lifetime activity, for physical and mental fitness and as a way of life;

e)To develop standards, programs and encourage participants to safely achieve their potential level of recreational or competitive interest and ability;

f)To provide competitive opportunities for karate practitioners wishing to participate in the sport aspect of Karate;

g)To govern amateur sport of karate and conduct of karate practitioners under its jurisdiction;

h)To cooperate with and work toward advancement of karate in conjunction with the Government of Canada and Ministry guidelines and with similar groups in other provinces and countries; and

i)To purchase, take on, lease, hire or otherwise acquire and to hold lands, buildings, equipment or any interest therein to further objects including the provision of facilities or training centers and other conveniences for the Members of the Association and others.

4)Article IV : Corporate Seal

The corporate seal of the Association shall be in the form determined by the Board of Directors of the Association and shall be kept at the head office in the custody of whichever Officer of the Association the Board of Directors may from time to time determine.

5)Article V : Board of Directors

a)Name

The affairs of the National Karate Association shall be governed and regulated by a Board of Directors referred to as the National Council of the Association as set out in C below.

b)Term of Office

The President, First Vice-president, Second Vice-president. Secretary, Treasurer and Athlete Representative shall hold office for two years from the date of their election and shall be eligible to stand for re-election if nominated.

c)Membership

The National Council shall be composed of the following positions (no person may hold more than one position at one time):

i)The Founding President of the Association.

ii)The Immediate Past President of the Association who shall sit on the National Council for a maximum period of two years to ensure effective transition of the business affairs of the Association.

iii)A President elected from the Regular Members by the Regular Members at a General Meeting of the Association.

iv)A First Vice-President elected from the Regular Members by the Regular Members at a General Meeting of the Associations;

v)Second Vice-president elected from the Regular Members by the Regular Members at a General Meeting of the Association;

vi)A Secretary elected from the Regular Members by the Regular Members at a General Meeting of the Association;

vii)A Treasurer elected from the Regular Members by the Regular Members at a General Meeting of the Association;

viii)An Athlete Representative elected by the Senior Canadian National Karate Team Members;

ix)One Member representing and selected by each recognized Provincial and Territorial Branch of the Association (hereinafter ''delegate'').

x)The elected officers may also be a Provincial or Territorial President but cannot at the National Council represent that Provincial or Territorial Branch.

d)Meetings

i)Place

Except as otherwise required by law, the National Council may hold its meetings at such place or places as it may from time to time determine.

ii)Notice of Meetings

No formal notice of any meeting shall be necessary if all the Members of the National Council are present or if those absent have signified in writing their consent to the meeting being held in their absence. Meetings shall formally be called by the President. Notice of meetings shall be delivered, telephoned, e-mailed or post-marked to each member of the National Council not less than ten (10) clear days before the meeting is to take place. The statement of the Secretary or the President that notice has been given pursuant to this paragraph shall be sufficient and conclusive evidence of the giving of such notice. The National Council may appoint a day or days in any month or months for regular meetings at an hour to be named, and of such regular meeting, no notice need be given. A National Council meeting may also be held without advance notice immediately before or immediately following a General Meeting of the Association provided at least two thirds of the Council Members referred to in C8 and 9 above are present.

iii)Business to be considered:

The National Council is the governing body of the Association. It may transact any business.

e)Rules

The National Council shall have full authority over all matters concerning status, instruction, examinations and competitions held with the sanction of the Association.

f)Agenda

An Agenda will be set for every meeting. No National Council member can bring to the meeting any item without having it on that agenda unless approval is received by the Chair or majority of Council.

g)Closed Meetings

National Council meetings are closed and are not open to anyone else except by advance request and approval by the Chair.

h)Provincial and Territorial Delegates

Each Provincial and Territorial delegate shall circulate within their Branch the business and resolutions of the National Council and the minutes, or their contents, and to fully inform the Association's Members within that Branch.

i)Voting

There need not be a formal recording of votes at meetings of the Board. Votes may be by a show of hands, by means of which the affirmative and negative votes are clearly visible to all. The Secretary need not record the number of votes for and against any motion. Voting shall be by secret, written ballot if requested by anyone present or if the Chair directs. There shall be no voting by proxies; only Board Members present at the meeting may vote. It is sufficient that a motion be passed by a simple majority of the votes of all present. An abstention shall not be counted as a vote. The Chair may vote only to make or break a tie. In the case of an equal number of votes cast for or against a motion, the motion shall be considered defeated.

6)Article V1 : Executive Committee

a)Membership

The Executive Committee shall consist of the following officers of the Association:

  1. President;
  2. First Vice-president;
  3. Second Vice-president;
  4. Secretary;
  5. Treasurer; and
  6. Founding President of the Association.

b)Powers

Between meetings of the National Council, the Executive Committee possesses and may exercise (subject to any restrictions which the National Council may from time to time impose) all the powers of the National Council. AIl decisions of the Executive Committee may be acted upon immediately, but must be ratified by the National Council at its next meeting.

c)Voting

Questions arising at any meeting of the Executive Committee shall be decided by a majority of votes cast by Members present in person. No proxies shall be allowed.

d)Chair

The President of the Association shall act as Chair of all meetings.

e)Vacancies

If a vacancy should occur in the Executive Committee, the vacancy may be filled by a member of the National Council as elected by the National Council for the balance of the term.

f)Quorum

A quorum is the minimum number of Members required to be present to enable a meeting to conduct its business. A quorum must be present throughout the entire meeting, or the meeting cannot proceed or continue. The minimum number to constitute a quorum of the Executive is a simple majority.

g)Duties of Officers

i)President

Subject to the authority of the Board, the President shall be chief executive officer and be charged with the general management and supervision of the affairs and operation of the Association. The President shall preside at all meetings of the Board, the annual general meetings and general meetings, unless the President designates another to chair such meeting. The President shall preside and maintain order and decorum, and may limit debate or discussion.

ii)Vice-presidents

First Vice President - The first Vice-President shall assist the President and in the absence or incapacity of the President, shall preside and perform the duties of that office, and such additional duties as directed by the Board.

iii)Second Vice President - The second Vice-president shall assist the President and in the absence or incapacity of the President or first Vice-president shall perform the duties of whichever office is vacant and such additional duties as directed by the Board.

iv)Secretary

The Secretary shall attend and be responsible for recording the minutes of all Board meetings, annual general meetings and general meetings, and shall publish them to the Board, and others as directed by the Board. In the absence of the President and both Vice-Presidents, the Secretary shall call the meeting to order and preside over it.

v)Treasurer

The Treasurer shall keep full and accurate accounts of all receipts and disbursements, and deposit all monies in the name or to the credit of the Association. The Treasurer shall render to the National Karate Association at its regular meetings and to the membership at the annual general meetings, an up-to-date account of same. The Treasurer shall also be the Registrar of black belts and shall keep a register of black belts.

h)Audit

i)Examination of Accounts

At least once in every year, the accounts of the Association shall be audited.

ii)Appointment of Auditors

(1)At each Annual General Meeting, the Regular Members shall appoint an auditor for the ensuing year.

(2)The National Council may fill any temporary vacancy in the office of auditor, but no member of the

(3)National Council or Officer of the Association may be appointed auditor.

iii)Duties of the Auditor

(1)It shall be the duty of the auditors to examine all books, vouchers and accounts of the Association and

(2)all documents having reference to the business thereof once in each year, in accordance with generally

(3)accepted accounting principles.

i)Athlete Representative

The Athlete Representative shall be elected by the Senior Canadian National Team for a term of two years by secret ballot. The Athlete Representative shall ensure that the interests of the Canadian National Team are put forth and addressed.

7)Article VII : Committees

a)Standing Committees

Permanent committees may be established with designated responsibilities. At all times committees, and any subcommittees, are subject to and shall report to the National Council. The President is ex-officio a non-voting member of every committee. Membership on any committee is solely by appointment of and subject to removal by the National Council.

b)Technical Committee

There shall be a committee of technically qualified instructors. The Committee shall provide learning, instructional opportunities and evaluate and make recommendations to the National Council on all new association/style applications. The Committee may itself make recommendations to the Board on matters of a technical nature as defined by the Board.

c)Coaching Committee

There shall be a coaching committee. The Committee shall identify prospective adult and junior athletes and encourage training and competiton opportunities. The Committee shall be responsible for the annual selection of the national team and be responsible for its training, organization, travel and discipline subject to the guidelines approved from time to time by the National Council

d)Constitutional Committee

There shall be a committee to oversee compliance with the Bill of Rights (as set out in Article X) and administration of the Constitution. The Committee shall oversee nomination of candidates, voter registration and voting procedures at annual general meetings and general meetings. It shall review the Constitution or by-laws from time to time, to determine whether changes are required by way of amendment, alteration, variation, replacement, repeal or re-enactment, and to make recommendations.

e)Official’s Committee

There shall be a committee of the Association called the Official’s Committee which shall be responsible for ensuring the application and interpretation of rules at competitions, the evaluation, testing and certification of officials.

f)NCCP Committee

There shall be a committee responsible for the practical and technical development of the National Coaching Certification Program.

g)Medical Committee

There shall be a committee responsible for monitoring, reviewing and overseeing safety in relation to competitions, tracking of competition related injuries and any other medical issues.

8)Article VIII : Membership

a)General

There are the following classes of membership: Branch, Individual and Honourary.

b)Branch

Each province and territory within Canada may be represent in the Association by one and only one branch. Every applicant for a Branch Membership must demonstrate to the satisfaction of the Association that its black belt members will qualify as Members of the Association and that the applicant is recognized by the Association as the official governing body for Amateur Karate in the home province or territory. Branch Members must maintain an up-to-date register of all individual Karate practitioners who are Members of their Branch. For insurance and other purposes each Branch shall provide a sworn statement, from the President of each Branch confirming such. The Constitution of an applicant for Branch Membership must be approved by the Association

c)Individual

Individual membership in the Association is only available to members of a registered Branch. Every member of a Provincial Territorial Branch is a member of the Association. Membership in the Association is only through the Provincial Territorial Branch. Every member of the Provincial Territorial Branch is a member of the Association. An applicant will not be accepted for membership if he or she has been convicted of any criminal offence; however, any person applying for membership, even though convicted of a criminal offence, may become a member in good standing if his or her application is specifically approved by the National Council.
