TRUSTEE ROLE DESCRIPTION

Trustee– Commercial

ROLE PURPOSETo act as a Trustee of RDA National, with a particular interest in Commercial activity and RDA Trading

SPECIFIC DUTIES

  1. To be a Director of RDA (Trading) Ltd and to develop a strategy that builds on the success of RDA (Trading) and increases its income to RDA
  2. To contribute to, and lead on the development of a focussed commercial strategy in liaison with other Trustees, staff and volunteers.
  3. To contribute to the development of commercial partners in order to maximise income for RDA, in liaison with the relevant fundraising Trustees, staff and volunteers

GENERAL DUTIES

To contribute to the effective management of RDA by fulfilling the statutory duty of a Trustee:

  1. To contribute actively to the Board's role in giving strategic direction to RDA, identifying risks, setting overall policy, defining goals and setting targets, and ensuring the charity is well run.
  2. To safeguard the good name and values of RDA
  3. To protect and manage RDA’s property and ensure the proper investment of RDA's funds
  4. To ensure that RDA complies with its Memorandum and Articles andpursues its objects as defined in this document
  5. To ensure that RDA complies with charity and company law and other relevant legislation
  6. To ensure the financial stability of RDA and that RDA uses its resources exclusively in pursuance of its objects

OTHER

In addition to the above duties, each trustee should use any specific skills, knowledge or experience they have to help the board of trustees reach sound decisions. This may involve:

  1. Scrutinising board papers
  2. Leading discussions
  3. Focusing on key issues
  4. Providing guidance on new initiatives
  5. Any other issues in which the trustee has special expertise

TRUSTEE PERSON SPECIFICATION

Role Specific

Ideally the Trustee should have a good balance of the following experience/attributes:

  1. Experience of developing commercial income streams – ideally within a charity context.
  2. Experience of developing commercial partnerships.
  3. Confident and accomplished “networker” able either to help create new contacts or to follow up other contacts.
  4. Experience working in a complex organisation with a number of different “layers”.
  5. Sufficient time to carry out role effectively

General

  1. Commitment to RDAand belief in the organisation’s aims and values
  2. Strategic vision and ability to think creatively
  3. Good, independent judgement
  4. Willingness to speak their mind at Board meetings and to stand up for Board decisions publicly
  5. Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship
  6. Ability to work effectively as a member of a team
  7. Willingness to abide by the Guidance to Trustees (attached)
  8. Willingness/ability to attend four Board meetings each year and to devote the necessary time and effort to carrying out duties as outlined above
