CONSENTAGREEMENTFORVOLUNTARYSURRENDEROFPHARMACYREGISTRATION

TheMassachusettsBoardofRegistrationinPharmacy(the"Board")andadulyauthorized representativeofPawtucketPharmacy(the"AuthorizedPharmacyRepresentative"),herebystipulateandagreethatthefollowinginformationshallbeenteredintoandbecomeapermanent partoftheBoard'srecordsrelatingtoPawtucketPharmacy,Inc.(the"Pharmacy"),apharmacyformerlylocatedat65SchoolStreet,Lowell,MassachusettsandlicensedbytheBoard, RegistrationNo.DS789:

1.ThePharmacy,throughitsauthorizedrepresentative,acknowledgesthatcomplaintsDocketNo.PHA-2013-0045DocketNo.PHA-2013-0054 (the"Complaints")have beenfiledwiththeBoardagainstitsMassachusettspharmacyregistration1relatedtotheconductsetforthinparagraph2ofthisagreement.

1.Theterm"registration"appliestobothacurrentregistrationandtherighttorenewanexpiredregistration.

2.ThePharmacyacknowledgesthatinMayof2013itwasonlypermittedtooperatesubjecttothetermsofprobationincludedinaconsentagreemententeredintobythePharmacy andtheBoardinJuneof2011(seematterPHA-2011-0011). ThetermsofprobationinthatmatterprohibitedthePharmacyfromengagingincompounding.

3.OnoraboutMay2,2013,whilethePharmacywassubjecttoprobationarytermsreferencedintheprecedingparagraph,inspectorsfortheBoardofRegistrationinPharmacyfoundevidencethatthepharmacywasengaginginthenon-sterilecompoundingofdrugsandevidenceofmultipleotherviolationsofpropercompoundingpractice.

4.OnMay3,2013,basedonthereportofthePharmacyBoardinspectors,theBoardChair orderedthePharmacytoceaseits pharmacyoperationsat65SchoolStreetinLowellandtoquarantinescheduleII-VImedicationsandcompoundingingredientsandcompoundedmedications.

5.OnMay9,2013,theBoardsummarilysuspendedthePharmacy'sregistration(seeDkt.

No.PHA-2013-0054). Subsequently,onMay14,2013(onedaybeforeascheduled hearingontheneedtocontinuethatsuspension),thePharmacywaiveditsrighttoahearingon thesummarysuspensionandagreedthatthesuspensionwouldremaininplace untiltheresolutionoftheunderlyingcase-Dkt. No.PHA-2013-0045.

6.ThePharmacyhasnotconductedpharmacybusinesssinceMayof2013andofficiallypermanentlyshutdownitsbusinessinthesummerof2013withthetransferofitsrecords toanotherpharmacy.

7.Bythisdocument(hereafterthe"Agreement"),thePharmacyagreestovoluntarily surrenderitsPharmacyRegistrationandtorelinquishallrightsit mayhavetoseek renewalofthatPharmacyRegistration.

8.TheBoardagreesthatinreturnforthePharmacy'sexecutionofthisagreementthatitwill notproceedwiththeprosecutionofcomplaintsPHA-2013-0045PHA-2013-0054andwillrefrainfromfurtherproceedingsinmatterPHA-2011-0011.

9.ThePharmacyunderstandsthatithasarighttoaformaladjudicatoryhearingconcerningtheComplaintandthatduringsaidadjudicationitwouldpossesstherighttohaveitsrepresentativeconfrontandcross-examinewitnesses,callwitnesses,presentevidence,presenttestimonyonthePharmacy'sbehalf,contesttheallegations,presentoralargument,appealtothecourts,andexerciseallotherrightsassetforthintheMassachusettsAdministrativeProceduresAct,G.L.c.30A,andtheStandardAdjudicatoryRulesofPracticeandProcedure,801CMR1.01etseq. ThePharmacyfurtherunderstandsthatbyexecutingthisAgreementitisknowinglyandvoluntarily waivingitrighttoaformaladjudicationof theComplaint.

10.ThePharmacyacknowledgesthataftertheEffectiveDate,theAgreementconstitutesapublicrecordofdisciplinaryactionbytheBoardsubjecttodisclosureinaccordancewiththeMassachusettsandUnitedStates publicinformationlaws,includingbutnotlimitedto

G.L.c.4,§7,andG.L.c.66A,§10.TheBoardexpresslyreservestheauthoritytoindependentlynotify,atanytime,anyentitiesincluding,butnotlimitedto,otherlicensingboards,lawenforcemententities,andotherindividualsorentitiesofanyactionithastaken.

11.ThePharmacyunderstandsandagreesthatenteringintothisAgreementisavoluntary andfinalactandnotsubjecttoreconsideration,appealorjudicialreview.

12.ThePharmacyRepresentativesigningthisAgreementcertifies(1) thatheistheownerofrecordofPawtucketPharmacyoranotherpersondulyauthorizedtoenterintothisAgreementonbehalfofthePharmacy,and(2)thathehasreadthisAgreement.

13.ThePharmacyRepresentativeacknowledgesthathehasbeenfreeatalltimestoseekand

·uselegalcounselinconnectionwiththeComplaintandthisAgreement.
