NON-DISCLOSUREAGREEMENTFOR

CRITICAL ENERGYINFRASTRUCTUREINFORMATION(“CEII”)

You(onbehalfofyourselfand,asadulyauthorizedrepresentative,onbehalfofyour organization/employer) (“you”) have requested data used in conjunction with transmission studiesconductedby Municipal Electric Authority of Georgia(“MEAG”orthe“Provider”),includingbutnotlimitedtoSystem ImpactStudiesand/or FacilitiesStudiesconductedpursuanttoMEAG’sOpen AccessTransmissionTariff (“Tariff”) (“Transmission Studies”), which data contains critical energy infrastructure information (“CEII”), as defined by the regulations of the Federal Energy Regulatory Commission(“FERC”)in18C.F.R.§388.113. The ProviderintendstoprotectCEIIfrom unauthorizeddisclosure. Accordingly,Providerhas presentedyouthisNon-Disclosure Agreement (“Agreement”) as itsconditional offer settingforththe terms andconditions of your accesstoCEII. YourexecutionofthisAgreementonbehalfofyourselfandyourorganization constitutesyouracceptanceoftheoffer,includingandsubjecttoitstermsandconditions. The remaining terms and conditions of this Agreementare asfollows:

1.Term.

This Agreement shallexpire on three (3) calendar years fromDecember 31

oftheyearinwhichyouexecutethis Agreement; provided,however,thatnotwithstandingthe terminationofthisAgreement,theconfidentiality obligationsandcovenantsofthisAgreement will survive indefinitely and shall not terminate, or else shall remain in effect as long as permitted bylaw. Providermayextend the termof thisAgreement in its solediscretion.

2.InformationcoveredbythisAgreement.

“CoveredInformation”means: (i)CEII

madeavailablethrougharestrictedareawithintheProvider’s OASISwebsiteorotherwise furnishedtoyou by the Provider; (ii)newinformationcreatedusingsuchinformationandthat containsCEII,suchasany copies,summaries,diagrams,notes,calculations,recommendations, evaluations,opinions,reportsand/orconclusionsorothersimilarmaterialspreparedfromor baseduponthe CoveredInformation,includinganysuchinformationthathasbeenstored electronically (“DerivativeInformation”);and(iii)any informationyouknoworreasonably shouldknowtobeCEIIthatisfurnishedand/ormadeavailabletoyouby theProviderin connectionwiththisAgreement. CoveredInformationwouldinclude,butwouldnotbelimited to, load flowbase case models and/or stabilitymodels.

3.Dutyof Non-Disclosure.

YouagreenottodiscloseCoveredInformationtoany

personorentityinanywaywithoutthewrittenconsentofProvider,subjecttothefollowing special rules:

(a)

Internal distribution of information. YouagreenottodiscloseCovered

Informationwithinyourorganizationexcept tothoseindividuals who(i) have requestedaccesstoCoveredInformationfromProviderandhavebeengranted suchaccess; (ii) needtoknow theinformationtodotheir jobs; (iii) havebeen advisedoftheduty ofnon-disclosure;and(iv)haveexecutedthisAgreement. Additionalpersonsemployed by yourorganizationmay executethisAgreement using the formset forth in AppendixA.

(b)Distribution to consultants.

YoumayonlydiscloseCoveredInformation

topersonnelhiredby you forhelpand/oradvice,such asbusinessconsultants, lawyers,and/oraccountants,ifthosepersonnel(i)haveindividually requested accesstoCoveredInformationfrom Providerandhavebeengrantedsuchaccess; (ii)needtoknow theinformationtodotheirjobs;(iii)havebeenadvisedofthe dutyofnon-disclosure;and(iv)haveindividually executedthisAgreement. Such personnelmustexecute thisAgreement in the formset forth in AppendixB.

(c)

Listofauthorized individuals.

As described above,you mayexerciseyour

rightofaccesstoCoveredInformationonlythroughindividualswho: (i)have requestedaccesstoCoveredInformationfromProviderandhavebeengranted suchaccess; (ii) needtoknow theinformationtodotheir jobs; (iii) havebeen advisedoftheduty ofnon-disclosure;and(iv)haveexecutedthisAgreementby providingasignedcopy ofAppendixAorAppendixBtoProvider.Youagreeto keepanupdatedlistofsuchindividualsandtoensurethatonly thoseindividuals have access to Covered Information.

(d)

Duty of cooperation.

If youarelegallyrequiredtodiscloseCovered

Information(for example,duetoasubpoenaor court order),youagree tonotify Providerimmediately andtocooperatewith Providerintakingstepstorestrictor narrow the informationyou mustdisclose.

(e)

Obligationtominimizedisclosures.

Evenifyouareauthorizedtodisclose

CoveredInformation(forexample,ifyouhaveProvider’swrittenconsentor are legally requiredtodoso),youagreetodiscloseonlytheminimum amountof information required to bedisclosed.

4.Use of Covered Information.

You agree that you will only use Covered

Informationsolely forthepurposeofevaluating,analyzingorotherwiseusingCovered Informationtoevaluatethetransmissionsystem. Youmay notuseCoveredInformationforany other purpose.

5.Destruction of Covered Information.

YouagreetodestroyCoveredInformation

(includingDerivativeInformation)uponterminationorexpirationofthisAgreement,orwhen you have completedyour use of it in accordance withParagraph 4, whichever comes first.

6.Provider’s Right of Revocation.Information atanytime, with or withoutnotice.

ProvidermayrevokeyouraccesstoCovered

7.Legal terms.

(a)TheProviderdoesnotconveyanypropertyrights,includingpatentsand patentapplications, when theygiveyou Covered Information.

(b) AllCoveredInformationisprovided“asis”andwithallfaults. The Providershallnotbeliablefortheaccuracy orcompletenessofCovered Information.

(c) TheProviderisnotresponsibleforyouruseofCoveredInformation. You

agreetohold Providerharmlessandindemnifythemforany andalldamagesand liabilitiesarisingfrom anyactionyoumaytakewithrespecttoCovered Information.

(d) YouacknowledgethatProviderisnotresponsibleorliableforany other entity’s designation of information as CEII, including anyimproper designation.

(e) IfyouoryourrepresentativebreachorthreatentobreachthisAgreement, Providerisentitledtoany availablelegaland/orequitablerelief,suchas an injunction oranyotheravailable remedy.

(f) Yourdutyofnon-disclosurecontinues even after this Agreementexpires. (g) TheProvidermayexerciseitsrightsunderthisAgreementatanytime,

even if theydelayed doing so or failed to do so in the past.

(h) ThisAgreementistobegoverned by thelawsoftheStateof Georgia, regardless of the choice of lawprinciples of thatState oranyother.

(i) ThisistheentireagreementbetweenyouandProviderconcerningthe dutyofnon-disclosureofCoveredInformation. No modificationorwaiverofany partofthisAgreementislegally enforceableunlessyouandThe Providerhave agreed in writing.

(j) Capitalized terms herein shall have the meaning provided in other provisions of the Tariffunless specificallydefined herein.

(k) IfanypartoftheAgreementisfoundtobeinvalidorunenforceable,the restof the Agreementwillstill remain effective.

(m) Yourepresent andwarrant thatyouareauthorizedtoenter intothis Agreement;youhavethepowerandauthoritytoenterintothisAgreement;and thisAgreementdoesnotviolateanyotheragreementbetweenyouandathird party.
