The Township of Morley reserves the right to reject any and all tenders and to not proceed with the project. The lowest or any tender will not necessarily be accepted.
NOTE: An Excavator mounted rotary type brusher is required.

NOTE:-
THE SUCCESSFUL TENDERER WILL BE CHOSEN BASED ON THE TOTAL TENDER FOR ALL FOUR (4) ITEMS RATHER THAN THE TENDERED SUBTOTAL AMOUNTS OF THE INDIVIDUAL ITEMS.
SPECIFICATIONS
(A) An excavator mounted rotary type brusher to be used.
(B) Brush is to be cut a maximum of six (6) to eight (8) inches above the ground.
(C) Brush is to be cut to a maximum length of twelve (12) to eighteen (18) inches.
(D) Brush is to be cut to fence line.
(E) Any damage to fences will be the responsibility of the Contractor.
(F) The municipality is not responsible for damage to equipment due to rocks, wire, etc. on road rights-of-way.
(G) Brushing is not to be started prior to July 24th, 2017 and is to be completed by September 04th, 2017.
(H) Successful Contractor shall supply proof of Public Liability and Property Damage Insurance and proof of Workplace Safety and Insurance Board coverage.
(I) Successful Contractor shall erect warning signs at each end of road right-of- way during brushing.
(J) Brushing shall be done at a time suitable to the Township Public Works Superintendent, under his direction, and to his and council’s satisfaction.
(K) The Township Public Works Superintendent is available to go look at the areas that are to be brushed if the tenderer so wishes.

The Contractor has carefully examined the site and location of the work to be done under this Contract and, for the prices set forth in this Tender, hereby offers to complete the work in strict accordance with the provisions as set out in the tender documents.
This offer shall be irrevocable for a period of thirty days following the date of the Tender closing.
Notification of Acceptance shall be given by prepaid post addressed to the Contractor at the address contained in this Tender.
The Bidder expressly warrants that the prices contained in his tender whether as unit prices or lump sums, and whether for transportation or supply of materials or for services, are quoted in utmost good faith on his part, without any collusive arrangement with any other person, or partnership or corporation.
The Bidder expressly represents that he is not party or privy to any deceit tending to mislead the Municipality into accepting his tender as a truly competitive tender whether to the prejudice, injury or benefit of the Municipality.
THE CONTRACTOR BY THIS TENDER OFFERS TO COMPLETE THIS CONTRACT IN ACCORDANCE WITH THE TERMS CONTAINED HEREIN AND STATES THAT THE BID IS SUBMITTED WITHOUT COLLUSION OR DECEIT.
COMPLETION DATE
The Contractor shall
complete the work by: SEPTEMBER 4TH, 2017
If the time limit above is not sufficient to permit completion by the Contractor working a normal number of hours, the Contractor shall make changes to permit the work to be completed by the above date.
Additional costs incurred shall be deemed to be included in the price bid for the works.
If the work is not complete by the above date, or by an amended date allowed by an approved extension of time, then the Contractor agrees to pay the Municipality a sum of One Hundred ($100.00) Dollars per calendar day, for each day’s delay in finishing the work, as liquidated damages.
INSTRUCTIONS TO BIDDERS
Bidders must conform to the following conditions. Those failing to do so may be subject to disqualification.
1.0 TENDERING REQUIREMENTS
(A) The Tender Form as supplied by the Municipality must be in the possession of the Municipal Official indicated on Page 1 of the tender prior to 3:30 p.m. local time on the tender closing date.
(B) The Tender must be legible and ALL THE ITEMS MUST BE BID with the unit price for every item and other entries being fully clear.
(C) The Tender must not be restricted by a covering letter or by alterations or additions to the tender form. Adjustments will not be considered. A bidder may void a tender by superseding it with a later tender.
(D) A tender may be withdrawn under certain circumstances.
(E) The Tender Form must be signed and sealed or witnessed in the spaces provided by a responsible official of the bidding organizations. If a joint tender is submitted, it must be signed and sealed or witnessed separately on behalf of each company.
2.0 ENQUIRIES DURING BIDDING

3.0 CURRENT AWARD PROCEDURES
(A) The Municipality will notify the successful bidder that the tender has been conditionally accepted.
(B) Notice of Acceptance of Tender will be by written form of notice.
(C) Satisfactory proof of Public Liability and Property Damage Insurance shall be provided by the successful bidder. Satisfactory proof of Workplace Safety and Insurance Board coverage shall also be provided by the successful bidder.
(D) The required documentation shall be provided to:

(E) Following receipt of insurance certificate and compensation coverage, the Contractor will receive written Notification of Award of Contract which, with the submitted tender, shall constitute the contractual agreement and which will authorize the Contractor to proceed with the work. The Public Works Superintendent of the Township of Morley will be advised that such authority has been issued.
Tendering Procedures
1.0 All inquiries, concerning the tender, prior to tender closing, shall be directed to:

2.0 Notification of Acceptance of Tender will be by written form of notice, to the address of the Contractor indicated on the bid forms. The Date of Acceptance shall be deemed to be the date of receipt of the Acceptance Notice by the Contractor.
3.0 A tender may be voided by superceding it with a later tender or a letter of withdrawal, prior to the closing date and time of the tenders.
Tendering Requirements
1.0 The successful bidder shall deliver a certified copy of the Firm’s Public Liability and Property Damage Insurance Policy for the Works, within five (5) calendar days of receiving the conditional Acceptance Notice. Coverage shall be at least $2,000,000.00 per accident in the name of the Municipality.
2.0 The successful bidder shall deliver proof of Workplace Safety and Insurance Board coverage, within five (5) calendar days of receiving the conditional Acceptance Notice.
3.0 Failure to provide the aforementioned documentation shall result in the cancellation of the Contract.
Basis of Rejection of Tender
Tenders not conforming to the following requirements will be disqualified:
1.0 Tender must be legible, in ink, by typewriter or by printer.
2.0 Tender must be in the possession of the named official of the Municipality by the closing date and time.
3.0 Tender must be on form provided.
4.0 Tender must be signed and sealed by an authorized official of the bidding organization. If the bidding organization does not have a seal the signature of the authorized official must be witnessed. A joint tender must be signed and sealed or witnessed by each company.
5.0 All items must be bid.
6.0 Tender form must not be restricted or modified in any way.
SPECIAL PROVISIONS ATTACHED TO
AND FORMING PART OF THE TENDER
REGULATIONS
The contractor shall abide by all Acts, By-Laws and Regulations relative to the performance of the work.
COMPLETION
Time shall be of the essence in this agreement.
PAYMENTS
Monthly payments for work done may be paid up to 85% of the estimated value of the work performed. Within 60 days of the date of acceptance of the completed contract, the remaining 15% will be released to the Contractor.
BASIS OF PAYMENT
Payment at the quoted price shall be compensation in full for performing the work specified in the tender and for the supply of all labour, equipment and materials, except as otherwise provided, necessary to complete the work to the satisfaction of Council and of the Public Works Superintendent.
UNIT PRICES
Unit prices are required and such prices shall include all charges for the work.
PAYMENT PER UNIT PRICE
Payment shall be for the actual amount of work done at the unit price quoted. The contractor shall have no claim for loss, damage, anticipated profits or otherwise on account of any difference which may arise due to estimated and actual quantity supplied or due to termination of supply.
ENGINEER OR PUBLIC WORKS SUPERINTENDENT
Means the Council of the Municipality or such other person, partnership or corporation as may be authorized by the Council to act on their behalf in any particular capacity.
DAMAGE BY VEHICLES AND OTHER EQUIPMENT
If at any time, in the opinion of the Public Works Superintendent, damage is being done or is likely to be done to any highway or any improvement thereon, other than such portions as are part of the work, by the Contractor’s vehicles or other equipment whether licensed or unlicensed, the Contractor shall, on the direction of the Public Works Superintendent and at the Contractor’s own expense make changes in or substitutions for such vehicles or other equipment or shall alter loadings or shall in some other manner remove the cause of such damage to the satisfaction of the Public Works Superintendent.
LIQUIDATION DAMAGES:
TIME
Time shall be of the essence of the Agreement.
PROGRESS OF THE WORK AND TIME FOR COMPLETION
The contractor shall diligently prosecute his work on this contract to be completed on or before:
SEPTEMBER 4TH, 2017
If the Contractor is delayed in the completion of the work:
(A) By reason of any breach of contract or prevention by the Municipality, or other Contractor of the Municipality or any employee of any one of them;
(B) By reason of delay by the Municipality in issuing instruction or information or in delivering materials;
(C) By any other act or neglect of the Municipality or any other Contractor of the Municipality or any employee of any one of them;
(D) For any cause beyond the reasonable control of the Contractor;
(E) By Acts of God, or of the Public Enemy, Acts of the Province on such terms and for such period as shall be determined by the Public Works Superintendent, not withstanding such extensions, time shall continue to be deemed of the essence of this contract.
An application by the Contractor for an extension of time as herein provided shall be made to the Municipality in writing at least ten (10) calendar days prior to the date of completion fixed by the contract. All surety furnished to the Municipality by the Contractor shall be amended where necessary at the expense of the Contractor to provide coverage beyond the date of any extension of time granted, and the Contractor shall furnish the Municipality with evidence of such amendment of the surety.
Any extension of time that may be granted to the Contractor shall be so granted and accepted without prejudice to any rights of the Municipality whatsoever under this contract, and all of such rights shall continue in force and effect after the time limited in this contract for the completion of the work and whenever in this contract power and authority is given to the Municipality or the Public Works Superintendent to any person to take any action consequent upon the act, default, breach, neglect, delay, non-observance or non-performance by the Contractor in respect of the work or contract, or any portion thereof, such powers or authorities may be exercised from time to time and not only in the event of the happening of such contingencies before the time limited in this contract for the completion of the work but also in the event of the same happening after the time so limited in the case of the Contractor being permitted to proceed with execution of the work under an extension of time granted by the Public Works Superintendent.
