Bylaws of the
Taylor Ranch Boosters, Inc.
Article I: Name
The name of this organization shall be the Taylor Ranch Boosters, Inc..
Article II: Purpose
The purpose of this organization shall be:
A. To provide a forum for parents, teachers, administrators and students to communicate ideas regarding Taylor Ranch Elementary School.
B. To develop a home/school relationship where parents, teachers and administrators cooperate intelligently in the education and welfare of the children.
C. To bring parental concerns to the attention of the school system and to provide communication lines among parents, teachers, students administrators and the school system.
D. To coordinate fund raising for special school projects for the promotion of educational purposes and to purchase school equipment, and other needed items and services when other funds are not available.
Article III: Basic Policies
The following are basic policies of the Taylor Ranch Boosters
A. The organization shall be noncommercial, nonsectarian and nonpartisan.
B. The organization shall be a self-governing unit with its structure and specific regulations prescribed in the bylaws which the members have adopted.
C. The organization may cooperate with other organizations and agencies active in child welfare, such as conference groups or coordinating councils. Individuals representing the Taylor Ranch Boosters shall make no commitment that would bind this organization.
D. The organization shall work with the school to provide quality education for all children. The organization shall participate in the decision-making process establishing school policy, realizing that the legal responsibility to make decisions has been delegated by the people to the board of education.
E. The name of the organization or the names of any members in their official capacities shall not be used in connection with a commercial concern or with any partisan interest or for any purpose not appropriately related to the promotion of the objectives of the organization.
F. The organization shall not directly or indirectly participate or intervene in any way, (including publishing or distributing statements) in any political campaign on behalf of, or in opposition to, any candidates for public office, or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise.
G. In the event of a dissolution of the organization, the assets of the organization shall be entrusted to the principal to be used for educational purposes at Taylor Ranch Elementary School.
Article IV: Membership
A. Any person interested in the welfare and betterment of Taylor Ranch Elementary School may become a member.
B. Taylor Ranch School, staff, parents or legal guardians of students presently enrolled in Taylor Ranch School shall be entitled to Full Membership with full voting privileges
C. The Executive Board may assess dues as it is deemed necessary.
Article V: Officers and their Election
Section 1: Elected Offices
A. The officers of this organization shall be the president, vice president, secretary and treasurer. The school principal shall also act as an officer of this organization.
B. Officers shall be elected by ballot annually during a General Membership Meeting in April or May as decided by the Board. In the event there is but one nominee for any office, election for that office may be by a show of hands or voice vote.
C. Any voting member supportive of the purpose and basic policies of the Taylor Ranch Boosters is eligible to become an elected officer.
D. Officers shall assume their official duties following their installation at the last executive board meeting of the school year and shall serve for a term of one year.
Section 2: Nominating Committee
A. A nominating committee shall be appointed by the board and composed of three (3) members. The committee shall include at least one member of the executive board. The principal of Taylor Ranch shall act as advisor. The committee shall elect its own chair.
B. The committee shall report the slate it has chosen to the executive board and to the membership at least ten (10) days before the general membership meeting at which the officers are elected, via notice sent home with students following the report from the nominating committee. An opportunity shall be given for nominations from the floor at the election meeting.
C. Only those persons who have signified their consent to serve, if elected, shall be eligible for nomination.
D. The nominating committee shall provide candidates with a well-defined job description for the office in question (as found in these bylaws).
Section 3: Vacancies
A. A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the executive board, notice of such election having been given. In case a vacancy occurs in the office of president, the vice president shall serve in his/her stead.
B. Resignation – Any executive board member may resign his/her office at any time, such resignation to be made in writing to the executive board and to take effect immediately.
C. Removal – Misfeasance, malfeasance or disability of an executive board member shall constitute cause for his/her removal from office. If an executive board member misses three (3) meetings during his/her term, the executive board may call for his/her removal.
Article VI: Duties of Officers
Section 1: President. The President shall:
A. Preside at all meetings of the organization, the executive committee and the executive board.
B. Coordinate the work of the officers and committees of the organization in order that the purpose of the organization can be promoted.
C. Perform such duties as may be prescribed in the bylaws or assigned to him/her by the organization, executive board or executive committee.
D. Write Taylor Ranch Boosters briefs for the newsletter.
E. Prepare and post monthly executive board meeting agendas in the school.
Section 2: Vice President. The vice president shall act as an aide to the president, and shall perform the duties of the president in the absence or disability of the president to serve.
Section 3: Secretary. The secretary shall
A. Record the minutes of all meetings of the organization and provide a copy of same to each executive board member. A copy of the minutes is to be posted for staff members’ review.
B. Keep a current copy of the bylaws
C. Be responsible for general correspondence.
D. Maintain a file of the minutes and correspondence.
E. Take attendance at executive board meetings.
F. Notify delinquent board members regarding attendance.
Section 4: Treasurer. The treasurer shall:
A. Have custody of all funds of the organization.
B. Keep a full an accurate account of receipts and expenditures.
C. Make disbursements in accordance with the approved budget, as authorized by the executive board or the executive committee. The signatures of the president, treasurer and one other board member shall be on file at the bank, with two signatures being required on all Taylor Ranch Boosters checks.
D. Present a financial statement at every meeting of the organization and at other times when requested by the executive board.
E. Be responsible for the maintenance of such permanent books of accounts and records as shall be sufficient to establish the items of gross income, receipts, and disbursements of the organization. Such books of accounts and records shall at all reasonable times be open to inspection by any member.
F. The treasurer will have the books audited annually. The auditor’s report shall be given at the first executive board meeting of each school year and shall be available for viewing by any Booster member that requests to see the report.
Section 5: Principal. The principal:
A. Shall recommend proposals for the budget based on the needs of the school which are not provided by the school board and shall provide continuity from year to year.
B. Shall be the liaison between the board and the school staff on matters of mutual concern.
C. Shall perform other duties as requested.
Section 6: All officers shall:
A. Perform the duties prescribed in these bylaws and by the parliamentary authority adopted by this organization.
B. Deliver to their successors all official material related to office no later than fifteen (15) working days following the installation of new officers.
Article VII: General Meetings
Section 1. There shall be at least two (2) general meetings held during the school year. The members present shall constitute a quorum. Advance notice of one (1) week will be publicized before each general meeting.
Article VIII: Executive Board
Section 1. The executive board shall consist of the elected officers of the organization, two staff liaisons selected by the faculty, the principal and four advisors selected by the officers
A. All of the above shall have voting privileges.
B. Should a person hold more than one position on the executive board, only one vote may be cast.
C. In accordance with Robert’s Rules of Order Newly Revised, there shall be no absentee or proxy votes.
Section 2. The duties of the executive board shall be:
A. To transact necessary business in the intervals between general membership meetings and such other business as may be referred to it by the organization.
B. To create ad hoc committees.
C. To approve the plans of the work of the committees.
D. To present a report at the general membership meetings of the organization.
E. To present a budget for review and approval by the general membership.
Section 3. The staff liaisons shall:
A. Work as cooperative agents between the staff and the Taylor Ranch Boosters.
B. Give Booster meeting reports at each general faculty meeting.
Section 4. Regular monthly meetings of the executive board shall be held during the school year. Special meetings of the executive board may be called by the president or by a majority of the members of the board. Except in the case of an emergency, at least three (3) days notice shall be given.
Section 5. A majority of the executive board members shall constitute a quorum.
Section 6. Regular monthly board meetings are open to the general membership.
A. Any member wishing to speak should contact the president before the meeting to be added to the agenda.
B. An agenda will be submitted to each member of the executive board and posted in the school office at least 3 days prior to each executive board meeting.

Article IX: Committees
Section 1. The executive board may create such committees as it deems necessary to promote the purpose and carry on the work of the organization.
Section 2. The chairman of each committee shall present a plan of work to the executive board for approval before taking action.
Section 3. The president shall be a member ex-officio of all committees.
Article X: School Advisory Committee
Section 1. Job Description
A. Two parents shall represent the general membership of the Taylor Ranch Boosters. These representatives shall be elected by the executive board to serve on the Taylor Ranch School Advisory Committee (SAC) for one (1) year.
B. The SAC representatives shall attend all regular SAC meetings.
C. The SAC representatives will be responsible for reporting to the executive board the discussions of the SAC.
D. The SAC representatives will be responsible for reporting to the SAC the concerns of the parents.
Article XI: Parliamentary Authority
Robert’s Rules of Order Newly Revised shall govern the organization for all matters of procedure not specifically covered by these bylaws.
Article XII: Amendments
These bylaws may be amended at any general membership meeting of the organization by a two-third vote, provided that notice of the proposed amendment shall have been given in writing at least ten (10) calendar days prior to the meeting at which the amendment is to be voted upon.
