CONFIDENTIALITY and NON DISCLOSURE AGREEMENT;

THIS CONTRACT ONLY APPLIES TO BUSINESSES INTRODUCED BY ADVANI

The undersigned prospective Buyer(s) acknowledges being FIRST introduced by ADVANI. It is UNDERSTOOD and AGREED that:

  1. All information which ADVANI provides about the following business(es)

Has been obtained from the Sellers of the business, and neither ADVANI nor its agents make ANY REPRESENTATIONS or warrant its accuracy, Buyer is solely responsible to personally examine and investigate the business and assets, and to obtain legal accounting and tax counsel prior to making an offer to purchase.

  1. Buyer(s) will not convey any of the information, including its availability for acquisition, which was obtained from ADVANI, regarding this business to any third party, except to obtain counsel for the limited purpose of the acquisition of such business, and shall obtain an agreement from such counsel to maintain confidentiality.
  1. Buyer(s) or associates shall neither contact nor conduct any purchase negotiations with Seller(s), Sellers (s) Agents, except through ADVANI or its agents.
  1. ADVANI is entitled to brokerage fees , should this contact result in Buyer(s) purchase, lease or investment in the business.
  1. Should Buyer(s) breach the terms of this agreement or use this information for any purpose detrimental to Seller, or interfere in any way with Sellers contract with ADVANI, he/she may become personally liable for any damages incurred by ADVANI and/ or Seller.
  1. This agreement shall pertain to any and all businesses that are introduced to Buyer(s) by ADVANI, by any form of communication. Buyer agrees to receive communication via E mail, Phone, Fax or mail.
  1. If Buyer(s) does not purchase the Business, he/she shall promptly return to ADVANI all copies of all data supplied to him/ her regarding the business.
  1. Buyer(s) agrees to hold ADVANI and its agents harmless from any cost, expense or damage due to information provided to the Buyer(s) by ADVANI.
  1. Buyer(s) are a bonafide prospective purchaser for the business(es) and represents that he/she believes that he/she has or can obtain the financial resources to purchase the business(es). Should Buyer(s) make an offer on said business(es), then Buyer(s) agreed to provide ADVANI or its agents, for delivery to the owner of the business, Buyer(s) financial statement, statement of source of funds, education and experience.
  1. All disputes will be settled by Mediation. If Mediation fails then binding arbitration. Prevailing party is entitled to reasonable attorney fees, costs and damages.

11. The term “Buyer” includes BUYER’s agents and associates. This agreement is the entire agreement and can only be modified in writing by both parties.

12. BUYER WILL NOT DISCUSS BUSINESS WITH EMPLOYEES OR SELLERS, AND WILL VISIT BUSINESS CONFIDENTIALLY AS A CUSTOMER
