I enjoyed speaking with you and want to thank you for considering us for your website work! We think you will find that our web designers are first-rate and our service is prompt and friendly.

We will redesign your site for $950 which requires a $475 deposit sent in with the contract and the remaining $475 will be billed when your website is completed to your satisfaction and is online at lcjco.com.

Since it is tax season, we generally give new clients until May 15th to make additions and changes to their new site. In other words, you can send us your info now (bios, services, firm profile, photos, etc) and we’ll go ahead and work on your site and possibly even get it online for you but give you plenty of time after tax season to add to it or make edits and changes.

Once your site is up and running, you can make changes at any time in the future by just emailing us (we also have a log-in feature if you want to download the pages and make changes yourself). If you are on our full-service plan, we give you up to half an hour free each month and our experience shows that you will seldom have changes that take us longer than that. If you are on the Intermediate ($85/mo) or Limited ($50/mo) Plan, our rate is $50/hr and probably 95% of our change charges to those clients is only $25.

SALES AGREEEMENT

This Agreement, by and between Drake Technologies, Inc. (hereinafter referred to as “CPAsites”) and LoRicco, Crosland, Joiner & Company, P.A. (hereinafter referred to as “Client”). CPAsites agrees to provide and manage an Internet website (hereinafter referred to as “Website”) for Client under the following selected terms and conditions:

SET-UP TERMS AND FEES

There are two levels of set-up terms and fees to choose from. Please indicate your selection.

[ ]Client has an existing Website that Client does not wish to have re-designed. CPAsites will design the frames page and artwork for Client and make appropriate links available per the Management and Hosting Fee selection. Fee for set-up is $450.00. This fee includes the monthly Management and Hosting Fee for the first 12 months.

[ ]Client does not have an existing Website and wishes CPAsites to create a Website or wishes CPAsites to re-design Client’s existing site. Fee for set-up and design is $1,450.00 $950.00 for up to 15 pages of designed content. This fee includes the monthly Management and Hosting Fee for the first 12 months.

MANAGEMENT AND HOSTING FEES

There are four levels of management and hosting fees to choose from. Please indicate your selection.

[ ]LIMITED

The monthly fee for the Limited Level is $50.00 and commences 13 months from the date of this contract. This level does not include a newsletter, but will include 40 calculators (includes Loan Amortization, Retirement Saving, Net Worth Cash Flow, Future Value, Tax Estimator, IRA Distribution, Portfolio Mix, Mortgage Qualification, Mortgage Refinance and others); and links and databases (Fed. Info Summary, State Summary page w/links to all states, Detailed State Info Page for the Client’s home state and Six other pages of business and financial links).

[ ]INTERMEDIATE - EXCLUSIVE

The monthly fee for the Intermediate-Exclusive Level is $85.00 and commences 13 months from the date of this contract. This will include all that is offered with the Limited Service plus a quarterly exclusive newsletter with articles archived for up to two years. The newsletter and/or individual articles are exclusive in your market area and can be downloaded from your website and mailed to your clients or reprinted in your local client newsletter.

[ ]INTERMEDIATE – NON-EXCLUSIVE

The monthly fee for the Intermediate Level is $85.00 and commences 13 months from the date of this contract. This will include all that is offered with the Limited Service plus a monthly non-exclusive newsletter with articles archived for up to one year. The newsletter and/or individual articles are not exclusive in your market area. (Your overall site-design however is always exclusive with CPAsites.com)

[ ]COMPLETE

The monthly fee for the Full and Complete Level is $150.00 and commences 13 months from the date of this contract. This will include all that is available from the intermediate level and an additional 40 calculators (for a total of 80, with more calculators scheduled to be released); a monthly exclusive newsletter with archived articles; twenty (20) additional pages of tax database and business and finance links. CPAsites also agrees to include up to ½ hour each month to update Client’s site for changes (adding or removing employees, changing wording, updating staff bios, announcements, adding an in-house newsletter, etc.).

Updates to the newsletter will consist at a minimum of three new business or tax articles written by CPAs or other business or tax professionals as well as an update of the archives, databases and links sections of the Website. The website may also be updated immediately with new articles any time an important national business or tax issue arises. These prices are guaranteed for a period of twenty-four (24) months beginning with the date of the contract. Invoices will be mailed, faxed or e-mailed on the 15th day of each month for payment due in advance on the first day of the following month of service.

CPAsites agrees to grant Client exclusive rights to the newsletters News & Views, Your Accounting Edge, or Financial Analysis in the Client’s geographical area. Client’s geographic area is defined as the smaller of; (a) the metropolitan area, if applicable, where its primary office is located; or (b) the area encompassing a radius of thirty-five (35) miles around Client’s primary office.

If CPAsites designs Website for Client, CPAsites will also provide Client up to 10 megabytes of server space for client articles or information on Client’s services, employees, local business and tax issues, etc. That service also includes customization of the Website including Client’s frame and up to fifteen standard pages of Client information during the initial design of the Website. Any additional Client information will be added to any website, at any time during or after the initial set-up, at a cost of Fifty ($50) Dollars per hour. Quotes will always be provided in advance when requested by Client. All Client additions in compatible electronic format must be provided at least 48 hours in advance.

Client agrees to maintain its Website subscription with CPAsites for a period of twenty-four (24) months. After that date this Agreement may be cancelled by written notice thirty days in advance to CPAsites. If notification of cancellation is not received, CPAsites will continue to provide services as mentioned above. IF, however, Client does wish to cancel, upon cancellation (provided the terms of cancellation have been fulfilled), CPAsites agrees to provide Client with all Website content designed exclusively for Client as party of the initial set-up or provided to Client on an hourly basis.

Client agrees that all Website articles, designs and information not added or may arise exclusively for Client, are copyrighted by Drake Technologies, Inc. If Client has subscribed to an exclusive newsletter service above, Client has the right to reproduce website articles for distribution via newsletter or mailing within its geographic area. If Client is subscribed to a non-exclusive newsletter, Client will not reproduce any copyrighted information, either electronically or otherwise with the intent to distribute via mailings or otherwise, without the prior written consent of Drake Technologies, Inc.

Client agrees to hold CPAsites harmless for any legal fees or damages which may arise from users of the Website acting on any advice or information given. CPAsites agrees to provide links throughout the Website to a disclaimer page advising Website users to seek professional advice before acting on any Website information.

The undersigned, an authorized representative of LoRicco, Crosland, Joiner & Company, P.A. does hereby agree to the terms and conditions of this Agreement on this the _____ day of February, 2004.

APPROXIMATE OUTLINE OF SET-UP

1)Contract is signed and initial deposit* is sent to Drake Technologies from Client.

Please return original, signed contract to Drake Technologies, Inc.

2)Client will provide initial information to Drake Technologies. This information will generally consist of the following: letterhead, brochures, any and all advertising, specific color desired (RGB or Pantone numbers are helpful, if known), partner and staff bios, photos, etc. The most important advice we can give is to scan through other websites on the internet for examples of styles, content and colors that you would like for your firm. If you print a particular webpage using your browser, the address for the page will appear on the printout and we can use that to go and “retrieve” a particular color that you like. Please note: Colors will appear significantly different on an illuminated screen (due to “backlighting”) than they do on a flat page (which is reflective light). We would appreciate having any and all information that you send to us to be in electronic format, but it is not a requirement. It saves a significant amount of time, obviously to not have to re-type information. We can scan in any logo or artwork that you may have but the quality will generally be better if we have the original software design from your printer or advertising agency.

3)CPAsites will set up an initial front page within 3 weeks and contact Client as to the “Construction Site” for Client to view and approve for the “go-ahead” for the rest of the site construction. CPAsites will contact Client with the location of the site once it has been created.

4)Client will then review the site and recommend adjustments/changes to Website.

5)CPAsites will have approximately two weeks in which to make those changes and provide the rest of Website for Client to view and approve.

6)Upon approval of Website, notification will be sent to various search engines and Website will be uploaded to Client’s domain name.**

*The initial deposit is one-half of the setup fee if CPAsites is designing a new site for Client or the full $450 setup if CPAsites is merely linking in to an existing Client site.

**If Client does not already have a domain name, CPAsites will apply for this using the top three (3) choices of Client.
