An Ordinance of the Township of Bernards, County of Somerset,

State of New Jersey, Authorizing the Township to Execute a

Quitclaim Deed Transferring All Interest in a Certain Bridge Crossing

Over and Above North Maple Avenue to Pharmacia Learning Center Corporation

and Verizon Corporate Services Group, Inc.

WHEREAS, the Bernards Township Committee desires to transfer the Township of Bernards’ rights, title and interests in a portion of the overpass bridge crossing over and above North Maple Avenue, along with all bridge abutments and structural elements and components appurtenant to and supporting such portion of the overpass bridge as it is no longer needed for public use; and

WHEREAS, Pharmacia Learning Center Corporation (“Pharmacia”) and Verizon Corporate Services Group, Inc. (“Verizon”), having partial ownership in the overpass bridge crossing over and above North Maple Avenue, agree to accept the transfer of all rights, title and interests in the overpass bridge from the Township; and

WHEREAS, the Township of Bernards is authorized to transfer its rights, title and interests in the overpass bridge crossing over and above North Maple Avenue pursuant to N.J.S.A. 40A:12-13; and

WHEREAS, the attorney for the Township of Bernards has reviewed and agreed to the Quitclaim Deeds, attached hereto and made a part hereof as Schedule A and Schedule B, to memorialize the transfer of rights, title and interests;

NOW, THEREFORE, BE IT ORDAINED by the Township Committee of the Township of Bernards, County of Somerset and State of New Jersey as follows:

1.The Township of Bernards hereby authorizes the transfer of all its rights, title and interests in a portion of the overpass bridge crossing over and above North Maple Avenue, along with all bridge abutments and structural elements and components appurtenant to and supporting such portion of the overpass bridge, to Pharmacia and Verizon.

2.The Mayor and Township Clerk of the Township of Bernards are hereby authorized to execute the Quitclaim Deeds transferring the Township’s rights, title and interests in the overpass to Pharmacia and to Verizon.

3.If any article, section, subsection, paragraph, sentence, clause or phrase of this Ordinance is, for any reason, held to be unconstitutional or invalid, such decision shall not affect the remaining portions of this Ordinance and they shall remain in full force and effect, and to this end the provisions of this ordinance are hereby declared severable.

4.This Ordinance shall take effect immediately upon final passage and publication according to law.

5.The Township Attorney is directed to record the Quitclaim Deeds with the Somerset County Clerk.

The New JerseyLocalLands and Buildings Law permits the sale of real property by a municipality when the same is not needed for public use. The Township Committee has determined that the rights and interests held by the Township in the overpass bridge crossing over and above North Maple Avenue is no longer needed for public use. As Pharmacia and Verizon have partial ownership in the overpass bridge, the Township Committee has determined that the same shall be transferred to Pharmacia and Verizon through Quitclaim Deeds.

Ordinance #1811 having been introduced and passed on first reading by the Township Committee of the Township of Bernards in the County of Somerset on 8/9/05, and then ordered to be published according to law, will be further considered for final passage and adoption at a public hearing held at a meeting of said Township Committee at the Municipal Building, 1 Collyer Lane, Basking Ridge, NJ in said township on 9/13/05, at 7:30 P.M., when and where, or at such time and place to which said meeting may be adjourned, all persons interested will be given an opportunity to be heard concerning said ordinance.
