Agreement(“Agreement”)datedasofClick or tap here to enter text.,20Click or tap here to enter text.(the“EffectiveDate”)betweenTheTrusteesofColumbiaUniversityintheCityofNewYork(“Columbia”)and ______(“ServiceProvider”).

1. Scope. ServiceProvideragreestoperformtherecruitment andsearchservices describedinAttachment 1–StatementofWork(the“Services”), inaccordance withthe criteriasetforthintheattachmentandtheother terms andconditionsofthisAgreement. TheServiceswillbeperformedonlyforthespecificpositiondescribedinAttachment 1, andColumbiaisnotmakinganycommitmenttoServiceProvidertoexpandthesearch ortoengageServiceProviderforanyotherservices.

2. Payments.

(a) ConditioneduponServiceProvider’sperformanceoftheServicesinaccordance withthisAgreement, ColumbiawillpayServiceProvidertheamountsspecifiedin Attachment1. ThepaymentsspecifiedinAttachment 1representColumbia’s total financialcommitmenttoServiceProviderforallServicesanddeliverables,andother obligationsunderthisAgreement.

(b) Toreceivethispayment,ServiceProvidermusthavereferredcandidate(s) who werethenhiredbytheColumbiafortheposition(s)describedintheAttachment 1- StatementofWorkwithinsix(6)monthsofthereceiptofcandidate(s)’resumefrom ServiceProviderbyColumbia University personnel whosubmitted theJobRequisition requestingServicesfromServiceProvider.

(c) IfColumbiaeitherdoesnotrespondorverballyrejectsareferredcandidate withinsix(6)monthsofreceiptbyColumbia Universitypersonnel oftheCandidate’s resumeforaparticular positionidentifiedintheAttachment 1–StatementofWork, ColumbiashallbeundernoobligationtopayServiceProviderforthisreferral.

(d) ColumbiawillnotberequiredtopaytheServiceProviderafeeonanyColumbia Candidate.AColumbiaCandidateshallbeanypersonwhowaspreviouslyknownto Columbia, oranypersonwhoseresumehadpreviously beenobtained bytheColumbia throughother means. Notwithstandingtheforegoing,ifaColumbiaUniversitypersonnel forwardsacandidate’s resumehe/shehasreceivedforaspecificpositionidentifiedina Job Requisition addendum, to another Columbia University personnel, and that candidateishiredbyColumbia,ColumbiawillpayServiceProvideraflat15%referral feeforthisreferral,providedthatanothersourcehasnotpreviously introduced this candidateforthesameposition.

(e) IfColumbia failstohireanycandidate referredbyServiceProviderwithinsix(6) monthsfromreceiptbyColumbiaofthe candidate’sresume,Columbiashallbeunderno obligationtopaytoServiceProviderafeeforthisreferral.Intheeventthatacandidate ispresentedtoColumbiaUniversitypersonnelbyServiceProviderandthecandidate hasself-identified (appliedtoColumbiadirectly)orbeenpreviouslyidentifiedbyother source,Columbia reservestherighttohirethosecandidate withoutanyfinancial obligationtoServiceProvider.

3.PerformanceofServices.

(a) ServiceProviderwillperformtheServices inatimelymannerandin accordancewithanyschedulesetforthinAttachment1. Thepartiesagreethat“time is oftheessence”withrespecttoServiceProvider’sperformance.

(b) ServiceProviderwillassignqualifiedandexperienced personneltoperform theServices. WhereAttachment 1identifiesspecificServiceProviderpersonnel,these individuals willremainassignedtoprovidetheServicesthroughoutthetermofthis Agreement,inaccordancewiththeirrolesandresponsibilitiesidentifiedinAttachment1, unlessotherwise approved inwritingbyColumbia. However, ifColumbia objectstothe mannerofperformance ofanyServiceProviderpersonnel(includinganythirdparty contractors oragentsofServiceProvider),ServiceProviderwillpromptlytakeall necessary actionstorectifytheobjections, including,ifrequestedbyColumbia,the promptremovaloftheindividual fromtheprovisionofServicestoColumbia. Ifit becomesnecessarytoreplaceany personneloragents,ServiceProviderwillprovideas a replacement a person with equivalent or better qualifications, as approved by Columbia(suchapprovalnottobeunreasonablywithheld).

(c) Service Provider will obtain Columbia’s prior written consent of any advertising orpublicstatementstobemadebyServiceProvideraspartofitssearch services. WhererequiredbyColumbia,ServiceProviderwillrequirecandidatesto create a profile and submit their resumes through Columbia’s online system.

(d) ColumbiaisanEqualOpportunity Employer. ServiceProviderwillnot discriminate againstanyapplicantforemploymentbecauseofage,ancestry,color, disability, genderidentity,maritalstatus,nationalorigin,parentalstatus,race,religion, sex,sexualorientation,orsourceofincomeorveteranstatus. Alladvertising andother noticesforthepositionthatColumbiamayauthorizemustbenondiscriminatoryand mustincludereferencetoColumbia’scommitmenttoaffirmativeactionthroughequal opportunityusingthefollowingstatement:ColumbiaisanEqualOpportunityEmployer.

(e) AllrecordsofthesearchprocessmustbekeptbyServiceProviderfora periodofthreeyearsfromtheterminationdateofthisAgreement. Thisincludeswithout limitation,copiesofalladvertisements, materialsreceivedfromapplicants,reference letters,andrankinggrid.Copiesof thesematerialswill beprovidedtoColumbiauponits request.

(f) Anyplacements madebyServiceProviderunderthisAgreement willbe guaranteed asfollows. IfanyindividualplacedbyServiceProviderresignsoris terminated byColumbiaforanyreason(withorwithoutcause)within90daysfromthe startoftheindividual’semployment byColumbia,ServiceProviderwillrefundto Columbia anyamountspaidtoServiceProviderrelatedtotheplacement. Ifany individualplacedbyServiceProviderresignsoristerminatedbyColumbiaforcause withinoneyearfromthestartoftheindividual’semployment byColumbia,Service ProviderwilluponColumbia’s request,andatnoadditionalchargetoColumbia, reinstitute the search and diligently provide other qualified candidates. Service Provider’sreinstituted searchshallcontinueforaperiodofnotlessthan120additional daysor,ifearlier,untilacandidateforthepositionisemployedbyColumbia.

(g) Service Provider will provide timely and complete status and other reasonable reportstoColumbiaasmayberequestedfromtimetotimebyColumbia. Statusreportswillidentifyanticipated oractualprojectdelaysorissuesinreasonable detail. IfServiceProviderbelievesthatColumbia isfailingtoperformanyactivityor obligationthatwilldelayorinterferewithServiceProvider’sperformance ofthis Agreement,ServiceProviderwilltimelynotifyColumbia’s inwriting,andwillcooperate withColumbia’seffortstoresolvethematter. Columbia’sfailuretoperformanyactivity orobligationwillnotexcuseServiceProvider’sdelay ornonperformance,unlessService ProviderprovidestimelynoticetoColumbiainaccordancewiththisAgreement.

(h) ServiceProvidershallbeartheexpenseofprovidingallservicesincluding butnotlimitedtoServiceProvidertravel,advertisingandconferencing includingvideo conferencingandteleconferencing.

4.Warranties.

(a) EachofServiceProviderandColumbiawarrantsthatithastherequisite powerandauthoritytoenterintoandperformitsobligations underthisAgreement. ServiceProviderwarrantsthatitisnotdebarred,suspended, proposedfordebarment, declaredineligible,orvoluntarilyexcludedfromcoveredtransactions byany governmentaldepartmentoragency.

(b) Service ProviderwarrantsthatitwillperformtheServices(i)inadiligentand highlyprofessional manner,(ii)inaccordance withapplicablelaw,and(iii)through experiencedindividualsqualifiedto performthe Services.ServiceProviderwill obtainall requiredgovernmental andthird-partylicenses,approvals,andpermitsappropriatefor theprovisionofServicesanddeliverables. ServiceProviderrecognizesandagreesthat itisengagedinaprofessional relationshipwithColumbia,andwillconductitselfatall timestofurthertheinterestsofColumbia. Inthat connection,ServiceProviderwarrants thatitwillnotdisfavorColumbia toadvance theinterests ofanyotherclientofService ProvideratanytimeduringthetermofthisAgreement.

5.Confidentiality.

(a) ServiceProviderwilltreatasconfidentialalldata,records,accounts,and otherinformationregardingColumbiaanditsaffiliatesthatbecomeknowntoService ProviderorisgeneratedbyServiceProviderthroughitsactivitieshereunder, including information regardingColumbia’s anditsaffiliates’operations, policies,procedures, faculty,employees, students,information technologysystems,andfinancialinformation andplans(“ColumbiaConfidential Information”). ServiceProvider’sconfidentiality obligationsincludeestablishingandmaintainingappropriatesafeguards,proceduresand systemstoavoidtheunauthorizeddestruction,loss,alterations,accessto,ordisclosure ofanyColumbiaConfidentialInformation,inaccordance withthestandardsofthe applicableindustryandasotherwiserequiredbylaw.

(b) During andafterthetermofthisAgreement,ServiceProviderwillnotuseor discloseColumbia’sConfidential Information, exceptforthepurposeofprovidingthe ServicesinaccordancewiththisAgreement,orasmayberequiredbylaw,regulationor courtorder. ServiceProviderwillobtainfromallsubcontractorsandagentsauthorizedtoperformtheServicesunderthisAgreementasignedwrittenstatementagreeingtothe confidentialityprovisionsherein.

(c) Theobligationsofconfidentiality underthisSectiondonotapplytoany informationtotheextentit: (i)wasknowntoServiceProviderpriortoitsreceiptofor accesstothatinformation underthisAgreement,(ii)wasorbecomesamatterofpublic information orpubliclyavailablethroughnoactorfailuretoactonthepartofService Provider,(iii)isacquiredfromathirdpartyentitledtodisclosetheinformation without obligationofconfidentiality, or(iv)isdevelopedindependently andwithoutuseof Columbia’sConfidentialInformation.

(d)Service Provider acknowledges that Service Provider has received and reviewed a copy of the written Identity Theft Prevention Program (ITPP) maintained by Columbia University pursuant to the FTC Red Flags Rule, 16 C.F.R. §681.2 and will follow accordingly. In performing activities in connection with a Covered Account (as defined in the ITPP), Service Provider and its personnel will maintain and observe policies and procedures to detect relevant Red Flags that may arise in the performance of the Service Provider’s activities, and will take appropriate steps to prevent or mitigate identity theft. Service Provider agrees to report promptly and comprehensively to Columbia University in writing in the event Service Provider in connection with a Covered Account detects an incident of actual or attempted identity theft or is unable to resolve one or more Red Flags that Service Provider detects in connection with a Covered Account.

6. OwnershipRights. AlldeliverablestobeprovidedunderthisAgreement,andany othermaterials made,conceived oractuallyreducedtopracticebyServiceProviderin theperformance ofServiceshereunder,(collectivelythe“WorkProduct”)willbeowned exclusively byColumbia,includingallproprietary andintellectual propertyrightstherein. Tothefullestextentpermissible underlaw,theWorkProductwillbea“workmadefor hire” forColumbia.TotheextentnotautomaticallyvestedinColumbia,ServiceProvider herebyassignstoColumbia allright,titleandinterestinandtotheWorkProduct, including,withoutlimitation,copyright, patent,andtradesecretrights. UponColumbia’s request,ServiceProviderwillexecuteanyadditionaldocumentsnecessaryforColumbia toperfectitsownershiprights.

7. Indemnity.

(a) To the fullest extent permitted by law, ServiceProviderwillindemnify, holdharmlessanddefendColumbia, its trustees, officers, faculty, students, agents, and employees against any and all damages, suits, actions, claims, liabilities, losses, judgments, costs and expenses arisingoutoforrelatingto(i)anypersonalorbodilyinjury(including death)orproperty damagecausedbyServiceProvider’snegligent, unlawful,orwillfulactsoromissions or breach ofthisAgreement,includingwithout limitation,anallegationbyanycandidatefor employmentthatServiceProviderhasviolatedapplicablelaworhasdefamed,libeled, or slandered such individual or (ii) breach of Service Provider’s confidentiality obligations.

(b) Columbia willprovidepromptwrittennoticetoServiceProviderofanyclaim thatServiceProviderisobligated toindemnify underthisAgreement. ServiceProvider willbepermitted tocontrolthedefenseoftheclaimandanyrelatedsettlement negotiations, andColumbiawillcooperate(atServiceProvider’sexpense)withthe defenseandsettlement oftheclaim. Inseekingtosettleaclaim,ServiceProvidermay notpurporttoacceptorexposeColumbia toanyliability,oradmittoanyfault,unless approvedinwritinginadvancebyanauthorizedrepresentative ofColumbia.Columbia willhavetheright,atitsoptionandexpense,toparticipate inthedefenseofanysuitor proceedingthroughcounselofitsownchoosing.

8.Disputes.

(a) Thepartieswillmakegoodfaitheffortsto resolveanydisputeconcerningthis

Agreementpriortocommencinglitigation.

(b) ColumbiawillnotbedeemedtobeinbreachofthisAgreementforpurposes ofSection10andotherprovisionsofthisAgreementforwithholdinganyportionof

paymentthatColumbia isdisputing ingoodfaith. Columbiawill,however, makeprompt paymentofanyportionofanamountnotunderdispute.

(c) The laws of the State of New York will govern all rights, duties, and obligations arisingfromorrelatinginanymannertothisAgreement, withoutregardto conflict oflawsprinciples. Anyandallclaimsarisingfromorrelating tothisAgreement willbeheardeitherinfederalorstatecourtslocatedintheCityandCountyofNewYork.

9. UseofName. ServiceProvider willnotusethename,insignia, orsymbols of Columbia,itsfacultiesordepartments, oranyvariationsorcombinationthereof,orthe nameofanytrustee,facultymember,otheremployee, orstudentofColumbiaforany purposewhatsoeverwithoutColumbia’spriorwrittenconsent.

10. TermandTermination.

20Click or tap here to enter text. ,unlessotherwiseterminatedinaccordancewiththisSection.TheStatementof WorkwillbeginontheEffective DateandwillendwhenServiceProvider andColumbia havecompletedtheirobligationsthereunder,unlessotherwisestatedinthe Statementof Work.

(b) ColumbiamayterminatethisAgreementinwholeorinpartatanytime without cause upon at least five days written notice to Service Provider. If this Agreementisasubcontract (withColumbiabeingthecontractortoanotherparty,and ServiceProviderbeingColumbia’ssubcontractor), thenColumbiamayimmediately terminatethisAgreement uponwrittennoticetoServiceProvideriftheprimecontractis terminatedforanyreason.

(c) ColumbiamayterminatethisAgreementforServiceProvider’sbreachupon atleasttendayswrittennoticetoServiceProvider,unlessduringsuchnoticeperiod ServiceProviderfullycuresthebreachtoColumbia’sreasonablesatisfaction.

(d) ServiceProvidermayterminatethisAgreementforColumbia’sbreachfor failuretopayanyamounts thendueuponatleast30dayswrittennoticetoColumbia, unlessduringsuchnoticeperiodColumbiafullycuresthebreach.

(e) IfColumbiaterminatesthisAgreementwithoutcause,Columbiawillpromptly pay ServiceProviderforitsServicesperformedthroughtheeffectivedate oftermination, inaccordancewiththetermsofthisAgreement.

(f) Intheeventofanytermination, oratanytimeuponColumbia’srequest, ServiceProviderwill:(i)immediately returntoColumbiaanyColumbiaproprietary materialsandinformationinServiceProvider’spossession orcontrol,includingwithout limitationallColumbiaConfidential Informationandanydeliverables thenunder development;and(ii)atColumbia’srequest,cooperatewith Columbiainthetransitionof theworkperformedunderthisAgreementtoColumbiaoritsdesignee.

(g)AnyprovisionsofthisAgreement thatbytheirnatureextendbeyond terminationwillremainineffectinaccordancewiththeirterms. Withoutlimitation,theprovisions of this Agreement will survive any termination.

11. Insurance.

(a) ServiceProviderwillmaintain,atitsowncostandexpense,thefollowing typesandamountsofinsurance withinsurersrated"A""VII"orbetterbyA.M.Bestand licensedintheStateofNewYork:

1) Commercial General Liability insurance, written on an occurrence basis including,butnotlimitedto,coverageforcontractual liability,productsandcompleted operations, personalinjury,bodilyinjuryandbroadformpropertydamageliabilitieswith liabilitylimitsnotlessthan$1,000,000peroccurrenceandannualaggregate.

2)Whenworkingon-siteatColumbiafacilitiesoratColumbiasponsoredevents,

(i) Workers'Compensation andEmployersLiabilityinsurance,coveringeach employeeof ServiceProviderengagedintheperformance ofworkunderthis Agreement,withminimumlimitsofliabilityinaccordancewithapplicablestatelawinthe caseofWorkers'Compensationinsurance,andwithnotlessthanthefollowinglimitsof liabilityinthecaseofEmployersLiabilityinsurance:Workers' Compensation-Coverage A–Statutory;EmployersLiability-CoverageB- EachAccident-$1,000,000;Policy Limit-$1,000,000;EachEmployeebyDisease-$1,000,000.

3) Thepolicy requiredbysub-section1)shallprovidethattheinsurancecompany paythecostsofdefense(includingattorneys'fees)ofanysuitorproceedingagainst ColumbiaUniversityorits trustees,officers,agents,oremployees,alleginganyomission oractrelatingtothisAgreement,andseekingdamagesonaccountthereof,evenif such suitisgroundless, falseorfraudulent. Thepolicyshallbeprimaryandwrittentocover claimsincurred,discovered,manifestedormadeduringoraftertheexpirationofthis agreement. InsuranceprocuredbyServiceProvidershallnotreduceorlimitService obligationtoindemnifyanddefendColumbiaUniversityorServiceProvider’sliabilities forclaimsmadeorsuitsbroughtwhichresultfromorareinconnection withthe performanceofthisAgreement. AnyinsuranceColumbiaUniversitymaypurchaseshall beexcessandnon-contributory.

(b) Prior to commencement of the work, Service Provider will deliver certificates ofinsurance totheUniversity providingevidenceofthecoveragerequired above. Eachcertificate ofinsurance shallprovidefora30-daywrittennoticeof cancellation ormaterialchangeandshallnameTheTrusteesofColumbiaUniversityin theCityofNewYork,itstrustees,officers,agentsandemployees asadditionalinsured. Certificates of insurance are to be sent to the University’s Director of Service Agreements,ColumbiaUniversityPurchasingOffice,615West131stStreet,NewYork, NY10027.

12. Non-Solicitation.ServiceProvidershallnot solicitorrecruitthe personbeingplaced byColumbia,orhis/hermanagerordirect reports,foraperiodoftwoyears followingthe datethatindividualbeginshisorheremploymentwithColumbia.

14. Other.

(a) ServiceProvideranditsagents,contractorsandemployeesenteringupon Columbia’s premiseswilltakeallproperandsufficientprecautions andsafeguards againsttheoccurrence ofanyaccidents,injuries(includingdeath)ordamagestoany personorproperty.

(b) NeitherpartywillattempttoassignthisAgreement,inwholeorinpart, withoutthe priorwrittenconsentofthe other. ServiceProvidermaynotsubcontractany ofitsobligationshereunderwithoutColumbia’spriorwrittenconsent. Anyattemptto assignorsubcontractwithoutconsentisvoid. Anyapprovedsubcontractswillbe subjecttoallconditionsofthisAgreement,andServiceProviderwillberesponsiblefortheperformanceofitssubcontractorstothefull extentasifemployeddirectlybyService

Provider.

(c) ThisAgreementdoesnotcreateanyrightorcauseofactionforanythirdparty

(d) ServiceProviderwillperformtheServicesinaccordancewithallapplicable laws, rules and regulations, including equal employment opportunity laws and regulations. IfServicesarefundedthroughagovernmentgrantorcontract,Service Providerwillcomplywithalllaws,regulations, standards,andrulesapplicabletosuch grantorcontract,asiftheywerefullysetforthinthisAgreement.

(e) IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,but wouldbevalidandenforceableifappropriately modified,thensuchprovisionwillapply withthemodification necessarytomakeitvalidandenforceable inaccordance withits objectives. Inanycase,theremainingprovisionsofthisAgreementwillremaininfull forceandeffect.

(f) Thefailureordelayofeitherpartytoinsistonstrictperformanceofanyterm orcondition,ortoexerciseanyrightorremedyinthisAgreement,isnotintended,and willnotbeconstruedas,awaiverofanysuchrightorremedy.

(g) ServiceProviderwillmaintainaccurateandcurrentaccounting andfinancial recordsconcerning itsactivitiesunderthisAgreement. Columbiaoritsdesignated representatives willhavetherighttoaudit(atColumbia’sexpense)ServiceProvider’s books,recordsandoperationstoconfirmcompliance withitsobligationsunderthis Agreement.

(h) ServiceProviderwarrantsthatthereexistsnoactual,potentialorappearance of conflict between Service Provider’s family, businesses, or financial interest and ServiceProvider’sperformance oftheServices. ServiceProviderrepresentsthatithas notoffered(andwillnotofferduringthetermofthisAgreement) anycompensation, reward,gift,favor,service,outsideemployment,reimbursement ofexpenses,loan, ownershipinterest,or anythingelse of monetaryvalue,to any officer,employee, student,orfacultymemberofColumbiaasaninducement toenteringintoorcontinuing underthisAgreement. ServiceProviderwillnotifyColumbia inwritingofanychangein conditionsthatmightgivetheappearance ofaconflictofinterest. ServiceProviderwill supportandsafeguardColumbia’slegitimateinterestsinanydealingswiththirdparties.

(i) ServiceProviderisanindependentcontractorwithrespecttoColumbia,and nothinginthisAgreement constitutesthepartiesaspartners,jointventurers,co-owners orotherwiseasparticipantsinajointorcommonundertaking, oralloweitherpartyto create or assume any obligation on behalf of the other party for any purpose whatsoever. NeitherServiceProvidernoritsemployeesoragentswillbeentitledtoany benefitsapplicableto Columbia’semployees.ServiceProviderwillbe solelyresponsible foritscompliancewithalllaws,regulations, andrulesregardingemploymentofits personnel,andforanyclaimsmadebypersonnelorotherindividualsassignedby ServiceProvidertoprovidetheServices, including anywages,benefits,workers’ compensation,healthandunemploymentinsurance,andpensioncontributions.

(k) ThisAgreementisthecompleteagreementbetweenColumbiaandService Providerregarding itssubjectmatter,andreplacesanypriororalorwritten communicationsbetweenthem. AnymodificationtothisAgreementmustbemadein writingandsignedbyauthorizedrepresentativesofbothparties. Anyvariancefromor additiontothetermsand conditionsofthisAgreementinany presentorfutureinvoiceor otherdocumentdeliveredbyServiceProviderwill bevoidandofnoeffectunlessagreed toinwritingbyanauthorizedrepresentativeofColumbia.
