AGREEMENT FOR LICENSE OF KNOW-HOW AND RELEVANT PATENT:

Between: ESCP Srl, represented by Lavanga Vito, based in Milan, Via Socrate 2, Italy, called "Grantor" (on one side) and ... the company, based in ... , state, called "Licensee" (the other), also provided that the grantor is in possession of technical, commercial information and relevant applications expertise the patent (or patent application)WO2016092583, wich interest the Licensee, it is hereby agreed as follows.

Art. 1 - The Grantor authorizes the Licensee to manufacture, market, sell the goods produced with the know-how provided and the patent (if obtained), both in writing and verbally, in person or in electronic form.

Art. 2 - The license, non-exclusive, it can not be sold to third parties without the prior consent of the Grantor. To Licensee has the right of first refusal on any subsequent license in the same territory.

Art. 3 - This license (production, distribution and use) is granted for the follow and territories: area of approximately 50,000,000 (fifty million people, bordered by appropriate list provinces/municipalities), to make the city center ... (State), in the state's limits of the city.

Art. 4 - The Grantor agrees to provide the Licensee, assistance and all the information about the material of use, the same experiment, the use of methods, including how to keep secrets, so that a technician normal professional qualification can realize the goods or services, after a reasonable period of learning and experimentation. The Grantor will provide the Licensee, within three months from the signing of this agreement, assistance and all information, project and useful designs which allow the realization of the products. Goods and services of Licensee, will bear the hallmark of the Grantor (if authorized, with dedicate license), ensuring compliance and legality of the assets. In a dossier will be united materials, dated from PEC and secret, also this deal with sensitive data.

Art. 5 - The Grantor claims not to be aware of the existence of valid patents belonging to third parties and places to suits the industrial process involved in this contract, but does not guarantee that such a patent can not be exist after.

Art. 6 - The Licensee agrees to pay the sum of € 100,000 (one hundred thousand / 00 euro), 20% to signing of this agreement, the balance in 30 days; after started activity (produce, sell or use), the Licensee shall pay to the Grantor 5% of the resulting turnover (direct or indirect) or equivalent goods acted in the market; befits a semi-annual reporting and the right to transparency on the relevant accounts.

Art. 7 - The Licensee, for himself and those leading into the secret, undertakes to consider as strictly confidential all documents and information communicated (know-how), even after the conclusion of this contract. In this respect, it will take all the appropriate precautions to safeguard the secret and full know-how.

Art. 8 - The Parties undertake not to participate, directly or through intermediaries, in any society that might have misused for the same given area, documentation and technical information under this contract. The Parties will cooperate to prevent, in any way, prevent third parties from doing so copy the servile copy of the product. In particular, they will lend themselves to one another support action directed toward the imitators or infringers, in the manner and form permitted by law and by existing regulations in the countries where they exist or third act to follow.

Art. 9 - This contract will last 20 years. At the end of the validity of this agreement, the Licensee will not disclose the technical documentation in its possession.

CONTRATTO PER LICENZA DI KNOW-HOW E BREVETTO PERTINENTE:

Tra: ESCP Srl, rappresentata da Lavanga Vito, con sede in Milano, Via Socrate 2, Italia, denominato “Concedente” (da una parte) e la Ditta ..., con sede in ..., Stato, denominata “Licenziataria” (dall’altra), altresì premesso che il Concedente è in possesso di informazioni tecniche, commerciali e know-how applicativo pertinente il brevetto (o domanda di brevetto) WO2016092583, che interessano la Licenziataria, si conviene e stipula quanto di seguito.

Art. 1 - Il Concedente autorizza la Licenziataria a produrre, vendere, usare i beni prodotti con il know-how fornito ed il brevetto (qualora conseguito), sia in forma scritta che verbale, di persona o in forma telematica.

Art. 2 - La licenza, non esclusiva, non può essere ceduta a terzi, salvo previo consenso del Concedente. Alla Licenziataria si riconosce il diritto di prelazione su ogni eventuale successiva licenza nello stesso territorio.

Art. 3 - La presente licenza (produzione, distribuzione ed uso) è accordata per i seguente territorio: comprensorio di circa 50.000.000 abitanti (cinquanta milioni di abitanti, delimitato da congruo elenco provincie/comuni), a far centro la città …(Stato), nei confini dello stato di appartenenza della città.

Art. 4 - Il Concedente si impegna a fornire alla Licenziataria, assistenza e tutte le informazioni circa il materiale d’uso, la sperimentazione dello stesso, i metodi di impiego utilizzati, ivi compresi quanto da mantenere segreto, in modo che un tecnico di normale qualificazione professionale possa realizzare i beni o servizi, dopo un ragionevole periodo di apprendimento e di sperimentazione. Il Concedente fornirà alla Licenziataria, entro il termine di 3 mesi dalla firma del presente contratto, l’assistenza e tutte le informazioni, progetti e i disegni utili che consentano la realizzazione del prodotto. Beni e servizi della Licenziataria, potranno fregiarsi di marchio distintivo del Concedente (se autorizzato, con licenza dedicata), a garanzia di conformità e liceità dei beni stessi. A detti materiali sarà unito un dossier, datato da PEC e segreto, completo di questo accordo con i dati sensibili.

Art. 5 - Il Concedente dichiara di non essere a conoscenza dell’esistenza di validi brevetti appartenenti a terzi e posti a tutela del procedimento industriale oggetto del presente contratto, senza tuttavia garantire che un tale brevetto non possa rivelarsi in seguito esistente.

Art. 6 – La Licenziataria si obbliga a versare l’importo di 100.000€ (centomila/00 euro), il 20% alla firma del presente accordo, il saldo entro 30 giorni; da inizio attività produttiva, vendita o uso, la Licenziataria verserà al Concedente il 5% del fatturato conseguente (diretto o indiretto) o di beni equivalenti nel mercato agito; si conviene una rendicontazione semestrale e diritto alla trasparenza sulla contabilità pertinente.

Art. 7 - La Licenziataria, per se e coloro che introduce al segreto, si obbliga a considerare come strettamente riservati tutti i documenti e le informazioni comunicati (know-how), anche dopo la conclusione del presente contratto. Al riguardo, essa adotterà tutte le più opportune precauzioni al fine di salvaguardare il segreto e know-how complessivo.

Art. 8 - Le Parti si impegnano a non partecipare, direttamente o per interposta persona, in alcuna società che possa utilizzare indebitamente, nello stesso territorio accordato, la documentazione e le informazioni tecniche oggetto del presente contratto. Le Parti si presteranno reciproca collaborazione per impedire, in ogni miglior modo, che terzi possano copiare servilmente il prodotto. In particolare, esse si presteranno reciproca assistenza nell’azione diretta a perseguire gli imitatori o contraffattori, nei modi e nelle forme consentite dalle leggi e dagli ordinamenti vigenti nei Paesi dove esistono o agiscono terzi da perseguire.

Art. 9 - Il presente contratto avrà la durata di 20 anni. Al termine della validità del presente contratto, la Licenziataria si asterrà dal divulgare la documentazione tecnica in suo possesso.
