AMBERWOOD VILLAGE RECREATION ASSOCIATION (AVRA)

ANNUAL GENERAL MEETING 2017

TO BE HELD ON TUESDAY OCTOBER 24, 2017 AT 7 PM AT AMBERWOOD LOUNGE AND EATERY (ALE) AT THE GOLF CLUB

The AVRA Board of Directors is committed to communicating in an open and transparent manner to its membership in order that it can carry out its duties as defined in its Bylaws, "to maintain such surveillance and take such action as required by corporate law and as appear appropriate and reasonable to best ensure the continued existence, viability, and value of the Association's assets for the use and enjoyment of the residents of Amberwood Village; and in so doing, contribute to maintaining and enhancing the property values of the owners."

This AVRA AGM 2017 Notice is being sent to all AVRA Members and all Amberwood property owners. The AVRA Board of Directors invites all AVRA Members to attend this important Meeting.

The AVRA AGM 2017 Notice is being hand delivered by Board Members to all owners of Amberwood Village Property, posted on the AVRA website and emailed to those home owners for which the Board has contact information.

The Agenda includes Proposed Changes to the AVRA By-laws.

As per the Amberwood Village Recreation Association By-laws (updated November 28, 2000) Section 29.0:

29.0 The Board may from time to time repeal, amend or re-enact the by-laws of the Association, but any such changes or enactment must be confirmed by a meeting of the members called for that purpose before they shall have any force or effect. A quorum for such a meeting shall consist of not less than eighty (80) voting members of the Association either present in person or represented by proxy. Approval of any such change or enactment shall require an affirmative vote by not less than sixty-six and two-thirds (66 2/3%) of the votes cast by members present in person or represented by proxy.

The Agenda will also include the appointment of Directors.

As per Section 4.0 and 4.1 of the AVRA By-laws:

4.0 The Board of Directors shall appoint in each year a Nominating Committee of Association members, at least one of whom shall be a Director who is eligible to be on the Board for the following year. The Nominating Committee shall nominate sufficient members to fill the vacancies of the Board, and present their slate for approval at the next AGM.

4.1 Additional nominations for the Board of Directors may be made in writing and signed by at least three members in good standing, accompanied in writing by the consent of the nominee to serve, if elected, and delivered to the Association Secretary at least 48 hours before the AGM.

The Board of AVRA sincerely believes that open, clear communication is important. Please forward your email/contact information to the AVRA Board n order to ensure that you receive ongoing updates and further communication from the Board.

For those of you who have not yet become shareholders of AVRA's assets, the Amberwood Golf Club buildings and property, the Board encourages you to become a member of AVRA and attend this important Meeting. For a one time fee of $35, you can become a shareholder in this valuable community owned asset. Become a member today. Attached you will find a membership application.

Memberships will not be sold at the door prior to the AGM. Non AVRA Members who wish to attend the AGM should purchase their Membership prior to the Meeting.

Please bring your copy of the AVRA AGM 2017 Notice Package to the AGM.

Thank you for your interest and understanding of the volunteer Board Members who represent the interests of all property owners in Amberwood Village.

If you are unable to attend AVRA AGM 2017, we solicit your proxy. You have the right to appoint any member of AVRA. This proxy must be filed with the Secretary of AVRA prior to the start of the Meeting. Your proxy may be given to any member of the AVRA Board of Directors or left at the Golf Club Pro Shop.

There shall be only one vote per condo unit or single family residence.
