Dear Shepherd PTA and Administrators,
Per theletter from the Shepherd PTSA dated February 9, 2012, we have been informed that your parent group is no longer interested in functioning as a PTA unit under the auspices of the Montana PTA. As a result of your choosing to end your affiliation with PTA, the following actions will be taken by the Montana PTA:
- The Montana PTA will inform the IRS and the Montana Department of Revenue that the ShepherdPTAis no longer covered by the Montana PTA group tax exemption as a non-profit 501(c)(3) organization beginning February 15, 2012, the effective date in your termination letter.
- Effective February 15, 2012, the effective date stated in your letter, you will no longer be covered by the PTA liability insurance.
- Your Montana PTA local unit charter has been revoked.
- You will not be permitted to make further use of any name that implies or connotes association with the National PTA or the Montana PTA.
- The Montana PTA will continue to advocate for the children at Shepherd as well as those from across the state and nationwide, but will be unable to receive direct input from you as to what your areas most concern your group.
To complete the dissolution process, your group will need to take the following actions:
- Your organization was incorporated under the PTA name and received an EIN number for that organization. Current accounts associated with this EIN must be closed immediately. This includes accounts with other organizations such as Box Tops, General Mills, Target, Kohls, etc. that make use of the Shepherd PTSA name or EIN number.
- The IRS requires your organization to file a final 990-N form. Per IRS instructions, be sure to answer “YES” to the question “Has your organization terminated or gone out of business?”
- Appropriate dissolution paperwork will need to be filed with the Montana Secretary of State and the Montana Department of Justice. Copies of those forms have been included in this letter.
- All remaining physical assets, such as equipment or supplies,will need to be turned over to a nonprofit organization with fully established 501(c)(3) status, as is required by State Law as directed by the Montana PTA Uniform Bylaws for Local Units which contain specific instructions on the disbursement of any assets of a local PTA at the time it is dissolved.
- PTA® is a registered service mark of the National PTA, registration number 808987, issued May 24, 1966. This registration issued by the federal government may not be used by organizations that are not affiliated with the National Congress of Parents and Teachers or the Montana PTA. Wemust ask that you cease using the PTA name immediately on any of your organization materials or websites affiliated with your group.
Per your letter, we will expect to receive receipt of undispersed funds and financial, membership, and other pertinent documents in our office shortly after March 9, 2012.
