STRATFOR is pleased to provide Wal-Mart with this proposal to provide, tailored access and distribution of our intelligence to your analysts and access to a dedicated briefer either by phone or email. STRATFOR’s corporate intelligence services will assist Wal-Mart in understanding the geopolitical outlook, economic environment and security risks in the countries of interest.

Scope of Work and Deliverables

STRATFOR will provide Wal-Mart intelligence information regarding specific countries of interest via access to the STRATFOR website and access to our briefers to answer analytical questions of interest. This service will include:

I. Web Site Access—Stratfor will provide up to 15 designated Wal-Mart employees with access to the www.stratfor.com website. This service includes access to STRATFOR’s archive of current and previous analytical assessments, as well as email alerts containing new intelligence and analysis.

II.  Briefer access—Up to 3 designated Wal-Mart employees will have the ability to directly contact a designated STRATFOR Briefer for consultation regarding 10 countries, including Argentina, Brazil, Chile, China, Costa Rica, Guatemala, India, Mexico, Nicaragua and Peru. STRATFOR’s briefer will respond via phone or email to discuss questions from Wal-Mart designated employees. STRATFOR Briefers also will utilize the STRATFOR analytical team to answer Wal-Mart questions, when needed.

III. Travel Security Assessments—STRATFOR will create six executive travel security assessments to detail the security problems executives are likely to face during travel to a certain city. These assessments will include discussions of terrorism, crime, political instability, war and insurgency, and other miscellaneous threats. Each assessment will be approximately 6 pages in length. STRATFOR will create these assessments at the request of designated Wal-Mart personnel within 10 business days of the initial request.

Terms of Service

STRATFOR will provide these services in accordance with the Master Services Agreement signed between Wal-Mart and STRATFOR with an initial 12 month period of performance. Service will begin on a mutually agreeable date within 30 days of the signing of the addendum.

Each party may terminate these services without cause with ninety (90) days prior written notice specifying the date this termination is to be effective.

Any work requested by Wal-Mart outside the scope of this agreement will be billed at a rate of $225 per hour for work performed by STRATFOR analysts, and $275 per hour for work performed by STRATFOR directors and vice presidents.

Payment Terms

STRATFOR will invoice Wal-Mart for $41,250 upon execution of the addendum to serve as the first month’s payment. STRATFOR then will invoice Wal-Mart for $3,750.00 per month for the following 11 months, according to the terms listed in the Master Services Agreement.

Proprietary Information

During the course of the term of this proposed agreement, Wal-Mart and STRATFOR may have access to information of the other party that is confidential and proprietary. Such information may include, without limitation, customer lists, corporate or facility data regarding affiliates, information about trade secrets, costs, markets, strategies, plans for future development and any other development, and any other information of a similar nature. Each party, independently, hereby expressly covenants and agrees that anytime during the term of this agreement, it shall not use, furnish or disclose any confidential or proprietary information to any other person, corporation, association or other entity without the prior written consent of the other party.

Legal Compliance

STRATFOR represents, warrants, and covenants to Wal-Mart that all services to be performed by STRATFOR for Wal-Mart will be performed in strict compliance with all applicable federal, state and local laws, foreign or domestic, including without limitation the Foreign Corrupt Practices Act (FCPA) and any applicable privacy laws.

Proposal Validity

This proposal shall remain valid until September 11, 2009.

STRATFOR looks forward to Wal-Mart’s favorable response to this proposal and hopes that it is the continuance of a mutually beneficial long-term relationship. If Wal-Mart chooses to accept this agreement, STRATFOR will draft an addendum to be signed in accordance with the terms of the Master Services Agreement.
