ANDWHEREAStheBulkPowerTransmissionAgreementhasalreadybeenentered

intobetweenPOWERGRIDandBulkPowerBeneficiariesofalltheregions.Acopyof

BPTAenteredintowithconstituentsofNorthernRegiondated------,Western

Regiondated------,EasternRegiondated------,NorthEasternRegion

dated------andSouthernRegiondated------areenclosedatAnnexureA,

AnnexureB,AnnexureC,AnnexureDandAnnexureErespectively.(Regionsas

applicable)Theseagreementarelikelytobereplaced onitsrenewal. The

renewed/modifiedagreementswouldbegenerallyinlinewiththeTransmission

ServiceAgreement(TSA)issuedbyMinistryofPoweraspartof standardbid

documentsforcompetitivebiddingfortransmissioninaccordancewithSection63of

theAct.Accordingly,onreplacementofrenewed/modifiedagreementinlinewith

TSA,thesamewouldbecomepartofthisagreement.

ANDWHEREAStheMediumtermtransmissioncustomerisdesirousofwheelingits

powerthroughmediumtermopenaccessonthesametermsandconditionsas

containedintheBulkPowerTransmissionAgreementoftherespectiveRegion.Words

andexpressionsusedanddefinedintheBulkPowerTransmissionAgreementat

AnnexureA,B,C,DandEshallhavethesamemeaningassignedtothemunderthe

ElectricityAct2003orGridcodeorCentralElectricityRegulatoryCommission

Regulations,2009,asthecasemaybe(includingtheiramendmentsifany).

Now,thereforeinconsiderationofthepremisesandmutualagreements,covenantsand

conditionssetforthherein,andintheAgreementascontainedintheAnnexureA,B,C,D,

andE(Asapplicable)attachedheretowhichshallformanintegralpartofthis

Agreement,itisherebyagreedbyandbetweenthepartiesasfollows:

1.0(a)MediumTermtransmissioncustomershallshareandpaythetransmissioncharges

ofISTSof______Regionand______Region(asapplicable)includingchargesfor

interregionallinksandsystemstrengtheningschemeandanyadditionthereof.

(b)MediumTermTransmissioncustomerwouldprovidesecurityintheformof

irrevocableBankGuarantee(BG)infavorofPOWERGRID,equivalenttotwo(2)

monthsestimatedaveragetransmissionchargesofconcernedRegion(s)applicabletothe

long-termtransmissioncustomer.ThesecuritymechanismshallbevalidtillOnemonth

afterthevalidityoftheopenaccess.

(c)Theestimatedaveragetransmissionchargeswouldbereviewedeverysixmonthsor

tilltheperiodofmediumtermopenaccess,whicheverislesser,andaccordinglythe

amountofsecuritywouldbeenhanced/reducedbyMediumTermtransmission

customers.

(d)IncasetheMediumTermtransmissioncustomerdefaultsinpaymentofthemonthly

chargesofPOWERGRIDbillsthen,POWERGRIDshallbeentitledtoencashBG

immediately.

(e)Incaseofencashment/adjustmentoftheBGbyPOWERGRIDagainstnon-payment

ofmonthlychargesbymedium-termtransmissioncustomer,thesameshouldbe

immediatelyrecoupedbymediumtermtransmissioncustomerbeforethenextbilling

cycle.

(f)TheformatforbankguaranteeisenclosedasAnnexure-X.TheBankGuaranteeshall

beissuedby

i)APublicSectorBankor

ii)ScheduledIndianBankhavingpaidupcapital(netofaccumulatedlosses)ofRs.100

croreorabove(dulysupportedbylatestannualreport)andalsosatisfyingtheminimum
