CLEANING & JANITORIAL SERVICES

75 GEORGE STREET - MUNICIPAL BUILDING

LANARK, ON

1.  PURPOSE

In this agreement, the Township engages the Contractor to provide cleaning and janitorial services at the Township’s municipal office building and abutting grounds.

2.  DAILY SERVICES

Except as otherwise set out herein, the Contractor agrees to provide said cleaning and janitorial services on a daily basis, Monday to and including Friday of every week during the term of this agreement.

3.  SCOPE OF THE WORK

Pursuant to Paragraph 2 hereof, the Contractor shall provide the following cleaning and janitorial services;

3.1  Vacuum all offices, entry areas, stairwells, the Council Chambers and transition areas

3.2  Damp mop all hard-surface flooring (Summer weekly - winter daily). Buff floors monthly

3.3  Empty garbage and recycling containers daily in all offices and place the collected garbage and recyclables at curbside on the evening prior to pickup by the waste services provider.

3.4  Clean and sanitize washrooms daily (sinks, toilets, urinals, stalls, wall-mounted equipment, exposed piping, floors and walls) and replace paper and soap products as required.

3.5  Clean and dust offices (window ledges, the exposed tops of cupboards and filing cabinets, railings, counter tops, walls, accessible light fixtures, ceiling vents and public areas

3.6  Clean interior window glass and door glass on a weekly basis

3.7  Wash/wipe doors and hardware on a weekly basis

3.8  Clean door grilles weekly and entry mats daily

3.9  Vacuum, dust and wipe public area furniture and counters and all office furniture

3.10  Dust and wipe desks and computers (dust computer screen with swiffer)

3.11  Damp clean and sanitize telephones

3.12  Vacuum all carpets and remove stains

3.13  Clean Lunch Room, including microwave, fridge and water cooler wash/dry

dishes and put in cupboard

3.14  Pick up debris from sidewalks and parking area (front, side and rear yards)

abutting the municipal offices

3.15  Strip, wax floors and clean carpets, semi-annually (spring and fall)

3.16  Clean exterior windows semi-annually (spring and fall)

3.17  Clean exterior door areas of cobwebs, empty exterior ash trays on a weekly

basis

4.  EQUIPMENT & SUPPLIES

4.1  EQUIPMENT

a.  The Contractor shall provide and maintain all equipment required to

satisfactorily undertake and complete the work outlined in Paragraph 3

hereof. (i.e. vacuum cleaner, floor polisher, floor wax stripper, utility

cart(s), exterior window cleaning equipment).

b.  The Township shall provide pails, squeegees, mops, brooms.

4.2  SUPPLIES

The Township shall provide all necessary cleaning and paper supplies (ie: floor, wall, window and porcelain/toilet cleaning products, waxes, polishes, dust cloths, paper towels, Kleenex, toilet tissue, garbage bags).

5.  INDEMNIFICATION AND LIABILITY INSURANCE

5.1  Prior to the commencement of any work, the Contractor shall provide the Township with satisfactory proof of Commercial General Liability Insurance issued on an occurrence basis for an amount of not less than two million dollars ($2,000,000.00) per occurrence for any negligent acts or omissions on the part of the Contractor, its agents and/or its employees relating to its obligations under this agreement.

5.2  The Commercial General Liability Insurance coverage referred to in Paragraph 5.1 hereof shall include, but not be limited to;

a.  Bodily injury and property damage including the loss of use personal injury

b.  Contractual liability

c.  Premises, property and operations

d.  Non-owned automobile

e.  Broad form property damage

f.  Owners and Contractors protective

g.  Occurrence property damage

h.  Products and completed operations

i.  Employees as Additional Insured(s)

j.  Contingent employers liability

k.  Tenants legal liability

l.  Cross liability

m.  Severability of interest clause.

5.3  Said insurance shall add the Township as an Additional Insured with respect to the operations of the Contractor.

5.4  Said insurance shall be non-contributing with and apply as primary and not as excess of any insurance available to the Township.

5.5  The Contractor shall indemnify and hold the Township, its officers and employees harmless from and against any liability, loss, claims, demands, costs and expenses, including reasonable legal fees, occasioned wholly or in part by any acts or omissions either in negligence or acts of omissions whether willful or

otherwise by the Contractor, it’s agents, officers, employees or other persons for whom the Contractor is legally responsible.

5.6  The Contractor shall indemnify and hold the Township harmless from and against any liability, loss claims, demands, costs and expenses, including reasonable legal fees, occasioned wholly or in part by the acts or omissions either in negligence or in nuisance whether willful or otherwise by the proponent, it’s agents, officers, employees or other persons for whom the proponent is legally responsible.

6.  HEALTH AND SAFETY

The Contractor shall be solely responsible for complying with all health and safety legislation/regulations applicable to this agreement and the services set out herein.

7.  TERM OF AGREEMENT

Subject to Paragraph 8 hereof, this agreement shall be for a term commencing on January1st, 2014 and concluding on December 31th, 2016.

8.  TERMINATION

This Contract may be terminated by either the Township of Lanark Highlands or the Contractor upon the terminating party providing the other with 30 days written notice of termination.

9.  COMPENSATION

9.1 Subject to Paragraph 9.2 hereof, in exchange for the services herein set out, the Township shall pay to the Contractor the following amounts:

9.1.1  In 2014

January 1, 2014 - December 31, 2014

9.1.2 In 2015

January 1, 2015 - December 31, 2015

9.1.3 In 2016

January 1, 2016 - December 31, 2016

9.2 Unless otherwise pre-arranged and agreed in writing between the parties hereto, the Contractor shall, not later than ten (10) days before that last day of each month during the term of this agreement, submit an invoice to the Township for services provided for that month per the applicable provisions of paragraphs 9.1.1 through and including 9.1.4 hereof. Upon receipt of such invoice, the Township shall process and pay the invoiced amount on or before the 30th day of each month.
