The signing of this Supervision contract is conditional upon the finalisation of the procedures for registration of new landowners, the establishment of a legal entity on behalf of the Municipalities, EIA and environmental decisions (if necessary), the agreement of adjacent landowners and the acquisition of additional land alongside the access roads for Simitli.

7. Contract description
The objective of the contract is the provision of Construction Supervision Services in the capacity of the “Engineer” under FIDIC “General and Particular Conditions of Contract for Plant and Design-Build for Electrical and Mechanical Plant, and for Building and Engineering Works, designed by the Contractor”, 1999 Edition, as well as in the capacity of the “Supervisor” under the Bulgarian “Territorial Structure Act” and related regulations, for the purpose of implementing the construction works (the Works) for the PHARE Project “Former Military Bases Conversion” (BG2004/016-711.11.03).

CONDITIONS OF PARTICIPATION
11. Eligibility
Participation is open on equal terms to all natural and legal persons of the EU Member States, Albania, Bosnia-Herzegovina, Bulgaria, Croatia, Former Yugoslav Republic of Macedonia, Romania, Serbia-Montenegro and Turkey(see also item 29 below).
12. Candidature
All eligible natural and legal persons (as per item 11 above) or groupings of such persons (consortia) may apply.
A consortium may be a permanent, legally-established grouping or a grouping which has been constituted informally for a specific tender procedure. All members of a consortium (i.e., the leader and all other partners) are jointly and severally liable to the Contracting Authority.
The participation of an ineligible natural or legal person (as per item 11) will result in the automatic exclusion of that person. In particular, if that ineligible person belongs to a consortium, the whole consortium will be excluded.
13. Number of tenders
No more than one tender can be submitted by a natural or legal person (including legal persons within the same legal group), whatever the form of participation (as an individual legal entity or as leader or partner of a consortium submitting a tender). In the event that a natural or legal person (including legal persons within the same legal group) submits more than one tender, all tenders in which that person (and legal persons within the same legal group) has participated will be excluded.

16. Sub-contracting
Sub-contracting is permitted only on condition that the Tenderer explicitly states that it is the sole party that will be contractually liable. If the Tenderer intends to subcontract one or more parts of the contracted services, this must be clearly stated in the tender.
The Tenderer must intend to carry out the major part of the services itself. The value of the sub-contracted part of the services may not exceed 30 % of the contract value. Sub-contracting can be used for short-term experts and for supporting the activities envisaged for the key experts.

The overall legal duration of this contract is expected to be 29 months, comprising a 1 month period prior to the issue of the Notice to Commence the Works, 12 months for construction supervision, including the design period, 12 months Defects Liability Period and 4 months for final statement and payment. If for some reasons the duration of the works extends, the duration of the Supervision contract might be considered as well with no more than 5 months.

SELECTION AND AWARD CRITERIA
22. Selection criteria
The following selection criteria will be applied to Tenderers. In the case of tenders submitted by a consortium, these selection criteria will be applied to the consortium as a wholeunless specified otherwise:
1) Economic and financial standing of Tenderer[based on item 3 of the tender submission form]
a) The annual revenue of the Tendererfor each of the lastthree years for which accounts have been closedshall amount at least to EUR350.000.
b) The firm or the leading partner of the consortium should be operational for the last three years.
In addition to the Tender Submission Form, the annual accounts of the last three years available must be attached to the Form, e.g. the balance sheets or extracts from balance sheets from the last threeyears for which accounts have been closed, in accordance with the company law of the country in which the lead partner is established.
2) Professional capacity of Tenderer [based on items 4 and 5 of the tender submission form]
The Tenderershall have a total of at least 16 persons permanent staff currently and on average during the three year-period as per the Tender Submission Form working in the fields of supervision of construction/rehabilitation of buildings, roads, water supply and sewerage systems under FIDIC or similar conditions of contract.
3) Technical capacity of Tenderer[based on items 5 and 6 of the tender submissionform]
a)The Tenderershall haveat least five (5) years (since 01.01.2000) of experience in supervision of construction and/or rehabilitation and/or reconstruction of buildings, roads, water supply and/or sewerage systems.
b)The Tenderershall have successfully completed the supervision of at least two comparable works projects (i.e. construction and/or rehabilitation and/or reconstruction of buildings, roads, water supply and/or sewerage systems) in the past five (5) years. The minimum value of the works supervised must be EUR 3 mn. The two supervision contracts in question are considered “successfully completed” if the Taking Over Certificates have been issued for the works that have been supervised.
23.Award criteria
As specified in the tender dossier annexed to the letter of invitation to tender,the most economically advantageous tender will be established by weighing technical quality against price on an 80/20 basis.
