NOTICE OF ANNUAL GENERAL MEETING TO BE HELD

AT The Park Inn, Leigh Sports Village, Sale Way, Leigh WN7 4JY

ON Tuesday 18th JUNE 2013 at 7pm

Notice is given to the following Members of the North West Regional Netball Association, who may appoint a representative to attend, speak and vote on their behalf:

  1. A club with at least seven Registered Participants which is either a Netball Club; the Netball section of a Youth or Community Club; University or College; an U18 Young Person's Group, and which affiliates to a County Association in the North West Region.
  1. A County Associationof the North West Region, which is an association of Clubs affiliated to the County and The North West Region.
  1. Schools or full time educational establishments for pupils under 19 years of age who pay the higher affiliation fee and affiliate to The County & North West Region. Their main building must be located in the North West Region.

Notice is also given to the following that will be entitled to attend and speak, but not vote:

  • Registered participants

A registered participant is a person who plays, coaches, umpires, or organises the game of Netball, or who is in any way connected with the game of Netball. Registration must be through a Club/ Individual and a County Association. A Registered Participant is eligible to serve as a Board Member.

  • Honorary life members of the North West

Honorary Life Membership of the North West of the Association may be conferred by the Regional Board upon any person who has rendered a special service to the Association with such rights and privileges as the Regional Board may from time to time determine.

  • Associate members

The following shall be eligible for Associate membership of the Association subject to the approval of the Regional Board:

“Any company, association or sports club in the North West Region with an interest in Netball.”

  • President and vice-president

The President and Vice-President may be appointed by the Board from time to time. A person so appointed shall hold office for a term of one year, after which such persons shall retire but shall be eligible for re-appointment. The President and Vice-President shall be entitled to receive notice of and attend all general meetings. The president and Vice-President shall otherwise have such rights and privileges, as the directors shall from time to time determine.

Voting at the Annual General Meeting

Each Club may appoint a representative who is a Registered Participant member of that club to speak and vote on its behalf.

Each County association may be represented by the chairman or accredited deputy to speak and vote on its behalf.

Each school may appoint a representative who must be in current employment at the schools represented to speak and vote on its behalf.

In the event of an equality of votes the Chairman of the Meeting shall have a casting vote.

Quorum

No business shall be transacted at a General Meeting unless a quorum is present (10 Voting Members).

Voting

Voting will normally be a show of hands. In calculating a majority only votes cast will be included in the calculations i.e. abstentions will not be included. It is not necessary for 10 votes to be cast for a quorum to be reached, only that 10 votes are available to be cast by representatives present.

Election of North West Regional Management Board

In line with the Constitution of the Northwest Regional Netball Management Board all Elected Member positions are subject to elections at the Annual General Meeting on 18th June 2013.

Nominations for these positions may be proposed by a Member entitled to vote at General Meetings and seconded by any Member entitled to vote at such meetings.

Written notice of such nominations containing the name of the proposer and seconder and the name and address and written consent of the nominee, must reach the NW Regional Office no later than 5pmon 21st May 2013. Nomination forms can be found enclosed in this pack. Or area available for download at

In the event of their being more than one candidate for any office, the election shall be decided by a ballot of all members at the Annual General Meeting.

Notification of who has been nominated for the Elected Member positions shall be posted on the North West Netball website at from Tuesday 4th June 2013

Role of the North West Regional Management Board

The role of the Regional Management Board (RMB) in the North West is outlined in the Regional Constitution. Its primary functions are to provide strategic direction, support and guidance to regional and sub-regional sporting partnerships and to manage the affairs of Netball in the North West.

Where practicable the primary method of communication for the RMB will be email.

Role and Responsibilities of Regional Management Board Members

Chair

Job Purpose

To represent the NW Regional Management Board and to drive its vision and objectives forward.

Expected hours

Upto 2 hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Oversee the Management Board in carrying out the 4-year plan and England Netball vision;
  • Chair all regional meetings;
  • Be responsible for the conduct of the Regional Management Board in managing the affairs of the Region;
  • Co-ordinate the work of the Regional Management Board;
  • Be entitled to attend any meeting of the Technical Support Groups;
  • To lead the County Chairs meetings
  • Prepare the Annual Report for submission to England Netball;
  • Attend the national Membership and Regional chair meetings.

Vice-Chair

Job Purpose

Work together with the Regional Management Board chair to manage and coordinate the board and its purpose.

Expected hours

Upto 2 hours a week plus regional meetings – 1 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the. Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Understand the responsibilities of the board chair and be able to perform these duties in the chair's absence;
  • Support the Chairman, and undertake whatever part of the Chairman's work assigned;
  • Have the power to attend any sub-committee meeting in the absence of the Chairman;
  • Be entitled to attend any meeting of the Technical Support Groups;
  • Prepare the Annual Report for submission to England Netball.

Treasurer

Job Purpose

To maintain an overview of NW Regional Management Board’s financial affairs, ensuring its financial viability and ensuring that proper financial records and procedures are maintained.

Expected hours

Upto 2 hours a week plus regional meetings – 1 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Be responsible for providing financial advice to the Region;
  • Oversee the production of annual Accounts;
  • Contribute to the preparation of an annual budget based on strategic and operation plans;
  • Be responsible for the preparation and monitoring of quarterly operating statements against budgeted figures;
  • Prepare annual report for the AGM.

Communications Officer

Job Purpose

To provide a strategic vision to the promotion, marketing and communication of Netball across the North West.

Expected hours

Upto 2 hours a week plus regional meetings – 1 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Develop and implementing a regional communications and marketing strategy;
  • Promote netball on social media
  • Report on actions and progress of North West ‘Communications’ Technical Support Group;
  • Support county Communications Officers in the development of county communication and marketing strategy;
  • Develop and sustain relationships with the regional media at all levels;
  • Promote any regional events at regional and national level;
  • Liase with England Netball Commercial and PR representatives;
  • Prepare report for the AGM.

Competition Officer

Job Purpose

To coordinate and provide a strategic vision to competition in Netball across the North West.

Expected hours

Two to five hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Overall management of the regional competition – Junior and Senior league, regional tournaments and other regional events, as agreed by the Board;
  • Support region and counties in implementing change;
  • Report on actions and progress of North West ‘Competition’ Technical Support Group;
  • Work with England Netball to respond to any competition queries;
  • Work with the relevant technical support groups in the restructuring of competition;
  • Work with the Communications Officer to promote competition across region.

Game Specialist – Excel Programme

Job Purpose

To provide a joint up approach to Excel in Netball across the North West.

Expected hours

Upto 2 hours a week plus regional meetings – 1 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Working together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Work with the Regional Excel Coach on establishing and implementing Excel plan which embraces players, coaches, umpires and officials;
  • Chair and organise the NW Excel TSG;
  • Ensure the aims and vision of the Excel plan is understood and adopted by the region and counties;
  • Work with the England Netball Regional Manager to ensure the function of the England Netball Excel Structure is understood and applied across region;
  • Work with the Communications Officer to raise the profile of Excel Centre and North West national players;
  • Inform region and counties of any new England Netball Excel policies, guidelines

Game Specialist – Umpires

  • Job Purpose

To provide a strategic vision to the development of Netball officials across the North West.

Expected hours

Two to five hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Chair and organise the NW Officials Technical Support Group;
  • Develop and implementing a regional strategy for supporting and developing the Netball officials in the region;
  • Arrange B assessments and tests;
  • Report on actions and progress of North West ‘Officials’ Technical Support Group/s;
  • Represent the ‘voice’ of the officials in the region;
  • Provide information on new national standards;
  • Support and representing umpires, coaches and officials network across region;
  • Responsible for processes and structures for mentoring; tutoring; assessing and testing;
  • Arrange umpires for home NTL games in liaison with County Umpiring secretaries;
  • Arrange ball girls for Northern Thunder home games;
  • Organise and develop table officials for NTL and Superleague games;
  • Liase Tournament Organiser for Regional schools to facilitate 18 umpires of B grade or above for the event.

Game Specialist – Coaches

Job Purpose

To provide a strategic vision to the coaching in Netball participation across the North West.

Expected hours

Two to five hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Support the development of and implement a regional strategy for supporting and developing coaches in the NW;
  • Establish a Technical Support Group for Coaching and develop terms of reference for this group;
  • Manage the performance and reporting procedures of the group;
  • Work with England Netball, through the regional office, to develop structures for coach mentoring;
  • Work with communications officer to raise the profile of coaching, coach development and volunteering in netball across the region;
  • Inform the region and counties of any new England Netball coaching development policies or guidelines.

Game Specialist – Volunteers

Job Purpose

To provide a strategic vision to the volunteering in Netball participation across the North West.

Expected hours

Two to five hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

•Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;

•Work together with the Management Board on carrying out the 4-year plan and England Netball vision;

•Support the development of and implement a regional strategy for supporting and developing volunteers in the NW;

•To link with NW run events and identify volunteers to assist in the running of such events

•Manage the performance and reporting procedures of the group;

•Link with England Netball run activities for example Pass on your Passion programme

•Work with communications officer to raise the profile of volunteering in netball across the region;

•Inform the region and counties of any new England Netball Volunteering programmes

Commercial Sector Specialist

Job Purpose

To provide the commercial support to the NW RMB.

Expected hours

Upto 2 hours a week plus regional and national meetings – 2 per quarter.

Responsibilities

  • Be a full voting member of the Regional Management Board and in carrying out duties be at all times responsible to the Regional Management Board;
  • Work together with the Management Board on carrying out the 4-year plan and England Netball vision;
  • Assist on long-term planning and outlining how decisions made will affect the long-term operation of the region;
  • To support the RMB with identification of key commercial risks;
  • To support the RMB with design and development of the commercial proposals;
  • To develop sponsorship packages and present these to appropriate commercial sector bodies;
  • To oversee negotiations of any commercial sector partnerships/sponsorship agreements and ensure satisfactory delivery of these;
  • To identify and apply for grant funding that will assist in the delivery of the agreed North West objectives;
  • To liase with England Netball Commercial lead to ensure connectivity with the work of England Netball;
  • To support the work of the NW Communications Technical Support Group (TSG).
