  1. Warranty: The DLS is warranted for one year against design or manufacture defects. You (the customer) shall pay all shipping

to Cotronix and Cotronix shall pay all shipping back to you. This warranty allows specific legal rights. You may have

additional rights by state statute.

  1. Damages: Cotronix shall not be held responsible for personal, property, or consequential damage resulting from any use of the

DLS. If the DLS is damaged due to improper installation, a repair charge may be assessed.

  1. Permission: Exceptions may be made to these terms if submitted in writing and agreed upon by both parties. In this case, a

new Terms and Conditions document shall supersede the original.

  1. Billing: List price for a Cotronix Digital Lullaby System DLS-002, DLS-003, or DLS-004 is $990 plus $1 per birth over the past

365 days. Discounted pricing may be negotiated under special circumstances, for custom units, or for other models. Cotronix

distributes invoices at the end of each calendar quarter. Payment is due by the end of the second month following each billing

period (Net 60). Overdue bills may include interest at the rate of 1.5% per month of the outstanding balance, beginning with the

third month following each billing period. Bills overdue beyond four months may include a monthly $29.00 late fee. Balances

overdue beyond 6 months will be submitted for Collection. Local sales taxes are the responsibility of the buyer (MN TIN 4484829).

Cotronix is not subject to backup withholding (Fed TIN 393804535).

  1. Licensure: Cotronix covers all recording performance licensing and publisher dues for ASCAP, BMI, and SESAC. As the new

equipment owner, you are responsible for any necessary licensing for any copyrighted segments broadcast in your facility for

lullabies, patient rotations,announcements, or for any other use. All DLS programming, design specifications, and software code

remain the sole property of Cotronix indefinitely.

6.Plant Interface: You will provide a 15 or 20 amp 120 volt outlet, activation closure, and paging amplifier input.

  1. Remorse: These Terms and Conditions are null and void if Cotronix receives the initial DLS back from you in satisfactory condition

within 60 days of the date we originally shipped it to you.

  1. Support: Telephone or email ongoing technical service and support is available for an additional $5 per month plus $.10 per birth.

This covers any uncontrollable equipment malfunctions, tune reprogramming, and installation support.

  1. Tunes: Several Program Tunes are available. Listed here are the most popular. If you wish to hear a sample of any of these

versions, please email a request for a file attachment, or listen at Cotronix.com. Indicate desired Program Tune (default=10

second Brahms Musicbox):
