NOTICE TO DIRECT SELLER

1.  Independent contractor status, The DIRECT SELLER expressly acknowledges that they will be acting as an independent contractor and not as an employee of ,for all purposes. including payment of Social Security withholding tax and all other federal, state, and local taxes. The DIRECT SELLER shall be free to set its own hours, location of sales, method of transportation and type of accommodation. In addition, the DIRECT SELLER shall be entitled to sell other products.

DIRECT SELLER agrees to follow the guidelines established by the National Selling Association.

2.  Reimbursement of expenses. , shall not be liable to the DIRECT SELLER for any expenses they pay or incur unless otherwise agreed to in writing by

3.  Equipment, tools, materials or supplies. DIRECT SELLER shall supply, at its expenses, all equipment, tools, materials. and/or supplies to accomplish the work to be performed.

4.  Federal, state, and local payroll taxes, will not withhold or pay on behalf of the DIRECT SELLER or nay of its employees: (a) federal and local income taxes; or (b) any other payroll tax of any kind. In accordance with the terms of this Agreement and the understanding of the parties herein, DIRECT SELLER shall not be treated as an employee with respect to the services performed hereunder for federal or Indiana tax purposes.

5.  Fringe benefits, Because DIRECT SELLER are engaged in their own independent contracting business, they are not eligible for, nor entitled to, and shall not participate in any of the , pension, health or other fringe benefit plans, if any such plans exist. Such

participation in these fringe benefit plans is limited solely to the , employees.

6.  Notice to the Independent Contractor regarding its tax duties and liabilities. DIRECT SELLER understands he/she is responsible to pay his/her income tax in accordance with federal. Indiana States, and local law DIRECT SELLER further understands that they are liable for Social Security ("FICA") tax, to be paid in accordance with all applicable laws.

7.  Indemnification. The DIRECT SELLER shall indemnify and hold harmless ,its successors and assigns. from and against any and all loss, damage, cost or expense, including attorneys' fees, by reason of the DIRECT SELLER'S performance of its services.

8.  not responsible for workers' compensation. Because DIRECT SELLER is engaged in its own independent

contracting business and is not an employee of the will not obtain workers' compensation
insurance for the DIRECT SELLER or its employees.

9. Notices. Any notice given shall be given in writing and shall be delivered either by hand to the other party or by certified mail, return receipt requested, to the other party at the other party's address stated herein. Either party may change its address stated herein by giving notice of the change in accordance with this paragraph.

10.  No authority to bind DIRECT SELLER have no authority to enter into contracts or

agreements on behalf of . This agreement does not create a partnership between the parties.
