Article IV – Board of Directors

Section 1: BOARD OF DIRECTORS

A.  The Board of Directors of this Chapter shall consist of the President, Vice-President, 2nd Vice-President, Secretary, Treasurer, Immediate Past President, Chapter Commercial Advisory Member, and International Association Executive Councilperson (EC).

B.  The Chapter Commercial Advisory Member shall be elected to serve as an ex-officio member of the Board of Directors.

Explanation: The intent has always been to allow the CCAM full voting rights on the board. The phrase ‘ex officio’ is often misunderstood, meaning it is not a voting position. Ex Officio only means that that member serves on a board or committee as long as they hold the position that created a need to have them on the board. It does NOT necessarily restrict their rights as a board member, they retain the right to vote.

So secondly, identifying the CCAM as ex-officio is just unnecessary. All board members are basically ex officio. The only ‘differences’ between board members really is that the treasurer is appointed by the President, rather than elected to the board of directors.
