NOTICE INVITING TENDER

Sealed Tenders are invited from the interested and eligible parties for the work "Providing Uncompressed 8 Mbps Dedicated 1:1 Leased Line Internet Bandwidth at National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110 012" under two bid system.

The detailed Tender Document containing complete terms & conditions and technical specifications is available on NPL website ( org). Interested parties may download the tender document from NPL website. Tender Document will not be issued personally by this Office to any firm.

The last date of submission of tenders is 11/5/2009 (5:00 PM). Due date of opening of technical bids only is 12/5/2009 (3:00 PM). Kindly attach tender fee (non refundable) of Rs.500/- in the form of DD/PO in favour of the Director, NPL along with the Tender, failing which the tender will not be considered.

3.DEFINITIONS

In this tender document and contract, the following terms shall be interpreted as indicated below unless otherwise specified:-

(1)BID/QUOTATION means BIDDER's response to THE DOCUMENT.

(2)BIDDER or VENDOR or ISP or Service Provider means Firm/Company/ Agency/Party/Part of Party responding to THE DOCUMENT and bound by this document's all terms and conditions without exception.

(3)CONTRACT means the agreement (including the Service Level Agreement incorporating the provisions of THE DOCUMENT) entered into between the CUSTOMER and the SUPPLIER as recorded in the Contract papers signed by both the parties, including acceptance of tender and General and Special Conditions, all the attachments and appendices thereto and all documents incorporated by reference therein.

(4)CONTRACTER or SELLER or SUPPLIER means BIDDER with whom the order for supply is placed and includes its successors, representatives, heirs, executors and administrators unless otherwise excluded by the CONTRACT.

(5)THE CONTRACT PRICE means the price payable to the Supplier under the Contract for the full and proper performance of its contractual obligations.

(6)THE DOCUMENT means this TENDER DOCUMENT inviting bids.

(7)ENTIRE CONTRACT PERIOD or ENTIRE SERVICE PERIOD means one year period initially and includes extension of the period (if any).

(8)NPL means the organization hiring “Uncompressed 8 Mbps Dedicated 1:1 Leased Line Internet Bandwidth”, i.e., National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110 012; acting through its Director or authorised officers.

(9)The PURCHASER or CUSTOMER means NPL.

(10)SITE means National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110012.

(11)THE SERVICES means those services which are necessary and ancillary to the providing of the Internet Bandwidth, such as transportation and insurance and any other incidental services, such as installation, commissioning, provision of technical assistance, training and other obligations of the Supplier covered under the Contract.

(12)TERMINAL LOCATION means Central Computer Facility, First Floor, Main Building of the SITE.

4.SCOPE OF WORK

Providing Uncompressed 8 Mbps Dedicated 1:1 Leased Line Internet Bandwidth at National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110 012 (SITE) including installation, commissioning, testing & upkeep of the complete link for the ENTIRE SERVICE PERIOD meeting all the terms, conditions and specifications as detailed in this TEDER DOCUMENT.

The BIDDERs are requested to visit SITE and take stock of the existing infrastructure before formulating their BID.

5.SPECIAL INSTRUCTIONS TO BIDDERS and GENERAL TERMS AND CONDITIONS OF THE CONTRACT

5.1Quotations are invited for the work"Providing Uncompressed 8 Mbps Dedicated 1:1 Leased Line Internet Bandwidth at National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110 012." from the vendors meeting the specifications as detailed in this tender document, under two bid system.

5.2The Quotation should be submitted in two separate envelopes containing Technical bid and Price bid and these two envelopes put together in one envelope. The outer envelope should be super-scribed with Name of Work, Last date of submission and due date of opening of tender and addressed to "The Director, (Attention : Section Officer, General Section) National Physical Laboratory, Dr. K.S. Krishnan Marg, New Delhi - 110 012." and delivered at Receipts & Issue (R&I) Section, Second Floor, Main Building of the laboratory latest by 11/5/2009 (5:00 PM). The technical bids only will be opened on 12/5/2009 at 3:00 PM in the presence of vendors/their representatives, if any

5.3The Technical bid must contain the Technical leaflets/literature and complete specifications, terms & conditions (if any), compliance statement of specifications & compliance statement of tender terms & conditions and the required tender fee (non refundable) of Rs.500/- in the form of DD/PO in favour of the Director, NPL. This will also contain charts and documents as stated in this tender document. Tender will not be considered in the absence of tender fee.

5.4The Price bid must contain the prices in the format given in this tender document. The price should include all relevant taxes etc. and should be an all inclusive one. The price bids will be opened after technical evaluation of the technical bids. The date of opening of price bids shall be informed to the bidders found suitable in technical evaluation.

5.5The rates quoted shall remain valid for a period of 90 (Ninety) days from the date of opening of technical bids. No changes in prices will be acceptable in any condition after opening of tender, till the validity of the offer.

5.6Late or delayed tenders shall not be considered at all. These will be returned to the firms as it is. Post tender revisions /corrections shall also not be considered.

5.7The Director, National Physical Laboratory, New Delhi reserves the right to accept or reject any tender in part or in full without assigning any reason thereof. The Director, NPL does not bind himself to accept the lowest or any tender and reserves the right to accept the whole or any part of the tender.

5.8The BIDDER shall carefully go through all the terms and conditions of THE DOCUMENT before submitting the BID. The BIDDER shall ensure that the offered BID meets all the requirements and criteria laid down in THE DOCUMENT in all respects. Every page of the BID shall be page numbered and signed by the authorised signatory of the firm and bearing firm's seal. It shall be deemed that the BIDDER has understood the contents and the meaning of the requirements and criteria laid down in THE DOCUMENT. Any representation for any revision/modification of the BID, after its submission, on any grounds, whatsoever, shall not be accepted.

5.9The BIDDERs are requested to visit/inspect the SITE and take stock of the existing infrastructure and have an idea about the nature of work involved in order to make estimates about the cost of work required to be done and to plan/design the required solution before bidding, at his own expenses. For inspection, the BIDDERs may contact the following person(s):-

5.10The BIDDER shall give minimum 3 days prior written intimation to the above persons about their proposed site survey schedule. NPL shall only provide access to its premises for site survey. Any software, hardware, tools, tackles etc. required for carrying out the site survey shall be brought by the BIDDER at their own expenses.

5.11The BIDDER shall not damage the existing infrastructure or disrupt the services at the CUSTOMER’s premises during the site survey and final delivery. The BIDDER shall restore the infrastructure or services to its original condition if any alteration or damage are done to the CUSTOMER’s system during the site survey or during the final delivery, at his own cost.

5.12Liasioning (if required) with other firm(s) or any Govt. agency for completion of the job, will be responsibility of the BIDDER.

5.13BIDDER is required to quote total prices for ALL items tendered as lump sum with item wise detailed breakup of the total price quoted, indicating all components such as price of item, taxes and duties, etc. as detailed in THE DOCUMENT. The VENDOR shall be entirely responsible for all taxes, duties, octroi, license fees, etc., incurred for performance of the services. If there is any reduction in taxes/duties etc. due to any reason whatever, after Notification of Award, the same shall be passed on to NPL.

5.14Award Criteria: NPL will award the Contract to the successful BIDDER whose bid would be determined to be substantially responsive and determined as the best evaluated bid, provided further that the Bidder is determined to be qualified to perform the Contract satisfactorily. The Director, NPL reserves the right to accept or reject any bid, in part or full, and to annul the bidding process and reject all bids at any time prior to award of Contract, without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of the grounds for the NPL’s action.

5.15Notification of award: Prior to the expiry of the bid validity period, NPL will issue the work award letter or notify the successful Bidder in writing that his bid has been accepted. The issuance of work award letter will constitute the formation of the contract.

5.16Completion Schedule: The VENDOR shall make available the Internet Services (completion of installation and commissioning) to the satisfaction of NPL maximum within eight weeks from the date of letter of award of work. The delay in meeting the completion schedule will call for a penalty @ 1% per week subject to a maximum of 10% of the contract value. Delay beyond ten weeks will result in the automatic termination of the contract.

5.17Acceptance Certificate: On successful completion of acceptability test for 15 days and after NPL is satisfied with the accuracy and completeness of the performance of the Internet Bandwidth, the acceptance certificate signed by the representative of NPL and representative of the Vendor will be issued. The date on which such certificate is signed shall be deemed to be the date of successful commissioning of the Internet Bandwidth.

5.18Payment: The payment mode for One Time Charges will be after acceptance test is done and for recurring charges will be on quarterly basis.

5.19Arbitration: Except where otherwise provided in the Contract, all questions and disputes relating to the meaning of the specifications, and instructions herein before mentioned and as to the quality of the materials, as to any question, claim, right, matter or thing whatsoever, in any way arising out of or relating to the Contract, specification, instructions, orders or these conditions or otherwise concerning the works, or the execution of the same whether arising during the process of the work or after the completion or abandonment thereof shall be referred to the sole arbitration of a person nominated by the Director NPL. The Contract shall be governed in accordance with the Indian Laws.

5.20Corrupt or Fraudulent Practices:

(i) Bidders & Vendors shall observe the highest standard of ethics during the tender process and execution of the contract.

(ii) NPL will reject a proposal for award if it determines that the Bidder recommended for award has engaged in corrupt or fraudulent practices in competing for the contract in question.

(iii) NPL will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded a contract if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for this bid, or in executing the contract.

5.21Force Majeure clause: If at any time, during the continuance of this contract, the performance in whole or in part by either party of any obligation under this contract is prevented or delayed by reasons of any war, hostility, acts of public enemy, civil commotion, sabotage, fires, floods, explosions, epidemics quarantine restrictions, strikes, lockouts or acts of God (hereinafter referred to as "events"), provided notice of happenings of any such event is duly endorsed by the appropriate authorities is given by party seeking concession to the other as soon as practicable, but within 21 days from the date of occurrence and termination thereof and satisfies the party adequately of the measures taken by it, neither party shall, by reason of such event, be entitled to terminate this contract, nor shall either party have any claim for damages against the other in respect of such nonperformance or delay in performance, and deliveries under the contract shall be resumed as soon as practicable after such event has come to an end or ceased to exist and the decision of the purchaser as to whether the deliveries have so resumed or not, shall be final and conclusive, provided further, that if the performance in whole or in part or any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days, the purchaser may at his option, terminate the contract.

5.22It will be imperative on each BIDDER to fully acquaint himself of all the local conditions and factors which would have effect on the performance of the work and its cost.

5.23The selected VENDOR shall perform the services and carry out its obligations under the Contract with due diligence and efficiency, in accordance with generally accepted techniques and practices used in the industry and with professional engineering and training/consulting standards recognized by national/international professional bodies and shall observe sound management, technical and engineering practices. It shall employ appropriate advanced technology and safe and effective equipment, machinery, material and methods. The VENDOR shall always act, in respect of any matter relating to this Contract, as faithful advisors to NPL and shall, at all times, support and safeguard NPL's legitimate interests.

5.24NPL reserves the right to inspect the performance of the VENDOR prior to commencement or in between the work progress. The inspection may cover all areas related to the assigned contract order, especially methodology, manpower, infrastructure etc. NPL reserves the right to cancel the contract order assigned to the VENDOR at any time which includes the time after the completion of assigned work without assigning any reason for the same. In case the contract order is canceled then the costs incurred will be born by the VENDOR and under no circumstances the VENDOR shall be eligible for any payment or damages from NPL.

5.25NPL may at any time terminate the Contract by giving written notice to the selected VENDOR, without compensation to the selected VENDOR, if the selected VENDOR becomes bankrupt or insolvent, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to NPL.

5.26NPL reserves the right to:

(a)have any portion completed of the work order and/or the Contract terms and prices; and/or

(b) cancel the remainder and pay to the selected VENDOR an agreed amount for partially completed Services.

6.PREQUALIFICATION REQUIREMENTS OF THE ELIGIBLE BIDDER

Following are the specific pre-qualification requirements which MUST be satisfied by the BIDDER to be primarily considered for bidding. All the terms & conditions mentioned in the appropriate section in this document need to be fulfilled and documents attached wherever required:-
