Associate General Counsel or Legal Counsel Sr – Corporate Securities & Finance Attorney

*the preferred location for this position is Indianapolis, IN

Responsible for providing legal advice and recommendations as well as leveraging in-depth knowledge of a legal specialty or area of law to provide advice and recommendations to executives and management on highly complex matters which have a broad organizational impact and high level of risk. Focus of work is on large scale and/or high financial level projects with broad department and/or organizational impact. Works as a strategic partner and decision maker with more senior leaders and clients, to drive strategic outcomes and make complex decisions.

Primary duties may include, but are not limited to:

  • Assisting with securities law matters, including preparation of SEC Filing Forms 10-K, 10-Q, 8-K, 4 and 5 and the annual proxy statement.
  • Overseeing compliance with public company listing standards, including NYSE requirements.
  • Handling highly complex legal assignments and projects in the corporate finance area, including public and private debt and equity offerings, derivative transactions and credit facilities.
  • Carries out research of legal principles and precedents and consults with outside counsel on legal strategies on particular issues.
  • Determines methods and procedures on new assignments and may coordinate legal projects.
  • Uses professional legal concepts, theories and best practices to contribute to development of company’s concepts and principles and to achieve enterprise objectives in an original and highly effective way.
  • Reports to management any identified business exposure and associated risks as well as mitigation techniques being utilized.
  • Provides general and detailed instructions for more junior members of the department and concise, timely briefings to senior level business and legal management.
  • Confers with other senior leaders including ELT members.
  • Assesses and mitigates risk on even the most difficult and challenging issues.

Qualifications

  • Requires a JD.
  • Must have a current license to practice law.
  • Prefer at least 6 – 9 years of specific industry and/or technical legal experience post licensure.
  • Experience managing outside counsel preferred.
  • Must have legal experience in Corporate Securities and Finance.
  • Must have experience with the preparation of SEC Filings.
