BETWEEN
(1)[] Primary Care Trust[,in its capacity as host Primary Care Trust to the [ ] Specialised Commissioning Group,] [or Local Authority]whose principal office is at [ ](the "Commissioner");
(2)[]whose principaland/or registered office address is at [] (the "Provider").
BACKGROUND
This Agreement is made by the Commissioner with the Provider to secure the provision of the Services by the Provider.
The Commissioner has a responsibility to commission a range of healthcare and/or social care services to meet the needs of the population for which it is responsible.In order to fulfil this responsibility, the Commissioner wishesto secure the provision of the Services from the Provider and the Provider wishes to provide the Services to the Commissioner on the terms of this Agreement.
IT IS AGREED
1.AGREEMENT
1.1This Agreement comprises of:
1.1.1these Particulars (Section A);
1.1.2the Services (Section B);
1.1.3Service Matters (Section C);
1.1.4Recorded Variations, Disputes and Change in Control (Section D); and
1.1.5Core Legal Clauses andDefinitions (Section E),
as completed and agreed by the Parties and as varied from time to time in accordance with Clause 52 of the Core Legal Clauses (Section E) (“Agreement”).
2.EFFECTIVE DATE
2.1This Agreement shall take effect on the date it is executed by, or on behalf of, the Parties (the “Effective Date”).
3.DURATION
3.1This Agreement shall expire on31 March 2013(the “Expiry Date”), unless it is terminated earlier in accordance with the provisionsof this Agreement.
4.SERVICE COMMENCEMENT
4.1Subject to satisfaction of the Conditions Precedent, set out in Section C Part 1, the Provider shall commence delivery of the Services on [PLEASE INSERT DATE] (the “Expected Service Commencement Date”).
4.2If the Conditions Precedent (set out in Section C Part 1) are not satisfied in full by the Expected Service Commencement Date or Longstop Date where applicable, then, subject to the termination right in Clause 56.5.7 of theCore Legal Clauses not being exercised, the Provider shall commence delivery of the Services on but not before the date that the Conditions Precedent (set out in Section C Part 1) are satisfied and such date shall be recorded in section 4.3 of these Particulars (below) (the “Delayed Service Commencement Date”).
4.3Where applicable, the Delayed Service Commencement Date is/was[INSERT DATE WHERE APPLICABLE].
4.4Subject to the terms of this Agreement, the Provider shall provide the Services from the Service Commencement Date until and including the Expiry Date (unless an earlier expiry date for any Service is expressly stated in any Service Specification in Section B of this Agreement, in which case the expiry date for such Services shall be as set out in the relevant Service Specification).
5.LONGSTOP DATE
5.1The Longstop Date is the date [PLEASE INSERT PERIOD – suggestion: 3 months] after the Expected Service Commencement Date.
6.FREQUENCY OF REVIEW MEETINGS
6.1Pursuant to Clause 46.1 of the Core Legal Clauses, the Commissioner and the Provider have agreed to jointly review and monitor performance under this Agreement and discuss any matters that either considers necessary in relation to it.Such review meetings shall be held [each month/Quarterly/every six months – PLEASE INSERT AS AGREED].
