District XI Board of Directors MEETING

The TRTA District XI Board of Directors met on Wednesday, August 16, 2017, at the Education Service Center Region XI to set goals for the year; President Janie Bramlettand Secretary Dr. Barbara Hryekewicz were present. Following refreshments provided by Treasurer Pat Lioce, the meeting was called to order at 9:33 a.m. President Bramlett led the pledges to the Flag of the United States of America and the Lone Star Flag of Texas.
President Janie Bramlettpresented her agenda, welcomed the Board of Directors,askedthe fifteen members presentto introduce themselves,name anon-human animal they could imagine themselves being, and give their reports with goals for 2017-18. Reports were filed by First Vice-President Frana Patterson and Second Vice-President Pat Reinecker and the following Chairmen: Legislative – Jack Teddlie, Retirement Education – Sam Kiker, TRTF Liaison – Mary Birden, andMember Benefits – Myrtis Parker. Members were encouraged to thank their State Legislators for the passage of HB 21 which, when signed by Governor Greg Abbott, would provide $212 million towards TRS-Care. Allofficer and chairman reports were to be presented at the joint meeting with the Local Presidents Council on August 23, 2017 or posted on the webpage. The minutes of the Board of Directors August 10, 2016 summer planning meeting, approved by committee, were approved as distributed.
Unfinished Business
Parliamentarian Jo Ann Smith Haedge reported that due to an oversight the Nominating Committee for the District XI 2018-2020 Officers was not elected at the May 10, 2017 Spring Leadership Development Conference (previously named the Spring Leadership Training Conference.) This committee must present their report at the October 9, 2017 Fall Conference (previously named the Fall Convention) asthe officers for 2018-2020 are elected at that general meeting. Frana Pattersonmade the motion “that the August 23, 2017 Board of Directors and Local Presidents Council meeting be designated for the election of the 2017 Nominating Committee of five (5) members as a one-time occurrence; in future the Nominating Committee shall be elected at the Spring Leadership Development Conference.” The motion was adopted.
New Business
Parliamentarian Jo Ann Smith Haedgemade the motion to amend the Bylaws “that the currentpresidentof District XI shall serve as an ex officio member, without vote, to the Nominating Committee of five (5) members to be effective immediately (2017.)” The motion was amended by Myrtis Parker “that theimmediatepast-president of District XI shall serve as an ex officio member, without vote, to the Nominating Committee of five (5) members to be effective immediately (2017.)” The amended main motion was adopted.
Note: Notice of this proposed 2017 amendment to District XI Bylaws, Article V. Officers, Section 3.ANomination and Electionand Section 5.A.(4)Duties of the President must be sent to each Local Unit at least thirty (30) days prior to the Fall Conference where the Bylaws may be amended by a two-thirds (⅔) vote.
The President called for a brief recess.
When the meeting resumed, reports from officers and chairmen continued.
- Local Unit Support Chairman Jack Knowles reported Keller ARSP had disbanded despite the tremendous growth of the Keller ISD in the last five years; the local unit members are now listed as TRTA at-large members.
- President Janie Bramlett informed the members that newly-appointed Informative and Protective Services Chairman Marsha Thauwald(Johnson-Somervell RSEA) had resignedand Louretta Evans (Parker County RTA) had been appointed as the 2017-18 Chairman.
- Technology Chairman Pam Elza reported that the 2017-2018 TRTA Local Unit Rosters would be on-line next week.
- Treasurer Pat Lioce informed members that TRTA District XI was now registered as a 501(c)(4) nonprofit organization and distributed copies of the Texas Sales and Use Tax Exemption certificate for usewhen making purchases of taxable items for District XI (e.g., catering for district-wide events.) Reminder: ESC Region XI does not charge sales tax on their printing services and their prices were lower than those of many commercial printers.
- During discussion of line items for the proposed budget for 2017-18 (attached) President Janie reported that Denton Area RSPA had requested District XI underwriting of transaction fees for members who wanted to pay their local dues with the cell phone application, “Square”; the consensus of the Board was that pursuing this course of action should be a local unit decision and expense.
- Jack Knowles made the motion “to continue the Gavel Travel payment of $25 to each Local Unit who sends a delegation to visit another Local Unit and submits a report on what was learned to the District President.” Motion was adopted.
- Frana Patterson made the motion “to move the Everman Area RSEA from the 2018 Spring Conference host group to the 2020 Spring Conference host group.” Rationale: Everman Area RSEA is part of the host group for the 2018 Fall Conference. Motion was adopted.
- Pat Lioce made the motion “to adopt the proposed budget for 2017-18.” Motion was adopted.
- Action taken at the Spring Leadership Development Conference regarding the E. L. Galyean Service Award was discussed. Honoree, Dr. Barbara Hryekewicz, declinedto accept the District’s nomination.
The meeting was adjourned at 1:20 p.m.
