All recipients of this solicitation notice must indicate intent to submit a response by JUNE 27, 2017. Those vendors submitting a Notification of Intent will be sent any related addendum, answers to inquiries, etc. pertaining to this ITB. Submissions may be withdrawn, modified, and resubmitted prior to the formal bid opening due date. Any submission modification(s) submitted after the “Bid Due Date” will not be considered, subject to the needs of the County.

All costs incurred by the company to respond to this solicitation will be wholly the responsibility of the Bidder. All copies and contents of the Bidder’s response, attachments, and explanations thereto submitted in response to this ITB, except copyrighted material, shall become the property of the Jefferson County Commission regardless of the Consultant selected. Responses to this solicitation do not constitute an agreement between the bidder and the County.

Sealed bids, marked "ITB 116-17 TEMPORARY STAFFING SERVICES (WWTP OPERATOR)” will be received by the Purchasing Manager, Room 830 * 716 Richard Arrington Jr. Blvd N, Birmingham, Alabama.
Bids will be accepted electronically until 11:59 P.M. central time (standard or daylight savings time, as applicable) onJULY 5, 2017.
Bids will be publicly opened at 10:00 AM on JULY6, 2017.

TERM OF CONTRACT:
Any contract resulting from this ITB will become effective upon bid award (or within 30 days of award notification, or upon approval of the County Commission and purchase order is issued) for a six (6) month period. Any resulting contract may be extended, at the County’s option, for an additional six (6)months.

NOTIFICATION OF INTENT:
All recipients of this ITB are asked to return a letter of Notification of Intent indicating that they intend to submit a bid.
Only those vendors submitting the Notification of Intent will be advised of any clarifications, addendum, answers to inquiries, etc. pertaining to this ITB. Notification of intent must be e-mailed no later than JUNE 27, 2017.
INVITATION TO BID
STATEMENT OF PURPOSE:
Jefferson County desires to enter into contract with Temporary Employment Agencies to provide qualified personnel on an intermittent asneeded basis to various departments. Services will be required during extended sick and vacation leaves of critical positions and temporary vacancies of budgeted County positions when Merit System or Classified candidates are not immediately available.
This ITB provides interested parties with sufficient information to enable them to prepare and submit a response for consideration by the Jefferson County Commission. By submitting a response, you are affirming that you (in the case of individuals) and/or your organization are interested in contracting with the County to provide services covered herein. This document serves a two-fold purpose in that it is the County’s document of record showing our specifications, terms and conditions, besides the purchase order, that will be executed with regard to the purchase of the services requested herein.
SCOPE OF SERVICE:
The objective of this ITB process is to select temporary service companies who will provide the following positions on an as needed basis as described herein:
TEMPORARY STAFFINGWASTE WATER TREATMENT OPERATOR-Gr. IV Certification
MINIMUM CERTIFICATION AND EXPERIENCED REQUIRED:
The Waste Water Treatment Operatorposition requires Grade IV Certificationper Alabama Department of Environmental Management (ADEM) Admin. Code R 335-10-1-.03 and a minimum of six (6) months of experience as a certified operator in an activated sludge wastewater treatment plant. Providers are encouraged to recruit or consider for service for this ITB Operators who possess equivalent certification from states who enjoy reciprocity with the State of Alabama (currently all states except Florida, New York, California, Michigan and Nebraska). The County will consider for immediate service equivalently certified Operators from these reciprocal statesfor up to thirty (30) days provided application for Grade IV Certification has been made to ADEM.

WASTE WATER TREATMENT OPERATOR
VENDOR REQUIREMENTS AND INSTRUCTIONS:
The following are the minimum qualifications for Bidders:
- Documented ability to provide all the services required by this ITB
- Statement of Qualifications to provide scope of services.
- Good reputation for reliability and successful completion of similar projects with
organizations of similar scope and size.
- Is authorized to conduct business in the State of Alabama and Jefferson County.
INVITATION TO BID
- Ensure that all assigned personnel are professional and technically qualified to
provide the services to fulfill the requirements of this ITB and any problems that
may arise during the entire course of the engagement listed herein.
- Be prepared to submit information to prove financial stability upon request.
ADDITIONAL REQUIREMENTS:
- Ability to supply personnel in a timely manner (within two weeks after Notice to Proceed).
- Ability to supply needed personnel for a 6-month period on a full or part time basis.
- Ability to supply up to 10 individuals on a continual basis (specify if capacity is otherwise)
- References where services are being performed in a wastewater
treatmentplant setting.
- Adequate insurance protection as required by the ITB.
INTERPRETATIONS AND ADDENDA:
No interpretation or modification made to any respondent as to the meaning of the ITB shall be binding on the Jefferson County Commission unless submitted in writing and distributed as an addendum by the
Jefferson County Purchasing Department. Interpretations and/or clarifications shall be requested in writing and directed to Sandra Tellis at Jefferson County Purchasing Division, 830 Courthouse, 716 Richard Arrington Jr. Blvd. North, Birmingham, AL 35203, (Fax 205-214-4034) or (email: Verbal information obtained otherwise will not be considered in awarding of contract. All addenda shall become part of the ITB and must be acknowledged and included with submission.
SELECTION CRITERIA:
All submissions will be independently reviewed by the Jefferson County Commission. Award criteria will be based on an evaluation of the Provider’s 1) Experience, 2) Certification, 3) Price and 4) Quality of Reference. The County may select multiple vendors to supply these services simultaneously. The determination of services to be provided by the selected Bidder shall be at the sole discretion of the Jefferson County Commission. Any contract resulting from this solicitation will become effective upon award (or within 30 days of award notification, approval of the County Commission).Failure of any Bidder to receive or examine any form, instrument, addendum or other document shall in no way relieve any Bidder from any obligation with respect to their response or to any contract resulting from this proposal. The submission of a bid response shall be taken as conclusive evidence of compliance with this condition. Failure to meet this condition may result in rejection of any offering on this response.
SUBMISSION INSTRUCTIONS:
All costs incurred by the company to respond to this solicitation will be wholly the responsibility of the Bidder. All copies and contents of any bid, attachment, and explanation thereto submitted in response to this ITB, except copyrighted material, shall become the property of the Jefferson County Commission regardless of the Provider selected. Any materials submitted in response to this solicitation shall not be returned.

INVITATION TO BID
PERMITS, CODES, REGULATIONS AND PAYMENT OF ALL TAXES:
All services performed will comply with City, County, State and Federal Codes and regulations. Successful bidder will obtain and pay for all permits necessary (i.e., business license, payment of taxes (Federal, State, Local, etc.).
PRICES: Shall include all billable charges related to the successful performance of this contract.
METHOD OF PAYMENT:
Bidder will be paid bi-weekly or monthly (as determined by user department) by check via U.S. Mail to Contractor’s designated address upon receipt of invoice.
BID BOND:

EXAMINATION OF SITE:
When applicable, and Bidder will be required to perform services at County site, all bidders are expected to visit the site of the work and ascertain existing conditions. Failure to do so will in no way relieve the successful bidder from the necessity of furnishing all services and performing all work required for completion of the contract.
ENTIRE CONTRACT:
This ITB and any resulting contract sets forth the entire agreement between the Parties with respect to the subject matter thereof and shall govern the respective duties and obligations of the Parties.
ADDITIONAL TERMS AND CONDITIONS
ASSIGNMENT (CONTRACTUAL):
No portion of the Invitation to Bid or resulting project contract may be sold, assigned, transferred or conveyed to a third party without the express written consent of Jefferson County. Should Jefferson County authorize the Successful Bidder to subcontract (assign) any portion of this contract, the Successful Bidder will maintain the ultimate legal responsibility for all services according to contract specifications. In the event of a subcontract, the Successful Bidder must maintain a continuous effective business relationship with the sub-contractor(s) including, but not limited to, regular payment of all monies owed to any sub-contractor. Failure to comply with these requirements, in whole or part, will result in termination of the contract and/or legal ramifications, due to nonperformance.
ASSIGNMENT (STAFFING):
Upon award and during the contract period, if the Provider chooses to assign different personnel to the project, the Provider must submit their names and qualifications (resumes) to the County for approval before they begin work.

CANCELLATION:
Failure to deliver as specified and in accordance with the ITB submitted, including promised delivery will constitute sufficient grounds for cancellation of the order at the option of the County.
CONFIDENTIAL OR PROPRIETARY INFORMATION:
If a Provider’s response contains material noted or marked as confidential and/or proprietary that, in the County’s sole opinion, meets the disclosure exemption requirements of the Alabama Public Records Law, then that information will not be disclosed pursuant to a request for public documents. If the County does not consider such material to be exempt from disclosure under the Alabama Public Records Law, the material will be made available to the public, regardless of the notations or markings. If a Provider is unsure if its confidential and/or proprietary material meets the disclosure exemption requirements of the Alabama Public Records Law, then it should not include such information in the proposal.
CONFLICT OF INTEREST:
The Provider declares that, as of the date of any ensuing contract, neither the County nor any County Commissioner nor any Director nor any other Jefferson County Government official is directly or indirectly interested in this contract or any contract with the Provider for which compensation will be sought during the period of time this contract is being performed, and, furthermore, the Provider pledges that he/it will notify the Purchasing Manager in writing should it come to his/its knowledge that any County official becomes directly or indirectly interested in the contract or any contract the Provider for which compensation will be sought during the aforesaid period. In addition, the Provider declares that, as of the date of this contract, neither he/it nor any of his/its officers or employees have given or donated or promised to give or donate, either directly or indirectly, to any official or employee of the Jefferson County Commission, or to anyone else for the County’s benefit, any sum of money or other thing of value for aid or assistance in obtaining this contract with the County under which compensation will be sought during the period of time this contract is being performed and furthermore, that neither the Bidder nor any of his/its officers or employees will give or donate or promise to give or donate, directly or indirectly, to any official or employee of the Jefferson County Commission, or to anyone else for the County’s benefit, any sum of money or other thing of value, for aid or assistance in obtaining any amendment to this contract with the Bidder for which compensation will be claimed during the period of time this contract is being performed.
DISCLAIMER OF LIABILITY:
The County will NOT hold harmless or indemnify any successful Bidder for any liability whatsoever.
EQUAL OPPORTUNITY:
Each Bidder submitting a proposal agrees not to refuse to hire, discharge, promote, demote, or to otherwise discriminate, including in matters of compensation against any person otherwise qualified solely because of race, creed, sex, national origin, ancestry or physical handicap.
GENERAL:
The Jefferson County Commission expressly reserves the right to reject any or all proposals, or parts of proposals, or to re-solicit and to make the award or awards as the best interest of the County appears.

GUARANTEE:
Bidder certifies by submitting a response, that he is fully aware of the conditions of service and purpose for which services included in this ITB are to be purchased, and that his offering will meet the requirements of service and purpose to the satisfaction of the Jefferson County Commission and its Agent.
HOLD HARMLESS AGREEMENT:
Bidder agrees to protect, defend, indemnify and hold harmless Jefferson County and its commissioners and employees from any and all costs, claims, and damages of every kind and nature made, including attorneys’ fees, rendered or incurred by or in behalf of every person or corporation whatsoever, including the parties hereto and their employees that may arise, occur, or grow out of any acts, actions, work or other activity done by the Bidder, its employees, sub-contractors or any independent contractor working under the direction of either the Bidder or subcontractor in the performance of this contract.
