Minutes of Directors' Meeting

The directors of Magnolia Estates Homeowner's Association, an Oregon corporation, held a regular meeting on March 9, 2006 at HopeValleyChurch. The meeting began at 6:40 p.m. and ended at 8:00 p.m.

1. Notice

The board was notified of this meeting date and time at the board meeting held on January 12, 2006.

2. Quorum

The following directors, constituting a quorum, were present:

Dave Fisher

Tony Hamilton

Shirley Smith

The following director was excused:

John Gruber

3. Actions Taken

The minutes of the regular directors' meeting held on January 12, 2006 were approved, and the directors took the following actions:

Northwest Community Management has been notified of termination of their contract effective 4/30/06. Appleton Properties, Inc. has been hired as the new management company. They will begin services including billing monthly dues assessments effective 4-1-06. The board in a unanimous electronic vote on February 12, 2006 authorized Dave Fisher to enter into the new agreement and send the 90 day termination letter to Northwest Management. The following three directors voted to formally approve the electronic vote taken on February 12, 2006 Dave Fisher, Shirley Smith and Tony Hamilton.

Dave Fisher will schedule a meeting with Appleton Properties, Inc. for all Board members to attend. Arrangements will be made for a financial review by Appleton Properties and a report made to the board with their recommendations.

Tony Hamilton is in the process of completing the process of negotiating a contract for landscape services with A & J Landscape Maintenance, Inc. Showplace Landscaping is aware that their contract will be terminated.

Lindsay Wochnick tendered her resignation from her two year term ending in 2007 to the board effective 3-3-06. The board will name a replacement member to the board as permitted in the association bylaws.

The association newsletter was not sent to be posted to the website and will be emailed to Abel for posting. There was a discussion of how the homeowners feel about website.

There were only 4 homeowners in attendance at the meeting. It appears that the homeowners are not getting the message about the meetings. The board will explore finding additional ways to notify homeowners.

The board placed the open items on hold until new management and landscape companies are in place.
