1. ConsenttoSublease

TheLandlordhereby consentstotheSubleaseandthetransactionscontemplated. TheLandlord’sconsenttothe

Subleasewillnotbedeemedasconsentto:

(i)Any furtherorothersubleasingof theSubleasedPremises; (ii)Anysubleasingofanyotherportionof thePremises,or;

(iii) Thesubleasingofanyportionof thePremisestoanyothersubtenantoronanyotherordifferent termsthanthosestatedintheSublease. TheTenantwillprovideLandlordwithafullyexecuted copyof theSubleasepromptlyafterexecution.

2. ContinuingLiability

Tenant acknowledgesthat:

(i)Tenantwillremainprimarilyliablefor,andwillnotbereleased from,thefulland faithful performanceofallterms and conditionsof theMasterLease,notwithstandingtheexistenceof (andLandlord’sconsentto) theSublease,oranybreach committedbySubtenantunderthe Sublease,and

(ii)Landlordwillbeentitledtopursueallremedies available intheeventoftheTenant’sbreachof the MasterLease,without regardtotheperformanceornonperformanceof thetermsof theSublease bySubtenant.

3. Monthly Basic Rent

LandlordandTenant acknowledgeandagreethattheMonthlyBasic RentduefromSubtenantunderthe

Sublease($)doesnotexceedtheMonthlyBasic RentduefromTenantundertheMasterLease.

4. EntireAgreement

ThisConsentconstitutestheentireagreementoftheLandlordandtheTenantrelatingtoitssubjectmatterand replacesanypriornegotiations,representations,agreements andunderstandingsof thepartieswithrespectto

suchmattersoralorwritten. TheParties acknowledgethattheyhavenot reliedonanypromise,representationor warranty,expressedorimplied,notcontainedinthisConsent.

5. InterpretationandAmendment

Ininterpretingthe languageof thisConsent,theLandlordandTenantwillbetreatedashavingdraftedthis Consent aftermeaningfulnegotiations.The language inthisAgreementwillbeconstruedastoitsfairmeaning andnotstrictly fororagainsteitherParty.TheLandlordandTenantmaymodifythisConsentwithwritten documentation.

6. Attorneys’ Fees

IfanyParty failstoperformanyofitsobligationsunderthisConsentorifadisputearisesbetweentheParties concerningthemeaningofanyprovisionsof thisConsent,andanactionisfiled,theprevailingpartyinanysuch actionwillbeentitledtorecoverfromtheotherparty,inadditiontoanyotherrelief thatmaybegranted,itscourt costs andreasonableattorneys’fees.

7. Counterparts

ThisConsentmaybesignedin counterparts andallcounterpartssoexecutedwillconstituteonecontract,binding onallpartieshereto.

8. BindingEffect

ThisConsentwillbebindingonLandlord,andinuretothebenefitofTenant andits respectiveheirs,executors, administrators,successorsininterestandassigns.

9. GoverningLaw

ThisAgreementwillbegovernedand construedinaccordancewiththe lawsof theStateof

andRecipientconsentstotheexclusive jurisdictionof thestatecourts andU.S.federalcourtslocatedtherefor anydisputearisingoutof thisAgreement.
