(a)“Client”meanstheAyub Teaching HospitalMTI, Abbottabad withwhichtheselectedConsultantsignstheContractfortheServices.

(b)“Consultant”meansaprofessionalwhocanstudy,design,organize,evaluateandmanageprojectsorassess,evaluateandprovidespecialistadviceorgivetechnicalassistancefor making or drafting policies, institutionalreforms, all otherworksrelatedforconstruction civil , Mechanical and Electrical works.

(c)“Contract”meansanagreementenforceablebylawandincludesallconditionsofthecontract.

(d)“Day”meanscalendardayincludingholiday.

(e)“Government”meanstheGovernmentofKPK.

(f)“Proposal”meansthe Technical Proposal and financial Proposal.

(G)“Sub-Consultant”meansanypersonorentitytowhomtheConsultant subcontracts any part of the Services.

2.1The“Client”willpre-qualify/shortlisttheconsultingfirms,inaccordancewiththemethodofselectionasspecified.

2.2TheeligibleConsultants(prequalified/shortlisted)will beinvitedtosubmitaFinancialProposal.TheProposalwillbeon thebasisforcontractnegotiationsandultimatelyforasignedContractwiththeselectedConsultant.

2.3Consultantsshouldfamiliarizethemselveswithrules/conditionsandtakethemintoaccountwhilepreparingtheirProposals.Consultantsareencouragedtoaskforanyquery,Consultantsmayliaisewith“Client”forgainingbetterinsightintotheassignment.

2.4Consultantsshallbearallcostsassociatedwiththepreparationandsubmissionoftheirproposalsandcontractnegotiation.The“Client”reservestherighttoannultheselectionprocessatanytimepriortoContractaward,withouttherebyincurringanyliabilitytotheConsultants.

2.5“Client”“mayprovidefacilitiesandinputsasrequiredbythebidder/firm

3.1Consultants arerequiredtoprovideprofessional, objective,andimpartialadviceandholdingthe“Client’s”interestparamount.Theyshallstrictlyavoidconflictwithotherassignmentsortheirowncorporateinterest.Consultantshaveanobligationtodiscloseanysituationofactualorpotentialconflict thatimpacts theircapacityto servethebestinterestofthe“Client”,orthatmayreasonablybeperceivedashavingsucheffect. Failuretodisclosesaid situations mayleadtothe disqualification of theConsultant or the termination of its Contract.

3.2Withoutlimitation on the generality of the foregoing, Consultants, and any of theiraffiliates, shall be considered to have a conflict of interest and shall not be recruited, under any of the circumstances set forth below:

(i)A Consultant shall not hire affiliates for any assignment that, by its nature, may be in conflict with another assignment of the Consultant to be executed for the same or for another ProcuringAgency.

(ii)A Consultant thathas a business or family relationship with a member of the “Client” staff whoisdirectly or indirectly involved in any part of

(iii)Contract may not be awarded unless the conflict stemming from this relationship has been resolved.

4.1 ConsultantsshouldobservethehigheststandardofethicsduringtheexecutionofContract.

“corruptandfraudulentpractices”includestheoffering,giving,receiving,orsoliciting,directlyorindirectlyofanythingofvaluetoinfluencetheactofanotherpartyforwrongfulgainoranyactoromission,includingmisrepresentation,thatknowinglyorrecklesslymisleadsorattemptmislead apartytoobtain afinancialorotherbenefitortoavoidanobligation.

4.2Any such violation will lead to termination/ disqualification of contract.

Consultantspre-qualifiedontheirtechnicalproposalssubmitted,areeligibleforthe2ndstepofselectioni-ecallforfinancialproposal on case to case basis.

Prequalified/ShortlistedConsultantsmaysubmitfinancialproposal,whenrequiredbythe“Client”

6.1Consultantsmayrequestforaclarificationofcontentsofthepre-qualificationdocumentinwriting, and“Client”shallrespond tosuchqueriesin writingwithin threecalendardays,providedtheyarereceivedatleastfivecalendardayspriortothedateofopeningofproposal.The“Client”shallcommunicatesuchresponsetoallpartieswhohaveobtainedRFPdocumentwithoutidentifyingthesourceofinquiry.

6.2AtanytimebeforethesubmissionofProposals,the“Client”mayamendandissueanaddendum/corrigenduminwriting.TheaddendumshallbesenttoallConsultantsandwillbebindingonthem.Consultantsshallacknowledgereceiptofallamendments.TogiveConsultantsreasonabletimeinwhichtotakeanamendmentintoaccountintheirProposalsthe“Client”may,iftheamendmentissubstantial,extendthedeadlineforthesubmissionofProposals.

7.1In preparing their Proposal, Consultants are expected to examine in detail the documents, nature of work, etc.

7.8Theconsultantsareencouragedtoco-ordinateforanyquerywith representative of the “Client”

Writtenlanguagewillbe English.

9.1WhilepreparingtheTechnicalProposal,consultantsmustgiveparticularattentiontothefollowing:

(i)Ifaconsultantconsidersthatitdoesnothavealltheexpertisefortheassignment,itmayobtainafullrangeofexpertisebyassociating withindividualconsultant(s)and/orotherfirmsorentitiesinajointventureorsubconsultancy,asappropriate.

(ii)Itisdesirablethatthemajorities of the key professional staff proposed, be permanent employees of the firm or haveanextendedandstableworkingrelationshipwithit.

(iv)Proposedprofessionalstaffmust,ataminimum,havetheexperience,preferablyworkingundersimilargeographicalcondition.

(v)Alternativeprofessionalstaffshallnotbeproposed,andonlyonecurriculumvitae(CV)shallbesubmittedforeachposition supported with relevant documents.

9.2TheTechnicalProposalshallprovidethefollowinginformation

(i)Abriefdescriptionoftheconsultantorganizationandanoutlineofrecentexperienceonassignmentsofasimilarnature.Foreachassignment,theoutlineshouldindicate,interalia,theprofilesofthestaff,durationoftheassignment,contractamount,andfirm’sinvolvement.

(ii)Thelistoftheproposedstaffteambyspecialty,thetasksthatwouldbeassignedtoeachstaffteammember,andtheirtiming

(iii)CVsrecentlysignedbytheproposedprofessionalstaffandtheauthorizedrepresentativesubmittingtheproposalKeyinformationshouldincludenumberofyearsworkingfortheconsultantanddegreeofresponsibilityheldinvariousassignmentsduringthelastyears.

(iv)Estimatesofthetotalstaffinput(professionalandsupportstaff;stafftime)neededtocarryouttheassignment.

(v)Adetaileddescriptionoftheproposedmethodology,workplanforperformingtheassignment,staffing,andmonitoring.

(vii) Anyadditionalinformationrequiredbythe“Client”

9.3TheTechnicalProposalshallnotincludeanyfinancialinformation.

TheFinancialProposalshallbepreparedconsideringthescopeandnatureofthework,thefinancialproposalshallbeaskedafterpre-qualification/shortlistingonthebasisoftechnicalproposal.

TheConsultantwillbesubjecttoalladmissibletaxesincludingstampdutyandservicechargesatarateprevailingonthe dateofcontract,leviedbytheGovernment.

Proposalshallcontainnointerlineationsoroverwritingandsubmittedaccordingly, hand written proposal shall not be accepted.

12.1.1ForthistenderKPRRATwostagebiddingprocedureasperrelevant clause(s)foropencompetitivebiddingisadopted,detailedasunder;

(i)Thebiddersshallfirstsubmit,accordingtotherequireddocuments,profile,brochure,technicalproposalwithoutprice;

(ii)The technical proposal shall be evaluated in accordance withthe specified evaluation criteria and requirements of the “Client”; andmay be discussed with thebidders regarding any deficiencies, unsatisfactory technical features;

(iii)The “Client” may revise, delete, modify or add any aspect of the technical requirements or evaluation criteria, or itmay add new requirements, Provided that such revisions, deletions, modifications or additionsare communicated toallthebiddersequally at thetime of invitation tosubmit finalbids.

(iv)Thosebiddersnotwillingto conform their respectivebidsto the “Client’s” technical requirements may be allowed to withdraw from thebidding.

v)Thosebidders whose Technicalproposalisnotacceptedwouldbeinformed.

(i)Thebidders,whosetechnicalproposalsareaccepted,willbeaskedtosubmittheirfinancialproposal.

(ii)Thefinancialproposalresultoftechnicallypre-qualifiedfirmsshallbe communicated to the bidders after opening of financial bid.

(iii)The financially lowest bidder amongst the technically qualified panel will be considered.

13.4TheEvaluationCommitteewillcorrectanycomputational errors.Whencorrectingcomputational errors,incaseofdiscrepancybetweenapartialamountandthetotalamount,orbetweenwordandfigurestheformerswillprevail.Inadditiontotheabovecorrections, activitiesanditemsdescribed intheTechnical Proposalbutnotpriced,shallbe assumedtobeincludedinthe pricesofotheractivitiesoritems.

13.5Theconsultantsmaybecalledfordemonstration/presentation.

14.1The“Client”shallawardtheContracttotheselectedConsultant,andthesamewouldbecommunicatedtoallparticipantsaccordingly.

14.2After receiving of award of contract consultant are required to sign theagreementforthespecifiedwork.

Informationrelatingtoevaluation ofProposalsandrecommendationsconcerningawardsshallnotbedisclosedtotheConsultantswhosubmittedtheProposalsortootherpersonsnotofficiallyconcernedwiththeprocess,untilthefinalizationoftheawardofContract.TheundueusebyanyConsultantofconfidentialinformationrelatedtotheprocessmayresultintherejectionofitsProposal.

TheConsultantsshallperformtheirdutiesinthefollowingphases:

(a)Tocarryoutengineering,socialandenvironmentalinvestigationsandstudiesofthesite,preparedataandanalysistoascertainthefinalrequirementfortheplanninganddesignoftheschemes,neededforthebestconstruction

(b)Topreparefeasibilityreportandgenerallayoutplanoftheschemes,withshortandlongtermmaintenance,withstipulatedcost along with the soft copy.

TheConsultantsshallprepareSchemes,Generalplansoftheworks,atleastthreeproposalswithprobableconstructioncostandallieddetails along with the soft copy.

PreparefromtheapprovedGeneralplans,SchematicDesignalongwithstatementofprobableconstructioncostandsubmitto “Client” along with the soft copy.

PreparefromtheapprovedSchematicDesign,thefinalDesignanddevelopmentDocuments,consistingofworkingdrawingsincludingplans,elevationsandsuchotherdrawings,outlinespecificationstofixandillustrateentirebuildinginitsessentialsastokind ofmaterials, typeofstructure,mechanicalandelectricalsystemsand suchotherworksas maybe requiredtothe“Client”forhisapproval along with the soft copy.

ArchitecturalDrawings(Internaland External), StructuralDesign,Drawingsand Calculations forrecordand check. Drawings related to, InternalandExternalwater supply, Sanitation and drainage Internal and Externalelectrification, gas installation,andotherservices, Landscaping and interior decoration, HVAC, laundry, STP, Medical Gas lines etc in all relevant fields along with the soft copy.

TheConsultantsShall preparefromtheapproved design, and developmentsdocuments, specifications setting forth details and prescribing the works to bedoneandthematerials,workmanship,finishingandequipmentsrequiredfor

theArchitectural,Structural,Mechanical,Plumbing and Electricalservicesandsubmitcopyto the “Client”forhisapproval along with soft copy.

16.5.1TheConsultantsshallpreparethefollowingdocuments:

a.Description ofthework.Generalrates,Termsand conditionsofthecontract fortheapprovalofthe“Client” along with the soft copy.

b.Tenderoftheworksincludingestimatesofthequantities,basedontheMarket Rate System issuedby Finance Department KPKoronthecurrentmarketrated,Non-scheduleditemstobesupportedbydetailedRateanalysis.Anyotherdocuments,necessaryfortheproperimplementationandconstructionofthebuilding along with soft copy.

TheConsultantsShall:

a. Adviseonthepreparationofanycontractrelatingtoaccepttenderforcarryingoutthework.Prepareallcompletetenderdocumentsandanyfurtherdesigneddrawingnecessaryfortheinformationofthecontractortoenablethemtocarryouttheworks.TheConsultantsshallassistinsettingdisputesordifferencewhichmayarisebetweenthe“Client”andContractor.

Prepareandsubmit tothe“Client”, fourcopiesandcomputerCDofcompletedrawingshowingalldetails,accordingtothescaleoncompletionoftheproject,fornecessaryoperationandmaintenance.

Suggestthereplacementofanyworkdamagedduringconstructionthroughfireandothercauses.

TheConsultantsundertakeDetailSupervisionofvariousStagesofworks,as under:

a.Checkinglayoutofthefoundation ofthebuilding with referencetothedetaileddesignsinrelationtothebenchmark,baselineandtheirdepthetc.

b.Checkingthelayout ofallinfrastructuresandre-adjustingthelayoutand/orthedesignifsuchreadjustmentprovednecessaryaccordingtotherequirement.

c.Checkingthatthecontractorexecutingtheconstructionworkinaccordancewiththefinalapprovedworkingdrawings,tenderdocumentsandspecifications.Suggestsubstitutionofmaterials,wheneveranymaterialisnotavailable.Preparingandissuingnewdetaileddrawingswheneveritisdeemed necessarytomaketheadjustmentsintheconstruction.

d.The“Client”mayrequiretheConsultantsatanystagetomodifyormakevariationsinanyplans,andConsultantsshallmakeanymodificationsorvariationsinanyplan,studies,drawings,specificationsandotherdocumentsafterthesamehavebeenapprovedbythe“Client”.TheConsultantsshallbepaidtheactualexpensesincurred

e.Theconsultancychargeswouldbeintermsofpercentageoftotalcostofanyworkassignedtotheconsultants.

f.Thefinalcostofworksshallbedeterminedafteracceptanceofthecontractpricebythe“Client”. Intheeventthatchangeoccurswiththeapprovalofthe“Client”(upwardordownwards)inthecontractprice,thenthecostoftheworkswillbeadjustedaccordingly.TheadjustedcompletionpriceshallbestandasthefinalcostofcompletedbuildingandtheConsultantsfeesshallbefinalizedaccordingly.

Modeofpaymentshallbesetafterfinalizationofselectionprocess.

a.DocumentstobesuppliedbytheConsultants:

InadditiontothecopiesofthedocumentstobesuppliedbytheConsultantstothe“Client”forApproval,theConsultantsshallprovidethefollowingdocumentsasapprovedbythe“Client”.

b.Asetoffivecopiesofeachdrawingtobeprovidedfree ofcost.

c.Fivesetsoftenderand contractdocumentsandreportsprepared byConsultantsforthe workto be providedfreeofcost.

a.TheConsultantsaffirmandguaranteethattheyareskilledandfullyqualified,andthattheyshall makeuseofallsuch skillsandqualification in thebestprofessionalstandardsandskills.

b.TheConsultantsshallbefullyresponsibleforthecorrectnessandsuitabilityoftheirdesign and thesafety of thestructureandservicesbuiltaccordingtotheir designandspecifications.Theapprovalofthedesignbythe“Client”shallnotabsolvetheConsultantsortheirassociatesof theirresponsibilitiesunderthisarticle.

c.Ifthe“Client”suffersanylossesduetoproven faults, errors,delayoromissionsindesign onthepartof Consultantsoranyoftheirassociatesuptothe satisfactionoftheproject,Consultantsshallbeliabletomakegoodallsuchlosses.
