1st Vice President A. B. Crofford called the meeting to order. 1st Vice President Crofford informed the members that President Earles would not be attending the conference due to medical reasons.

Past President Steve Mills, City of Hendersonville, asked that we remember two of our fallen members, Jeff Kidwell, Stuart Crine, and their families, and then gave the opening prayer and pledge of allegiance to the American Flag.

1st Vice President Crofford introduced Mike Werner, Mayor of Gatlinburg.

Mayor Werner addressed the membership.

1st Vice President Crofford recognized of First Timers by asking them to stand including Mark Stanton from Utah.

Report of the Nomination Committee made by Committee Chairman Jim Brown with the following officers being nominated for office:

Chairman Brown asked if there were nominations from the floor three times:

A Motion that the Board of Directors for TBOA be elected by acclimation was made by Steve Mills, 2nd by Billy Stout. Motion was made by Terry Cobb that nominations be closed. Motion was approved to elect the board presented by the nominating committee.

Chairman of the by-laws committee Steve Mills presented the by-laws change that was proposed for this year. The change had been submitted by the required time limit. Copies of the old by-laws and new by-laws were available at the back table in the room. The proposed change was to Article III section 2. The organizational membership was moved down to section 2.3 and a new classification of membership was inserted into section 2.2 called the Professional Artisan. Steve explained the reasoning behind this section was to include contract inspectors as such is used by the state or some counties and municipalities. It was noted that the change had been sent out to the membership and posted on the website as per the 60 day requirement. Jim Brown made a motion to accept the by-law changes as presented. The motion was seconded by A. B. Crofford. The motion was approved.

1st Vice President Crofford announced that Secretary Keith Bruner had copies of the 2011 opening and closing sessions at the rear of the room to be reviewed and voted on at our closing business session.

2nd Vice President Denny Boss addressed the membership in reference to the location of the 2013 conference which would be the 50th. Denny informed the membership that he had contacted three different hotels for quotes on the conference next year. The hotels contacted were: The Choo Choo in Chatanooga, Embassy Suites in Murfreesboro, and the package we are offered at the Glenstone in Gatlinburg. Denny informed the membership that compared to what we are getting at the Glenstone the average cost differences were somewhere around $5,000- $8,000 higher with Embassy Suites and $3,500 - $6,000 higher at the Choo Choo. Denny discussed some of the individual cost differences between the hotels such as breaks, drinks, electricity charge for vendors, etc. Denny stated that the board would go wherever the membership wanted to go but felt with the cost difference the membership should decide. Discussion was held: Steve Mills suggested we have the 50th at the Glenstone and challenge the chapters next year to come forward with competitive rates. Boomer Millen stated he would like to go to middle Tenn. Terry Cobb asked if the board had done a survey. Eddie stated he sent one out with only 35 people replying and 28 of those chose the Glenstone. Mary Baier recommended tabling the vote until the closing business session so members could discuss it. David Buck requested a straw poll just to get an idea this morning. Boomer Millen requested the straw poll be done by sections, east, middle & west. A poll was held with 40+ wanting to come back east, 22 for middle and 1 for west. The matter was then tabled until the closing business session.

Mr. Crofford had some other reminders such as the Chapter President’s luncheon on Tuesday at 12 noon, TPMIA business meeting Monday 1 pm in Dogwood II, photos to be taken by the pool immediately following the meeting, and if anyone needs anything to contact a board member. 2nd Vice President Denny Boss made announcements pertaining to classes such as the sergeant of arms and the importance of signing in on the sheets in each class. Also there will be a door prize in each class.

A motion to adjourn was made by Max Touchton, seconded by Ray Hubner. All in favor.
