Ballistic Reseller Information Sheet

As part of your obligation as a reseller of Ballistic products, you are required to adhere to the following Minimum Advertised Price Strategy (“MAP”). Failure to adhere to the terms listed herein may result in the immediate suspension of your ability to sell Ballistic products.

All products offered by Ballistic are covered under the MAP. The Reseller may not advertise Ballistic products for sale at a price below the Minimum Advertised Price as defined herein. The Minimum Advertised Price for such products shall not be lower than 90% of the Minimum Suggested Retail Price ("MSRP") for each respective product as provided in effect at that time. All Resellers must be in compliance with this policy immediately.

If Ballistic determines, to its sole discretion, that a Reseller has taken any action that does not preserve Ballistic’s standards, which may include advertising a product at a price below 90% of the MSRP, Ballistic may immediately suspend the supply of all Ballistic products to that Reseller and may result in termination of the reseller’s Authorized Reseller status.

The foregoing MAP and any MAP listing is subject to modification or discontinuance by Ballistic, in its sole and absolute discretion, at any time. ANY ACTION TAKEN BY BALLISTIC UNDER THIS POLICY SHALL BE WITHOUT LIABILITY TO SUPPLIER.

"Advertising" means all media, including print, television, radio, direct mail, catalogs, and the Internet, including websites. In-store displays, point-of-sale sales, hangtags, or bar codes or similar marks on products or product packaging which merely state the price are not considered "advertising" for purposes of this MAP.

The terms of this Policy are confidential and are not to be disclosed to any other parties.
