TERMS AND CONDITIONS

1.In consideration of your agreeing at my/our request to make advance/discount in respect of my/our draft(s) and/or document(s) referred to overleaf, I/we agree that such advance/discount shall be made on the basis that you will have full recourse to me/us in all circumstances for the amount so paid by you.

2.I/We agree to pay you immediately after you receive notice (whether in writing or otherwise) of non-acceptance and/or non-payment the amount of the draft(s) and/or document(s) together with interest, at your prescribed rate and all other charges and expenses. I/We also irrevocably authorise you at your sole discretion to debit my/our account with the currency of/Singapore dollar equivalent of the draft(s) and/or document(s) at your prevailing selling rate together with interest, at your prescribed rate and all other charges and expenses.

3.I/We agree that you may, at any time after agreeing to advance/discount my/our draft(s) and/or document(s), recover the amount, interest at your prescribed rate and all other charges and expenses upon demand to me/us notwithstanding that the Collecting Bank has not stated that it will not accept the draft(s) and/or document(s) and/or effect payment under the Documentary Collection referred to overleaf.

4.I/We further agree that pending payment, title to property in the draft(s), Bill(s) of Lading, Insurance Policy(ies), Invoice(s) and/or other document(s) representing or relating to the goods and the goods represented thereby and the proceeds thereof shall be and remain in you and are to be held by you as security for the payment on demand to you of all moneys which now are or at any time hereafter may become due or owing or may be accruing or becoming due to you by me/us either alone or jointly or jointly with any other person or company on any account or in respect of any liability whatsoever whether actual or contingent and whether as principal or surety or otherwise together with, in all cases, interest, at your prescribed rate, and all other banking charges and legal costs incurred in relation hereto or the enforcement thereof. If any money hereby secured shall not be duly paid by me/us on demand, you may forthwith, without notice to me/us or any person, sell the goods or any part thereof by public auction or by private contract or otherwise or assign transfer or negotiate documents relating to the goods at such price and upon such condition and to such person(s) as you may deem fit and apply the net proceeds in or towards the discharge of the money hereby secured and the residue (if any) shall be paid to the order of the person legally entitled thereto. I/We hereby undertake, from time to time, to execute and sign all transfer and other document(s) and do all acts and things which you may require for perfecting your title to the goods or any part thereof or for vesting or enabling you to vest the same in yourself or your nominee(s) or in any purchaser.

5.I/We agree that you, shall not be responsible for any act, omission, default, suspension, insolvency or bankruptcy of any correspondent to whom the draft(s) and/or document(s) referred to overleaf may be sent for collection, or sub-agent thereof, or for any delay in remittance, loss in exchange or loss of item or its proceeds during transmission or in the course of collection. Until such time as actual payment shall have come into your possession, I/we shall reimburse you for any advance/purchase made in anticipation of collection as well as all disbursements made in an effort to effect the same. I/We undertake to pay you all collection charges if they are not paid by the drawee.

6.I/We agree that you shall assume no responsibility for the authenticity, genuineness, regularity and validity of the draft(s) and/or document(s) tendered, nor for the quantity, quality, condition, genuineness, character, nature, title and delivery of the goods represented thereby.

7.In case of dishonour, the goods may, at the option of your correspondent or sub-agent, be landed, cleared through the customs, warehoused and/or insured at my/our costs and expenses. I/We agree to be responsible for and to bear the consequences of the loss or late arrival or non-arrival of part or all of the draft(s) and/or document(s), and for any loss or damage which may happen to the goods whether during their transit by sea, air or land or after their arrival or by reason of the non-insurance or insufficient insurance thereof or by whatever cause, or for the stoppage or detention thereof by the shipper or any party whatsoever, engaging myself/ourselves duly to reimburse you with all sums that may be due to you with respect to the purchase of the draft(s) and/or document(s).

8.I/We undertake to indemnify you on a full indemnity basis, at all times, from and against all claims, demands, proceedings, actions, damages, liabilities, losses, costs and expenses of whatsoever nature, including legal costs arising directly or indirectly from and/or incurred, sustained or suffered by you in respect of or in connection with or in any manner arising from non-acceptance and/or non-payment of any draft(s) and/or document(s) enclosed herewith, whether or not such non-acceptance and/or non-payment be caused by or be in any way related to any alleged discrepancies and/or irregularities of whatsoever nature in the draft(s) and/or document(s) or otherwise.
