POLICY APPLICATION:

Policy applies to both Packaged (bags, boxes, pails, drums, Gaylord boxes, Supersacks, Tote bins etc) and Bulk (tank truck, dry bulk, ISO containers, etc.) Freight equally unless a specific reference is made to one mode or another. Policy DOES NOT apply to small parcels, letters, packages or sample sizes less than one US gallon.

Overview // Background

Huntsman supports ACC’s Responsible Care and as part of Responsible care our carrier qualification program requires ALL motor carriers loading or delivering any liquid, gaseous or dry CHEMICAL or, PETROLEUM products at any Huntsman facility, including 3rd party points, to adhere to the following:

Policy governs all Huntsman facilities involving motor carrier (packaged) activities regardless of whether Huntsman, Customer - including customer pick-ups (CPU) or Vendor nominated, controlled or arranged.

Acceptance Form must be received completed by Huntsman Corporate Logistics BEFORE the FIRST loading or delivery.

INSURANCE/INDEMNITY:

All transportation carriers are required to maintain current signed Certificate(s) of Insurance on file with Huntsman Corporate Logistics (SEE CERTIFICATE HOLDER) meeting or exceeding the following requirements.

1.  Huntsman WILL ONLY approve Asset Based Carriers. We WILL NOT approve 3PL’s, Brokers or Freight Forwarders.

2.  CARRIER performing the pick-up or delivery MUST be approved prior to arrival at our facilities

3.  MCS90 must be noted on the Certificate of Insurance in the Automobile Liability portion of the certificate or in the Description of Operations/Locations/Vehicles/Exclusions Added by Endorsement/Special Provisions section of the certificate stating “MCS90 Endorsement applies to xxx Policy and xxx Term (fill in the appropriate policy number and term). WE DO NOT ACCEPT ACTUAL MCS90 PAPERWORK.

4.  Coverage Per Occurrence, unless otherwise noted.

5.  ALL Insurance Certificates MUST be issued on insurance industry standard ACORD Form (see example).

·  Commercial General Liability: Aggregate: $2 million USD

Occurrence: $1 million USD

·  Comprehensive Automobile Liability:

Bulk-Hazardous: $5 million USD

+ MCS-90 (see above)

Bulk-Non-Hazardous: $1 million USD

Packaged (HAZ & Non): $1 million USD

+ MCS-90 as applicable

Huntsman WILL NOT accept a MCS-82 in lieu of the MCS-90 UNLESS the carrier is under written (boilerplate) contract to Huntsman.

·  Cargo $100,000 USD

(Cargo waived on Outbound Customer Pick-up Carriers & Inbound F.O.B. Destination Deliveries).

Excess Liability: Will ONLY be accepted WHEN, in the “SPECIAL ITEMS SECTION”, the specific policies are identified that are provided the excess coverage.

INDEMNITY

Carrier shall, to the full extent permitted by applicable law, indemnify, defend, and hold harmless Huntsman LLC and its affiliates and their respective shareholders, directors, officers, employees, and agents (Huntsman LLC and each such other person being referred to as an "Indemnified Party") from and against all claims, losses, damages, liabilities, fines, penalties, costs, and expenses for possible harm including, but not limited to, personal injuries, death, property damage, commercial loss, or natural resources or environmental damage (including all reasonable fees and disbursements of counsel) (collectively, "Losses"), as incurred (payable promptly upon written request), arising from, in connection with, or otherwise with respect to (i) Carrier's negligence, gross negligence, willful misconduct, or strict liability in relation to or in connection with any entry or activities (including performance of Carrier’s duties) upon at a Huntsman LLC (or an affiliate’s) facility by Carrier or its employees or subcontractors, or (ii) any failure by Carrier to observe or perform any term or provision of this Agreement to be observed or performed by Carrier. Carrier shall not be liable to an Indemnified Party hereunder to the extent that any Loss is found in a final nonappealable judgment by a court to have resulted solely from Huntsman LLC's (or its respective affiliate’s) negligence, gross negligence, or willful misconduct. The provisions of this paragraph shall survive the expiration or other termination of this Agreement.

TWIC – Transport Worker Identification Credential(s) (added 7/2008/amended March & May 2009)

Carriers picking up or delivering at Huntsman locations that are water served (see list below) and therefore under the auspices of both the USCG & the Dept of Homeland Security (DHS), the DHS requires the driver to possess and present a valid TWIC card to the security personnel at those facilities. USCG/DHS Roll-out dates are published on DHS’s website (http://www.tsa.gov/what_we_do/layers/twic/twic_faqs.shtm#general) and it is incumbent on the carrier to verify effective dates. When calling for appointments (see the last section of this Policy) the facility can advise their roll-out date.

Drivers arriving without a valid TWIC card, where required, will be refused access (except at Port Neches, TX until August 1st 2009). Neither Huntsman or our 3rd Party locations will be liable for any costs incurred by the driver, carrier or party hiring the carrier – such as detention, equipment ordered & not used charges, downtime etc. if a driver fails to present a valid TWIC card, where required. The Port Neches, Texas plant will provide escorts when available (thru July 31st 2009); however carrier is encouraged to provide drivers with a TWIC card.

Huntsman facilities affected by this regulation include the following:

QUALIFIED DRIVERS: (added 5/2007)

All drivers picking up or delivering to Huntsman facilities in the United States or Canada MUST meet all requirements of the US Federal Motor Carrier Administration, Division of Transportation (DOT) to be “a person qualified to drive a commercial motor vehicle,” as provided in 49 C.F.R. Section 391.11 (copy available upon request). Proof of compliance (such as an Interstate CDL) may be required as a condition of entry into any such Huntsman facility.

All drivers must be able to communicate in English understandably. (added 8/2015)

SELF INSURANCE:

ONLY core- carriers under written boilerplate contract to Huntsman will be considered for self-insurance.

CARRIER’S NAME

Carrier’s Name & DOT Number MUST be on driver’s door of cab. Use of magnetic or temporary signs permitted.

All carriers transporting Hazardous Materials from, to or within the U.S. must comply with The U.S. Department of Transportation HM 232 Security Requirements.

DOT 5800.1 (added 5/2007)

DOT does not define the term “physical possession.” Therefore, for incidents on or adjacent to Huntsman sites, where there is a question of whether Huntsman or the carrier had physical possession during a transportation incident, the following guidance shall be followed by all Huntsman U.S. sites:

·  Assume that the Huntsman site was in possession and is responsible for all notifications and reports, regardless of the circumstances of how the incident occurred or who was involved; OR

·  Obtain positive confirmation from the carrier that they were in possession, and will make all required notifications and reports, including NRC notifications and/or Form 5800 report submissions. If it can not be confirmed that the carrier will make the NRC notification and/or submit the Form 5800 report by the regulatory deadlines, the Huntsman site will make the notifications and reports. If Huntsman makes the NRC notification, Huntsman will also submit the associated Form 5800 report, even if it is subsequently determined that the carrier had possession during the incident.

TRANSPORTATION EMERGENCY NOTIFICATION (added 5/2007 – updated 3/2009)

In the event of a release (spill, leak etc) of a Huntsman product in transit (defined as after departure from a Huntsman or 3rd Party facility but before delivery is completed) carrier must promptly notify CHEMTREC (800.424.9300regardless whether the Huntsman product is Hazardous or Not (part of our Responsible Care Initiative).

SAFETY RATING

ALL carriers must maintain a SATISFACTORY Federal DOT Safety Rating and maintain US DOT Safer System Roadside Inspection Percentages acceptable to Huntsman.

Carriers without a current satisfactory DOT safety rating will be evaluated on a case-by-case basis and MAY be issued a 6-month temporary authorization.

Carriers with Intra-Canadian operations ONLY: (added 8/2007)

Carriers must furnish Huntsman with a copy of their Commercial Vehicle Operating Record (CVOR) annually. CVOR statistics must be acceptable to Huntsman.

HAZ MAT REGISTRATION

Carriers transporting Hazardous Materials must furnish their current HAZ Mat Registration upon request.

DOCUMENTATION

To avoid loading or unloading delays *** your Insurance Certificate(s), DOT Safety Rating, Roadside Inspection percentages and Receipt/Acceptance Form meeting all above requirements must be received by Huntsman Corporate Logistics prior to the first scheduled loading or delivery and be kept current in our database thereafter.

*** Loading or Unloading Detention, Load Cancellations, Layovers, etc. caused by a lack of the required documentation or expired coverage(s) WILL NOT be honored or paid by Huntsman.

LOADING INFORMATION & DOCUMENTATION:

CLEAN AND SUITABLE EQUIPMENT (BULK & PACKED):

All Equipment tendered by Carrier for transportation shall be clean, odor-free, dry, leak proof, free of contamination or infestation, and otherwise suitable for transportation of Products hereunder. Huntsman shall have the right, but not the obligation, to inspect for cleanliness and suitability any equipment (including tractors and trailers) so tendered hereunder by Carrier. Huntsman may, in its sole discretion and without liability to Carrier, reject any Equipment so tendered that does not meet Huntsman's standards of cleanliness or suitability for the Products to be transported.

BULK:

Order documentation is required for shipments loading at the Conroe, TX; Dayton, TX; Freeport, TX; Port Neches, TX plant sites and our 3rd Party Houston, TX area Bulk Terminals:
