Amendment to the Trust Fund Grant Agreement

Excellency:

We refer to the Trust Fund Grant Agreement between the Ministry of Water Resources of the Republic of Iraq (the “Recipient”) and International Development Association, acting as administrator (the “Administrator”) of the World Bank Iraq Trust Fund for the Emergency Community Infrastructure Rehabilitation Project (the “Project) dated April 20, 2008 as amended (the “Trust Fund Grant Agreement”). We also refer to your letter dated August 23, 2011 requesting an amendment to the Trust Fund Grant Agreement.

The Administrator hereby accedes to your request and amends the Trust Fund Grant Agreement as follows:

1. The first paragraph of Schedule 1 is amended to read:

“The objective of the Project is to generate short-term employment while addressing urgent rural irrigation, drainage and water infrastructure rehabilitation needs.”

2. The Closing Date in paragraph 2 of Part B of Section IV of Schedule 2 is revised to read “December 31, 2012”.

All of the terms and conditions of the Trust Fund Grant Agreement that have not been amended pursuant to this amendment letter shall remain unchanged and in full force and effect.

Please confirm your agreement to the above amendments on behalf of the Recipient, by signing, dating, and returning to us the enclosed copy of this Amendment Letter. Please retain one fully executed original for your records.

Upon receipt by the Administrator of the copy of this Amendment Letter countersigned by you, this Amendment Letter will become effective as of the date of the countersignature.
