1. The University of Maryland hereby grants the Student identified above permission to shoot the Film in the Locations listed above or in an attachment to this Agreement on the dates and times listed above.

2. The license granted to Student is subject to the following terms and conditions:

a.  For Interior film requests only: A University staff or faculty member must be present during filming in any University building.

b. Student has permission to include logos, trademarks or landmarks identifying the University in this Film project. Student will use his or her best endeavors to secure a credit in favor of the University of Maryland.

c. Student shall comply with all applicable University policies and local, county and state building and safety ordinances and regulations while filming.

d. Student is solely responsible for providing all equipment, personnel, and services required for filming. Student must obtain the prior written approval of the University to engage in any “Restricted Activities” (see Exhibit A). If a Restricted Activity requires oversight or services by the University, the University reserves the right, exercisable in its sole discretion, to charge Student for the costs of such services and/or to require Student to obtain insurance.

e. Filming shall not disrupt the normal functions of the University. If the University determines, in its sole discretion, that the filming or any person participating in the Film is disruptive, it shall have the right to right to terminate or modify this Agreement or to evict disruptive individuals immediately.

f. If Student moves any University property or furnishings in the course of filming, Student shall return the same to their original position at the end of filming.

g. Student shall use his or her best efforts not to damage University grounds and property, including furniture and signs, while filming. If the University determines Student’s actions are responsible for causing damage to grounds and property in excess of normal wear and tear, the University shall repair or replace the damaged property and invoice Student for the costs to fix the damage.

h. Student shall be responsible for paying the invoice for fees or damages within thirty (30) days of receiving the invoice unless Student enters into a different reimbursement schedule with the University. If Student fails to make timely payment, University shall have the right to have the amount owed added to the Student’s account.

i. Student shall have sole liability and responsibility for any and all liabilities, claims, demands and causes of action of any kind on account of losses, damages, illnesses, or injuries to person or property that are not caused by the negligent acts or omissions of the University. The liability of the University under this Agreement shall be governed, determined, and limited by Title 12, State Government Article, Anno. Code of Maryland.

3. Student shall own all rights under copyright in the Film and shall be responsible for obtaining permissions that may be required to use works owned and copyrighted by third party or to incorporate images of third parties in the Film.

4. Any notice, request or instructions given under this Agreement shall be in writing and delivered to Student and University in person; by email with documentation of delivery, or by first class mail, postage prepaid as follows:

5. This Agreement, including Attachment 1 if applicable, constitutes the entire agreement between Student and University regarding the subject matter herein. There are no understandings or agreements, written or oral, not incorporated in this Agreement. Changes to this Agreement must be made in writing by both parties. Student may not assign or transfer this Agreement to anyone.

EXHIBIT A: RESTRICTED ACTIVITIES

The following activities require the prior written approval of the University. If an activity is approved but requires University oversight or services, Student shall pay for such services at the rate established by the applicable department. The University reserves the right to require prior written approval for additional activities that are not listed here.

1.  Setting up a tent.

2.  Use of pyrotechnics, smoke machines, open flames.

3.  Temporary construction.

4.  Use of fire hydrants or other fire protection equipment.

5.  Use of a crane.

6.  Nudity, fighting, chase scenes, weapons.

7.  Interfering with or modifying the effectiveness or accessibility of utility, heating, ventilating, safety, lighting, elevator or air conditioning systems or portions thereof, including lines, pipes, wires, conduits, and related equipment.

8.  Filming during a class.

9.  Filming in a laboratory without permission and without supervision by the dept.

10.  Filming in Athletic facilities.

11.  Filming during cultural performances, recitals, and similar live events.
