Revised warranty and returns terms:
WARRANTY: In the event of breach of warranty action Angelini Pharma Inc. shall repair or replace defective Products. Angelini Pharma Inc. will not be liable for any consequential damages or damages alleged to have resulted from a breach of warranty action. Angelini Pharma Inc. makes no warranty, express or implied, other than those specifically set forth herein.
PRODUCT RETURNS: Requirements – Purchaser must obtain a valid Return Good Authorization (“RGA”) number from Angelini Pharma Inc. for all returns. Purchaser must provide its account information as required by Angelini Pharma Inc. for all returns. RGAs are valid for fourteen (14) calendar days from the date of issuance. Purchaser must allow for in-transit time for Products to be returned to Angelini Pharma Inc., as Angelini Pharma Inc. must physically receive Products within the fourteen (14) calendar days. RGAs will be issued for authorized returns under one of the following categories: (i) defective Products, (ii) stock balancing, (iii) billing or shipping discrepancies, or (iv) damaged Product. Purchaser is responsible for ensuring that the RGA number is clearly visible on the address label of the Product packaging when it is returned to Angelini Pharma Inc.. Angelini Pharma Inc. will refuse delivery of any boxes without a valid, clearly visible RGA number as noted above. Overgoods (less than 6 months shelf life) are unauthorized returns. Any Products received by Angelini Pharma Inc. (i) without a valid RGA number, including Product shipments refused by Purchaser except those damaged in transit from Angelini Pharma Inc. to Purchaser, (ii) later than fourteen (14) calendar days from the RGA date, or (iii) less than 6 months shelf life (excluding defective Products), will be considered Overgoods. Angelini Pharma Inc. will return Overgoods to Purchaser, and will charge Purchaser related freight charges. If Purchaser refuses the shipment of Overgoods from Angelini Pharma Inc. or returns the Overgoods to Angelini Pharma Inc. a second time without prior authorization, Purchaser agrees to relinquish all right and title to and waives all claims against Angelini Pharma Inc. for credit related to such Products. In the event of a shipping error caused by Angelini Pharma Inc., company will pay freight both ways for the return/exchange of product(s) and no restocking fee will apply.
Defective Product Returns – Defective returns are only for Products purchased from Angelini Pharma Inc. that are inoperable or do not function in accordance with the specifications published by Angelini Pharma Inc.. Purchaser may request an RGA for the return of defective Products within sixty (60) calendar days of invoice date. Upon receipt of the defective Product for which RGA was issued, Angelini Pharma Inc. may test the Products and may return to Purchaser, at Purchaser’s expense, ant Products found not to be defective. Upon verification that the returned Product is defective, Angelini Pharma Inc. may ship Purchaser a replacement Product. Angelini Pharma Inc. shall not be obliged to repair, replace, or issue credit to Purchaser for Products rendered defective, by causes external to the Products, including catastrophe, power failure or transients, overvoltage on interface, environment extremes, improper use, maintenance or application of the Product or use of unauthorized parts. Purchaser shall bear all risks of loss when returning defective Products.
Stock Balance Returns – Stock balance returns are only for Products purchased from Angelini Pharma Inc. that are unopened and unused and can be re-sold as new. All stock balance Products returned must be in the original packaging and in condition suitable for resale including, but not limited to, clean, undamaged and complete (“Stock Balance Condition”). Purchaser may request RGA for the return of Products in Stock Balance Condition within thirty (30) calendar days of invoice date. Upon receipt of the Product for which the RGA was issued, Angelini Pharma Inc. will verify the condition of the Product. Purchaser will be charged a restocking fee of 20% of the value of the returned Products in Stock Balance Condition. Any Products that are not in Stock Balance Condition will be considered Overgoods. Upon verification that the returned Products is in Stock Balance Condition, Angelini Pharma Inc. will issue a credit to Purchaser. If Angelini Pharma Inc. elects to restore returned Product to Stock Balance Condition instead of returning it to Purchaser, the credit to Purchaser will be net of Angelini Pharma Inc.’s costs to return the Product to Stock Balance Condition. Purchaser shall pay all costs and bear all risks of loss when returning Products to Angelini Pharma Inc.
Damaged Product Returns – Damaged product returns are only for Products purchased from Angelini Pharma Inc. and shipped via Angelini Pharma Inc.’s carrier of choice that are damaged in transit from Angelini Pharma Inc. to the Purchaser. Purchaser shall refuse any Product delivered in damaged condition. If Product is received in damaged condition, Purchaser shall notify Angelini Pharma Inc. and request an RGA within three (3) business days of receipt of such Product. Failure to notify Angelini Pharma Inc. and request an RGA within such time shall be deemed an acceptance of the Product as of the date of shipment.
