MATERIALS YOU PROVIDE TO US

For materials and data you upload onto the AdMarketingPros.com platform or otherwise provide to AdMarketingPros.com (a "Submission"), you grant AdMarketingPros.com permission to (1) use, copy, distribute, transmit, publicly display, reproduce, edit, modify, translate and reformat your Submission, and (2) sublicense these rights, to the maximum extent permitted by applicable law. AdMarketingPros.com may remove your Submission at any time. AdMarketingPros.com does not take responsibility for any content posted or uploaded onto the website. The responsibility vests in the person posting the data.For each Submission, you represent that you have all rights necessary to use the content for advertising purposes.

COPYRIGHT, RIGHT OF USE OF CONTENTS

Copyrights, or other rights of third parties, which are accessed via AdMarketingPros.com, remain with the respective holder of the rights and are protected accordingly. You are only entitled to produce a few copies of the content, provided that these copies are only intended for personal use and provided that all references to the property rights and their contents continue to exist.You agree to not submit material that is copyrighted, unless you are the copyright owner or have the permission of the copyright owner; to not submit material that reveals trade secrets, unless you own them or have the permission of the owner;to not submit material that infringes on intellectual property rights of others or on the privacy or publicity rights of others; to not submit material that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to any other person or entity; to not submit material that contains viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information.

COMPENSATION and ACCOUNT BALANCE

You agree to pay a Media Buying fee in the amount equal to the percentage of the gross charges levied by media for advertising placed by us pursuant to this Agreement; such percentage being written into the attached Insertion Order which is incorporated into this Agreement by reference, in its entirety. Prepayment for all media, media buying fees, and other services noted on the attached Insertion Order shall be made by bank wire, or credit card, as agreed upon by both parties. You will receive an itemized statement of services and fees charged against the balance of your account. Any rate or billing adjustments shall be credited or charged on the next regular statement date or as soon as otherwise practical.

TERM and TERMINATION

The initial term of this Agreement shall be for thirty (30) days from the campaign Starting Date. If both parties agree, this agreement shall automatically renew for successive ninety (90) dayperiods. Either party may cancel this Agreement by giving the other party a written 48-hour notice. Upon termination, we will use our best efforts to halt or discontinue any ongoing media buys. A reconciliation of all charges shall be provided within thirty (30) days of termination, whereupon your remaining balance shall be remitted in a timely and expeditious manner as agreed upon by both parties.

INDEMNIFICATION

You understand and agree that you will indemnify, defend and hold us and our affiliates harmless with respect to any claims, loss, liability, damage or judgment, claim and expense, including reasonable attorney's fees, arising from your use of our website or your violation of these terms and conditions.

FINAL AGREEMENT

This Agreement represents the final agreement between both parties, and terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement shall be construed and enforced in accordance with the laws of the state of California and may not be modified except by a further writing that is duly executed by both parties.

AGREEMENT ACCEPTANCE:
Each of the undersigned agrees to the terms of this proposal effective as of the last date signed below. Each person
who signs below represents that he/she is duly authorized to sign on behalf of the Company. This Proposal shall be
binding upon execution by both parties and when delivered to the other party (which may be by fax transmission).
