9.  TERMS AND CONDITIONS

a.  The Presenter hereby grants The Company the rights to broadcast the material obtained from his performance for the purpose of the production on ______channel on ______dates at ______times.

b.  The Presenter warrants that she has the right to enter into this agreement without restraint, restriction or limitation, and that his performance does not infringe copyright and/or contract in the Republic of South Africa.

c.  The Presenter agrees that he shall appear and make himself available at such places, times and days that The Company shall specify for filming or related work as may be required for the completion of the production mentioned herein. Refer to enclosed shoot/production schedule for full details and dates. A callsheet will be provided no later than 48 hours before the shoot.

d.  The Presenter specifically acknowledges and agrees that save and except for legitimate illness, Acts of God or other matters beyond the control of the Presenter, the Presenter will at all times comply with The Company’s requests with regard to performance and times.

e.  Notwithstanding clause 12 above, breach applies if the Presenter breaches any terms in this agreement or the Presenter is absent from any scheduled performances, rehearsal or other attendance by reason other than illness or accident. The Company shall be entitled to terminate this agreement immediately without prejudice to any rights to damages which may result there from.

f.  It is the Presenter’s responsibility to get to a scheduled shoot (or an agreed central point for collection) for all shoots scheduled within Johannesburg.

g.  If the Presenter is required to perform at a location or studio which is more than sixty five (65) kilometres from the city closest to the Presenters place of residence, the Company undertakes to provide the Presenter with transport from the call or pick-up point to the location or studio or vice versa.

h.  If the Presenter is only returned to the pick-up point or call point after 19H00, the Company shall provide transport, at its own cost, to the place of residence of the Presenter.

i.  If the Company requires the Presenter to remain on location overnight, the Company shall provide the Presenter with reasonable single room accommodation and subsistence. All telephone bills, bar bills and room service bills are for the Presenter’s account.

j.  A call comprises ten (10) consecutive hours including make-up and wardrobe, meal and tea breaks, commencing at the time and place fixed by the Company and ending when the Presenter is released at the time and place agreed. If the location is further than sixty five (65) kilometres from the call point, travel time shall be included in the call.

k.  Cancellation fees will be applicable where a minimum amount of shoots/episodes have been agreed to/or:

i.  where a confirmed performance date is postponed to a date that the artist is not available (cancellation in case of replacement of the Presenter should be negotiated)

ii. 50 % cancellation fee is payable should a booking be cancelled within five working days prior to the engagement.

iii.  75% cancellation fee is payable should a booking be cancelled seventy two hours prior to the engagement

iv.  100% cancellation fee is payable should a booking be cancelled twenty four hours prior to the engagement

v. should shoots/episodes be cancelled during a run and no minimum guarantee is in place, the Presenter will be paid for work done to date of cancellation and a cancellation fee will be negotiated between the Company and the Presenter’s agent.

l.  The Presenter shall be afforded reasonable meal and tea breaks and the Company undertakes to provide the Performer with reasonable meals and refreshments during the shoot.

m.  If the Presenter is required to work more than ten (10) consecutive hours, the Presenter will be paid for the excess hours up to a maximum of sixteen (16) hours in any twenty four (24) hour period. Such overtime will be at 50% of the call rate for the first two hours, and at 100% of the call rate for up to 6 hours. Should unusual circumstances require the Presenter to work beyond 16 hours, this will be specifically subject to the Performer’s consent.

n.  There shall be a break of not less than ten (10) hours between the end of one call and the commencement of the next, unless the Presenter otherwise agrees.

o.  The Presenter may be required to attend wig / wardrobe fitting or a rehearsal of a maximum of 2 hours on a day other than the period of engagement, subject to the Presenter’s professional availability. Should the Presenter be required for longer period or on another day, it will be at a fee to be negotiated with the Agent.

p.  All costumes, make-up, scripts and properties will be provided by the Company at the Company’s cost. Should the Company request that the Presenter supplies his own wardrobe, it would be at a mutually agreed fee, payable to the Presenter directly.

q.  The Company will, at his cost, clean all costumes worn by the Presenter and maintain them suitably for the duration of the performance. Where the Presenter has supplied his own wardrobe, the Company undertakes to replace any such garments that may be damaged as a result of the Presenter fulfilling his obligations in terms of this agreement, at the then current market replacement cost of such garments.

r.  In the event of the Presenter being required to perform under wet or other conditions of extreme discomfort, such conditions being necessary in order to achieve the performance required and not resulting from unforeseen weather conditions, the Presenter shall be notified in advance and shall be provided with adequate facilities for drying or to alleviate such discomfort.

s.  Any studio voice-overs to be charged at the Standard PMA Voice Rates as amended from time to time.

t.  It is agreed that the Presenter has the right to refuse any dangerous performance, unless he has specifically contracted to undertake such performance and this has been detailed in the section set aside for SPECIAL PROVISIONS, and that The Company, its employees or representatives can be held responsible for injury or loss of property of whatever nature in such performance. Should the Presenter elect to perform an act considered dangerous by both parties, The Company has the right to refuse such act or to waive the responsibility for injury or loss of property of whatever nature in such performance.

u.  Where the Presenter will be required to shoot in dangerous areas or places where there is unrest, the Company will ensure that appropriate security measures are taken.

v.  The Company will provide the Presenter with appropriate insurance, or details as to the insurance and attach it to this agreement as Annexure B.

w.  In the event that the Company has no insurance the Presenter has to be informed in advance and retains the right of refusal and renegotiation of this agreement.

x.  The Presenter agrees to keep all information confidential. All information about the production and its clients is confidential, no information may be used by the Presenter outside of the production referred to in this agreement.
