Constitution of MECA Performing and Visual Arts

Article I

Name of Organization

Section 1. The name of this organization isMECA Performing and Visual Arts.

Article II

Purpose

Section 1.MECA Performing and Visual Arts, founded on the basis of promoting cultural diversity and community service through dance and performing - visual arts. We provide workshops consistent and relevant to the arts. We work towards partnering with various groups,institutions, organizations, foundations, and corporations thatbetter serve our purpose. In general, it is our hopes that through dance and performing - visual arts we may provide an environment that will promote growth within the student and their community.

Article III

Membership

Section 1. Membership: Anyone who is interested in community service, education, performing and visual arts, and cultural diversity is eligible for membership.

Section 2. Active Membership: Members who are active in our various programs,activities, and productions will be recognized for their contributions, further be eligible for the various benefits associated with active membership.

Section 3. Active Research Membership: This applies to members who are involved in aninternship to further their education. However these internships have various requirements. Members who qualify will be recognized and be considered an Active Research Member.

Section 4. Honorary Membership: Anyone who contributes in the prosperity of our efforts will be considered at our discretion honorary members.

Section 5. Role: Based upon membership the degree of commitment varies, however every member plays a part in the growth of the organization and its cause. Each member has a genuine interest in culture, education, and community, an interest in others.

Section 6. Dues: Will be decided by the Executive Council of the various branches and approved by the Executive Board of the STUDENTdirect Charitable Foundation. In general, dues will be by semester or bi-yearly depending upon membership.

Article IV

Officers

Section 1. Role of the Executive Council: To administer and structure the organizationat the branch level. Executive Council will conduct and supervise the daily activities.

Section 2. Executive Council consists of students who will serve as President, Vice-President, Secretary, Treasurer, and ( ) Representative. President with the consensus of the board may create positions, to furthergrowth. The board will delegate, manage, and organizeactivities regarding specifically to their branch. The Executive Council willcollaborate with other groups and will administer programs in service to thecommunity. The board is approved by the MECA Performing and Visual Arts Program Director.

Section 3. Executive Council will conduct bi-monthly meetings, weekly board meetings, and on a need to basis committee meetings.

Section 4. Election and tenure: Executive Council will be appointed and approved upon the consensus of the majority of the Appointment Committee. Appointment Committee will consist of the MECA Performing and Visual Arts Program Director, Executive Council President, and the Board of Advisors.

Section 5. Advisors: Professors or Administrative staff at the institution who are willing to directly supervise the activities of the branch/chapter maintained by students.

Section 6. Term of office: Officers will serve semester terms unless they are removed from office, resign, or appointed to serve another semester.

Article V

Duties of Executive Council

Section 1. The President shall represent the organization at the institution established upon. The President works with various groups, signs off documents, and has numerous responsibilities associated with position. The President will supervise the action of the board.

Section 2. The President represents the branch as a representative of the STUDENTdirect Charitable Foundation, incorporated, a non-profit corporation.

Section 3. Duties of the Vice-President: The Vice-Presidentwill assist the President and other board members in their responsibilities. The VP will network with various groups and attend workshops to understand the nature of the organization.

Section 4. Representative: Rep. represents organization branch at the specific institution founded upon. Representative acts as a contact betweenthe organization and institution,

networks with various groups, and recruitsparticipants for various activities. Unofficial Spokesperson.

Section 5. Secretary: The secretary records what is discussed at meetings, manages email accounts, forwards agendas and reports to various committees, and assists members of the Executive Council with their responsibilities. The secretary is responsible for maintaining all records.

Section 6. Treasurer: The Treasurer deals with the finances of the organization’s branch. The Treasurer works with various committees and businesses to increase funds. The Treasurer, signs off all requisition forms, and is responsible for all business transactions.

Article VI

Meetings

Section 1. Regular Meetings: Meetings will be bi-monthly at an agreed place and time.

Section 2. Special Meetings: Special meetings of the Officers may be called by the President, Vice-President, or any two (2) Officers.

Section 3. Notice: Notice of the time and place of each special meeting of the Officersshall be given to each officer at least Three (3) days before the meeting.

Section 4. Board Meetings: Will be held weekly at an agreed time and place.

Section 5. Manner of Acting: The act of a majority of the Officers present at a meeting atwhich a quorum is present is the act of the Officers, unless the act of a greaternumber is required by the Constitution.

Section 6. Proxies: At any meeting of the Officers, an Officer may vote by proxy. Proxiesconstitute a write-in ballot or e-mail.

Article VII

Order of Business

Section 1. Order of Business: At a regular meeting, the following order of business of this program, shall be observed and conducted in accordance to Roberts Rule of Order.

Article VIII

Committees

Section 1. The board may create committees as needed, however there shall be threestanding committees: Executive, Finance, and Publicity. TheBoard Chair appoints all committee chairs. Committee chairs must be members of the Executive Council.

Article IX

Finances

Section 1. Checks, Drafts, or Orders for Payment: All Checks, drafts, or order for payments of money, notes, or other evidences of indebtedness issued in the name of MECA Performing and Visual Arts shall be signed by such Officers, agent or agents of the organization and in such manner as shall from time to time be determined by resolution of the Executive Board. In the absence of such determination by the Board, such instruments shall be signed by the Treasurer and countersigned by the President and Advisor.

Section 2. Deposits: Funds of the organization shall be deposited from time to time to the account established by institution (student club account).

Section 3. Records: Records of all financial transactions will be kept by the Treasurer and submitted to the Secretary, President, Advisor(s), and Program Director.

Article X

Discipline and Expulsion of Members

Section 1. Any Officer may be removed from office at any time for actions that aredeemed detrimental to the organization. Removal shall be by affirmative vote of two-thirds (2/3) of the officers at a regular monthly meeting.

Section 2. Vacancies: The remaining Officer(s) may, by the vote of a majority of theirnumber, fill any Officer vacancy for the unexpired term.

Section 3. Probation: Members who are disorderly will be reviewed by the Executive Council and the Board of Advisors. Upon consensus a disorderly member will be put on probation. During this time period the board will work with the “disorderly member” for improvement of behavior, however if there is no progress member will be reviewed for termination. Upon consensus member will be terminated.

Section 4. Reinstatement: Members who were once terminated will be reinstated only at the discretion of the Executive Council and the Board of Advisors.

Section 5. Probation of Officers: Officers will go through the same process as any member would, however officers will be reviewed by the Program Director and Chief Executive Officer. At the discretion of the Program Director and C.E.O., officers may be removed, placed under probation, terminated, or reinstated.

Article XI

Certifications of Membership

Section 1. Issuance of the Certificates: When a member has been elected to membership and has paid any initiation fee and dues that may then be required, a certificate of membership may be issued in his/her name and delivered to him/her by the Administration.

Article XII

Appeal procedure

Section 1. Right of Appeal: Any decision of the STUDENTdirect Charitable Foundation, and or the Administration, meeting officially, by which a member, and or a organization feels it is aggrieved, must first be appealed to the STUDENTdirect Charitable Foundation administration before being appealed to the Review of the Executive Board. If appealed, such appeal shall be heard de novo.

Section 2. Appeal Procedure: If aggrieved by the determination of the STUDENTdirect Charitable Foundation, Incorporated, Non-Profit Corporation, the member, and or organization have right to appeal that decision to Review of the STUDENTdirect Charitable Foundation. Such a letter shall be initiated by a letter from the organization to the STUDENTdirect Charitable Foundation, to review of the Executive Board. Such a letter of request for appeal must be postmarked within five (5) days of notification of the decision from the STUDENTdirect Charitable Foundation to be deemed timely. Failure to appeal within the time specified is a waiver of any right of appeal.

Section 3. New Evidence: New evidence will not be allowed unless not in existence at the time of the decision by the STUDENTdirect Charitable Foundation Executive Board, or which, although in existence at the time was not discovered, although due diligence was exercised.

Article XIII

Amendments

Section 1. Power of the Executive Council to amend Regulations: The regulations of this organization may be amended, repealed, or added to, or new regulations may be adopted by affirmative vote of two-thirds (2/3) of the voting Executive Council, in which at least two (2) STUDENTdirect Charitable FoundationExecutives are also present at a regular monthly meeting. Any such amendment or alteration must be presented at one meeting and voted on at a subsequent meeting. Following must be submitted to the Executive Board and upon approval such an action will be executed.
