Bylaws of I-5 Quarter Midget Club

ARTICLE I – PRINCIPAL OFFICE

The principal office for the transmission of business of this organization shall be the address of the President, or at any other location designated from time to time by the Board of Directors.

ARTICLE II – ANNUAL MEETING

The annual meeting of the members shall be held on the third Saturday of September of each year. At said meeting, the members shall nominate officers to be voted on by ballot and elected by the general membership on the third Saturday of October.

ARTICLE III – SPECIAL MEETINGS

Special meetings of the members, for the general purpose whatever, may be called by the President, or by a majority of members of the board of directors, or by any members having the power to vote. All general members may vote. All members must be in good standing and may not be an officer of any other QMA club.

ARTICLE IV – NOTICE OF MEETINGS

All members shall be given a phone call or written notice of all regular meetings. Said phone call shall be made or notice shall be posted at least (5) five days before the date of the meetings. Said notice may be in the form of the club newsletter if published and mailed (5) five days prior to the meeting date.

ARTICLE V – BOARD OF DIRECTORS

Section 1. Powers: All business and affairs of the organization shall be controlled by the board of directors. Membership contact information supplied by the membership shall be used at the discretion of the board of directors by the board of directors for club and business affairs only. The board of directors shall have the power to appoint any committee to be made up of members of the organization who are not Directors.

Section 2. Number of Directors: The number of directors shall be established at (5) five. This consists of (5) five Executive Directors. A special meeting shall be called for the purpose of filling any vacancy that may occur on the board.

Section 3.

  1. Each candidate seeking any position on the Executive Directors Board,

(President, Vice President, Race Director, Secretary, or Treasurer) must

be a member in good standing. Member cannot hold office while in novice year.

  1. Each candidate seeking office must not be an officer in any other QMA club, or nominated for office in any other QMA club.
  2. The candidate declared the winner of an office must receive 51% of the votes cast, otherwise a run-off must be held between the (2) two candidates receiving the most votes.
  3. Whenever a ballot vote is required, the ballot must be approved by the Executive Board and be submitted to the members by mail at least (2) weeks prior to the voting date or brought to the meeting. Write-ins will be allowed.

Section 4. Regular Meetings:

Regular meetings of the Board of Directors shall be held each month at such

time and place as designated by the President.

Section 5. Special Meetings:

Special meetings of the Board of Directors for any purpose shall be called at

any time by the President or by the Secretary of the organization upon the

order of any (2) two members of the Board of Directors. Each and every

Director must be notified of any special meeting.

Section 6. Quorum:

(3) Three members of the Board of Directors shall constitute a quorum for

the transaction of business of the organization at any regular or special

meeting.

Section 7. Compensation:

All Directors of this organization shall donate their services and receive no

compensation of any kind except such expenses as may first be approved

by the Board of Directors as a body.

Section 8. Removal of Directors:

Any Director may be removed from office at any time for cause by a

majority vote of the quorum of the general membership.

ARTICLE VI – THE OFFICERS

Section 1. President:

The membership shall elect from their own number a President of said

organization. The President shall serve as Chairman of all meetings of the

organization in addition to any other duties which this office may require.

Section 2. Vice President:

The membership shall elect from their own number a Vice President

who shall serve as the chairman of all meetings in the absence of the

President. The Vice President will assist the President in the non-racing

Aspects of his office. The Vice President shall supervise: A: publicity,

B: Ways and Means, C: club newsletter, D: show exhibits, E: drivers club

counselor, and F: trophies

Section 3. Race Director:

The membership shall elect from their own number a Race Director

who shall know and enforce all the rules and regulations concerning the

racing programs. The Race Director will assist the President in the racing

aspects of his office. The Race Director will supervise A: Pit Boss, B: Flag

Person, C: Safety Director, D: Tower Coordinator, E: Judges, F: Tech

Coordinator, G: Training Program, and H: Novice Program Coordinator.

The Race Director shall assist all officials under his/her direction to assure

a well organized race program.

Section 4. Secretary:

The membership shall elect from their own number a Secretary of said

organization. The Secretary shall keep full and accurate minutes of all

meetings, both regular and special, of the Board of Directors and of the

membership at large of this organization. The minutes of the meetings

shall be recorded in proper books to be kept for that purpose. The Secretary

shall be available to all committees established by the Board of Directors

as requested.

Section 5. Treasurer:

The membership shall elect from their own number a Treasurer of said

organization. The President, Secretary, and Treasurer shall have full

control of all expenditures made by the organization and the custody of

all funds belonging to the organization. The Treasurer’s management of

the financial affairs of the organization will be subject only to the approval

or ratification of the Board of Directors.

A: All bank accounts shall require (2) two signatures to be legal and can

include the snack bar manager, but one of those signatures must be

that of the Treasurer. All checks are subject to review by the

President and/ or the Board of Directors. No check is to be signed

by (2) two members of the same family.

B: The Treasurer will be directly responsible for collecting membership

dues and any pit fees and any assessments that may be levied.

Section 6. Snack Bar Chairman

The membership shall elect from their own number a Snack Bar Chairman

of said organization. The Snack Bar Chairman shall direct all duties of the

snack bar. This includes organization and procurement of all supplies and

scheduling people to work their assigned shift for support of I-5 QMC.

All monies are to be turned over to the Treasurer, which is a separate office.

Section 7. Tower Coordinator:

The membership shall elect from their own number a Tower Coordinator

of said organization. The Tower Coordinator shall organize and execute the

duties of the tower and have the responsibility to see that QMA scoring

procedures are executed. Duties are to check the sign-in numbers, verify

sign-in cards, supervise scorekeepers, see that the tower is adequately

manned, coordinate race line-ups, and post and record finishes.

ARTICLE VII – PROPERTY AND FUNDS

Section 1. Ownership:

All equipment pertaining to, donated to, or purchased by this organization, or held for this organization, and all funds of said organization from whatsoever source obtained, including receipts from operations, shall be used only for improvement of the property and services of this organization. Upon dissolution, all assets of this organization or the proceeds therefrom shall be reverted to Region 9 for distribution to other clubs in region 9 on an impartial basis.

Section 2. Profits:

No profits or earnings of any kind will be distributed to the members of this organization.

Section 3. Accounting:

All books are to be closed and audited prior to November 1 each year.

Section 4. Use of I-5QMC Name

Any use of I-5 Quarter Midget Club’s name and/ or logo for charity, fund raising, promotional, or any other activity must be approved in advance and acknowledged by the I-5 QMC Board of Directors.

ARTICLE VIII – MEMBERSHIP

Section 1. In General:

Application for membership in this organization shall be open to anyone desiring to assist in furthering the purpose of this organization.

Section 2. Membership Classifications:

General Member: A member who has paid all dues and insurance fees the race season. General members are entitled to vote and are expected to participate in racing events, I-5 QMC meetings, and work parties on a regular basis.

Associate Member: A member who is in good standing with any QMA Association and is not entitled to vote.

Special Membership: Special membership entitles a member to be part of the club and receive a newsletter, but will not be covered by QMA insurance, allowed to handle a car, or be allowed in the racing area. Special members are not entitled to vote.

Section 3. Application for Membership:

Membership must be obtained by written application

Section 4. Dues:

All general members of this organization, including Directors, shall pay dues in the amount of $100.00 per year in order to keep their membership in good standing in I-5 QMC. In addition, the members owning quarter midget racecars must also pay a pit fee before racing said cars.

A: Associate members shall pay dues in the amount of $100.00 per year.

B: All I-5 QMC and QMA dues plus insurance are due no later than January 31 of each year. Late payment is subject to a $25.00 late fee.

Section 5. Voting Rights

All general members are authorized to vote at any regular or special meeting provided they are not an officer, or nominated for office in any other QMA club. A quorum of the general membership shall be 51% of the eligible voting members except as otherwise required or defined in these by-laws or Article of Constitution.

Section 6. Disciplinary Action – Substance Abuse:

The use of non-prescriptive controlled substance by any driver, handler, track official, or sponsor at any race event is totally inconsistent with the purpose and goals of I-5 QMC and is strictly prohibited. Anyone affiliated with the I-5 QMC in any capacity found using or under influence of a non-prescriptive controlled substance, whether at the I-5 QMC track or while representing I-5 QMC at any track or function, will be subject to the following action:

A: Immediate suspension from competitive driving at the club level as well as representing I-5 QMC at any other racing function for a minimum of (30) thirty days.

B: Random urine samples may then be requested by I-5 QMC and must be tested within 24 hours. Failure to perform test will result in immediate permanent suspension.

C: A positive urine test at any time he/ she is an active member of I-5 QMC shall be cause for permanent suspension of all member rights and privileges. The exception to this is the first test until after the initial infraction. A trace positive test will be allowed with written evidence from the testing agency that the cause of the positive results is not recent substance abuse. The next test, to be conducted within (30) thirty days, must be negative.

D: He/ she shall remain a member of I-5 QMC and shall have all member privileges, except competitive racing during the suspension period.

Section 7. Conduct:

The QMA Code of Conduct will be followed at all I-5 QMC events. Anyone using profane or abusive language to another during a race event will be fined $10.00 per word, to be paid to I-5 QMC before the next race event. The driver(s) will not be allowed to sign-in to participate in that race event until such fine is paid.

Section 8. Removal of Members:

I-5 QMC follows QMA Code of Conduct procedures

ARTICLE X – TRACK OFFICIALS

Section 1. General:

There shall be at each race or event by this organization a number of members who shall serve as track officials. These members shall be appointed by the Board of Directors and they shall serve in their respective capacities for a term of (1) one year or until such time as it is necessary to replace any of them and, upon such occurrence, the Board of Directors shall appoint a member to serve the remainder of said term.

Section 2. Power:

Each official shall have full authority to accomplish his/ her respective job as stated in these By-laws. Each track official shall act directly under the Race Director.

Section 3. Flag Person:

The Flag Person shall be a member who is capable and willing to assume the responsibility of this position. He/ she shall handle the flags in such a manner as to ensure a safe, fast, and continuous race and he/ she still have the authority to stop the race or black flag any car in the event of a safetyhazard. Improper startsand driving infractions will be the responsibilities of the Flag Person. The Flag Person will also control cars entering and exiting the track during practice, time trials, and races.

Section 4. Technical Committee:

The Technical Committee shall consist of (3) three members who have the ability and are willing to assume the responsibility of this position. The Technical Committee will be responsible for and have full authority to inspect, in any manner deemed necessary, to determine the legality of any car or engine.

Section 5. Safety Director:

The Safety Director shall be sure that all participants in a race event comply with current QMA, Region 9, and I-5 QMC safety rules and regulations. He/ she shall inspect each car, drivers equipment, and engine (where applicable) prior to that car being signed in for a race event. Any irregularities are to be noted on the safety sheet and remedied prior to that car being allowed to sign in. The Safety Director may be called upon during a race event to ascertain whether a car or driver is still in compliance with safety rules and regulations following a racing incident.

  1. Assistant Safety Director:

The Assistant Safety Director shall serve as assistant to the Safety

Director and, in the absence of the Safety Director, shall serve in

that capacity.

ARTICLE XI – AMENDMENTS

Section 1. Participation:

In order for a novice driver to receive a Year End Participation Award, the driver must have completed drivers training and participated in at least one race sponsored by the I-5 QMC or at the I-5 QMC track during the season. The race season is November 1 to October 31 each year.

  1. In order for a driver to receive year end awards, the driver must participate in at least (6) six of the (8) eight races sponsored by the I-5 QMC during the season, and must be a full or associate member of the I-5 QMC.

ARTICLE XII – AMENDMENTS

Section 1. These by-laws may be amended, revised, or repealed in the following manner:

Said amendment(s), revision(s), or repeal shall first be presented to the Board of Directors. Said amendment(s), revision(s), or repeal shall then be discussed by the Board of Directors in a regular meeting and, after final discussion has been completed, the amendment(s), revision(s), or repeal shall then be placed on the table until the next regular meeting of the General Membership, be put to vote, and upon affirmative vote by (2/3) two-thirds of the General Membership, shall then be considered a part of these by-laws. If (2/3) two-thirds of the General Membership is not available after (2) two regular meeting attempts, the Board of Directors will then poll the General Membership by ballot.
