AGREEMENT OF COOPERATION

between

CROATIAN CHAMBER OF ECONOMY

and

VICTORIAN CROATIAN CHAMBER OF COMMERCE

Victorian Croatian Chamber of Commerce represented byMr.Vinko Sikic, Presidentand theCroatianChamber of Economy, represented by Mr.Luka Burilović, President (hereinafter referred to as the "Parties") in an effortto further deepentrade and economic relations, inthe framework of existinglegislationin the Commonwealth of Australiaand the Republic ofCroatia,accede to this Agreementon friendly cooperationand mutualbenefit with the aimto developbilateral cooperationbetween the Parties.

Representatives ofbothPartiesbelieve thatthe establishment ofa permanentandencouraging cooperationbetween companies andother entities inthe Republic of Croatiaand the Commonwealth of Australiawill greatlycontribute to theimprovement of mutualbilateral business and economic relations.

Parties agree thatwith the aim to strengthenand developbilateraleconomic cooperationbetween theAustralianandCroatianorganizations, both Parties will enter intothe following Agreement:

Article 1

The Parties within their jurisdiction have a common purpose to focus on theactivitiesof promoting andexpandingtrade andinvestmentbetween the Croatianand Australiancompanies.

Article 2

The Parties agreethat they will, in theframework of their jurisdiction, take measuresfor the activationandimprovementof economic cooperationbetween theAustralianandCroatianeconomic entities-membersof both Parties.

Article 3

The Parties will exchangeeconomic and statistical informationas well asinformation on businessand investment opportunitiesof membersof both Partiesin order to establishcontacts andthe implementationof joint projects.

Article 4

The Partieswill supportregular contactsandtake necessaryactionsto improvetrade and economic relations andmutually assist in the establishmentof contactsbetween companies fromthe Republic of Croatiaand theCommonwealth of Australia.

Article 5

The Parties willsupport theremoval ofbarriersthat preventthe development of tradeand business,hencethebarrierswill be identified andattention will be drawn to point out the appropriate solutions.

Article 6

For the benefitof their members the Parties agreethatthey willmutuallyprovide to each otherinformationabout the currentlegislationof the signatory countries, the applicablelawandregulations, and other activitiesthat are ofinterest and benefittoboth Parties.

Article 7

The Parties willinitiate exchange of business delegations, individual visits of representativesof respective business communities and when necessary business forums will be held.

Article 8

The Partieswill initiate and, depending on the interest of their members, organize their participation in trade fairs, exhibitions, conferences,seminars andother similarevents,which take placein countriessignatory to thisAgreement.

Article 9

Regarding the practical implementation ofthe Articles of thisAgreement, in case of new circumstances that require the correction of the existing Articles or in case of adding new Articles to the Agreement, the Parties can review the Agreement for possible changes.In case of changes, afterParties agree on possible changes, the same will come in force with the Annexof the Agreement thatcan be changed or supplemented at any time.

Article 10

This Agreement is concludedfor an indefinite periodandwill come into forceat the moment ofits signingby both Parties.The partiesreserve the right toearly terminationof the Agreementwith the priorconsultation andwritten noticeto the other Partyregarding theterminationof the Agreement.In the eventof termination of thisAgreement, anyactivity thatis underwaywill be completedin accordancewith the

terms ofthe Agreement.The Parties agreethat this Agreementrepresentsthebilateral cooperationbetweenParties involved andhas no legal effect against third parties.

Article 11

This Agreement is drawn up in English language in two original copies. Each of the copies has the same legal force. After signing the Agreement, each party retains a copy of the same.
