Adeso is a charity registered in England and Wales. The Board of Trustees is legally responsible for all the activities that theorganisation undertakes. Adeso is subject to the provisions of the Charities Acts, and like many other charities in the UK is also a companylimited by guarantee, and so Adeso also complies with the requirements of the Companies Acts 1985 and 2006.

The governing body of Adeso is the Board of Trustees, which meets approximatelyfour times a year. The Trustees are all unpaid volunteers whoare responsible for ensuring that Adeso abides by its charitable aims and works within the law and to ensure that Adeso delivers its missioneffectively by overseeing the overall policies and objectives of Adeso and ensuring that the work of the organisation is monitored andevaluated effectively. Trustees are entitled to claim expenses in relation to their duties.

There may be a maximum of fifteen Trustees at any one time, who are appointed for a three-year term, with the possibility of re-appointment for asecond term of three years. After serving two consecutive terms of three years, Trustees must stand down for a period of at least one year beforethey are eligible for re-appointment.

The Board is led by the Chair of Trustees, and one Trustee is also appointed as Treasurer.

Role Description

Responsibilities of a Trustee.

  • To contribute actively to The Board of Trustees in giving strategic direction to the organisation.
  • To ensure that the organisation complies with its governing document, charity and company law and any other relevantlegislation or regulations
  • To ensure that the organisation pursues its objectives as defined in the governing documents
  • To safeguard the good name and values of the charity
  • To ensure the effective and efficient administration of the organisation
  • To ensure the financial stability of the organisation
  • To protect the charity’s resources and to ensure the proper investment of the charity’s funds
  • To attend Board of Trustee meetings as appropriate

Person Specification

Essential

• A commitment to, and understanding of, the activities of Adeso

• Sound intellectual and judgmental skills, experience of strategic decision-making, and the ability to operate effectively atBoard level or equivalent.

• Strong communication skills and the ability to act as an ambassador for Adeso to people of all backgrounds and to engage inprofile raising, and to be an articulate and enthusiastic exponent of our strengths

• A strong track record of distinguished achievement in his or her chosen field – in the public, private, academic or voluntarysectors

• An interest in and passion for Humanitarian and development issues in African the in local communities resource-led development.

• A keen interest in, and ability to connect strongly with, Adeso’s mission and values.

• Able to demonstrate tact and diplomacy towards fellow Trustees, The Executive Director and staff

• Willingness and ability to devote the necessary time and effort to Trustee duties

• In addition to these essential experience and skills the new Trustees will bring specialist knowledge in one of the followingareas:

Desirable

• Knowledge of African development and humanitarian aid issues.

• International development knowledge and experience (gained in the NGO or private sector, business or academia – in both the domestic andinternational arena

• Corporate and NGO governance (in both the domestic and international arena)

• Fundraising, marketing and communications with knowledge of social media

• Advocacy skills and an awareness of relevant political processes

• Familiarity with legal and governance issues

• Experience of Board or committee membership in a charitable, public sector or commercial organisation

• An understanding of governance issues in the charity sector

• Good financial and business acumen

• Experience of the voluntary sector

• Knowledge of the Government sectors and international/foreign development policy

• Understanding of foreign aid in African tees, WWF - UK

• Experience of formulating effective organisational objectives and strategies

• Good, independent judgement, familiar with giving respected advice at Board level

• Strategic awareness combined with a proven track record of being able to process detail and get to the heart of an issue.

Terms and Conditions

TIME REQUIREMENTS

• The candidate must be able and willing to commit to a 3 year term

• The time commitment for the role is expected to be one day per month. This will include attendance at four Boardmeetings per year

This role is not remunerated; however reasonable expenses will be reimbursed.
