The implementation of terms of present Lease Agreement shall be subject to suitability and acceptance of demised premises for storage & warehousing purpose. If the demised premises does not qualify Lessee’s requirement & other eligibility criteria for Storage & warehousing purpose, the Agreement shall automatically cease to exist.

Annexure -1

  1. The Lessor represents to the Lessee as under :

a)That they have complied with all the laws for the time being force, which are applicable to the demised premises

b)That they have paid all outgoings upto date.

c)That no proceeding are pending against the demised premises or any part thereof.

d) That no proceedings under the Land Acquisition Act, Land Requisition Act, Municipal Corporation Act, or under any other acts or enactments have commenced or are in progress in respect of the demised premises.

e)That no proceedings under the Indian Income Tax Act, 1992 or the Income Tax Act, 1961 or Wealth Tax Act or any other Acts relating to the taxes for the time being in force are pending in respect of the demised premises.

f)That the demised premises is not subject to any easement or quasi –easement or any other covenants or conditions adversely affecting the demised premises or any restrictive burdensome covenant whereby the demised premises or any party thereof could not be developed or constructed;

g)That the demised premises is not subject to any mortgage, lien, charge, statutory or otherwise or judgment or Government debts either before or after judgment in any court or before any authority whatsoever.

h)That they have good, clear and marketable title in respect of the demised premises is free from all encumbrances, claims, demands and doubts.

i)That they have got valid and absolute right, full power and absolute authority to grant lease as herein.

j)That no notice or requisition or intimation under any Act whatsoever for acquisition or requisition or reservation of the demised premises or any part thereof for any public purpose has been served or received by them.

k)That prior to execution of present document, they have not entered into any negotiation with any third party in respect of the aforesaid demised premises, save and except the present Lease Agreement herein.

l)By virtue of present Agreement, the Lessee shall be absolutely entitled to use the demised premises of its own use, to sub-let, to licence, to sub-lease (to its clients) and or/ otherwise deal with the same in the manner as beneficial to them and as it may deems fit and proper, without any interference or objection from the Lessor and on such terms

  1. The Lessor further represents and warrants that on acceptance of the demised premises suitable to Lessee’s requirement and the Lessor’s obligation shall be as under :
  1. To Keep the Demised Premises insured against all losses or damage by fire, earthquake or any other natural calamity during the tenure of Lease.
  2. To allow Lessee to make additions, alterations or modifications wherever necessary for their business, subject to necessary consent having been obtained from the relevant authorities if such consent is necessary.
  3. To extend all co-operations and make all possible efforts to help the Lessee in obtaining such consent from the authorities.
  4. To allow the Lessee to put up any partitions, sign boards, air-conditioning units or put up any electrical or other fixtures and fittings as may be required.
  5. To pay municipal taxes and other statutory charges in time.
  6. To bear cost of all major upkeep, maintenance and repairs necessitated to the demised premises by any reason whatsoever and to keep the Demised Premises in good and tenable condition (including painting, plastering etc).
  7. To ensure proper safety and security measures for the demised premises (including insurance).
  1. The Lessee hereby covenants to Lessor as under:

a)to pay rent regularly without default.

b)to carry out any addition or alterations in the Demised Premises with prior written consent from the LESSOR.

c)to use and enjoy Demised Premises substantially in the same condition in which they shall exist today subject to normal wear and tear.

d)to take out appropriate insurance of the stock in warehouse.

e)to attend to all minor maintenance repairs etc

f)to pay electricity and water charges as per consumption and usage.

g)to hand over vacant and peaceful possession of the demised premises on expiry of this Lease Agreement

h)to use the premises in reasonable manner and shall not cause damage to the walls, partitions, flooring and ceiling of the premises.

i)to observe the entry and exit time.

j)not to cause nuisance to the neighbouring premises.

k)to bear all cost of loading and unloading of the stocks.

  1. Indemnity

The Lessor shall indemnify and keep Lessee indemnified against all cost, damage and loss accrued by reason of any breach / fault of the Lessor and by reason of which the terms of the agreement cannot be implemented or effected.

  1. Termination

a)In case any breach of any terms of this agreement is committed by any party to this agreement, the party against whom the breach has been committed may terminate this agreement with immediate effect.

b)Notwithstanding what has been stated above, either party to the agreement shall have right to terminate the agreement by giving ______months notice.

c)Any termination of the agreement shall not affect any accrued rights or liabilities of either party nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.

  1. Entire agreement:

The parties hereto acknowledge, declare and confirm that this agreement represents the entire agreement between them regarding the subject matter hereof and no alterations, additions or modification hereto shall be valid and binding unless the same are reduced in writing and signed by both the parties. This agreement shall supersede all prior understandings, writings, etc. arrived at in respect of the same.

  1. Waiver

Any relaxation or indulgence granted or shown to either party by the other party shall not in any way prejudice the right of either party under this agreement nor shall any waiver of any single breach by either party operate as the waiver of any subsequent breach and not in any way add, alter, amend or vary this agreement or part thereof.

  1. Notice

Any notice sent under this agreement to other party shall be deemed to be validly served if sent by Registered A.D. Post or Hand delivery duly acknowledged at the respective address of the parties.
