SUPPLEMENTAL TERMS AND CONDITIONS

ACADEMIC INSTITUTIONS

Siemens PLM offers certain Software on an annual license basis to eligible academic institutions, subject to the following supplemental terms and conditions. If there are any conflicts between this Schedule and the Agreement, the terms of this Schedule will take precedence.

1.Training Course Materials. Training course materials provided to Customer are licensed under the same terms and conditions as the Software to which they apply.

2.Software Licenses. The Software provided to Customer is licensed on a "term" basis. The initial term of such license will extend for a period of one year following the first day of the month immediately following the date of shipment to Customer and will automatically renew thereafter on an annual basis. Either party may terminate such license by providing the other party with at least 60 days written notice prior to the expiration of the then current term. This Agreement will terminate automatically if Customer discontinues use of the Software as part of its standard offered classroom curriculum.

Customer will limit use of the Software to Authorized Users solely for purposes directly related to teaching, training, degree-granting programs, and research and development that are part of the instructional functions performed by Customer. Siemens PLM expressly prohibits use of the Software for (i) any training, or instructional endeavors for non-degree seeking students; (ii) any training or instructional endeavors for any third party that may be a licensee of the Software under separate agreement with Siemens PLM; (iii) any commercial purpose, including but not limited to, commercial processing, paid-for consulting, or processing the work of any affiliates; and (iv) developing software for sale or license. As used herein, "Authorized Users" includes Customer faculty, staff members, students and graduate assistants.

3.Software Maintenance. The first paragraph of Section5 of ScheduleB, and ScheduleC in its entirety, are not applicable to Customer. Siemens PLM will provide Software Maintenance to Customer, but not individual Authorized Users, between the hours of 8:00 a.m. and 5:00 p.m. in local time zones of the contiguous United States, Monday through Friday, excluding Siemens PLM observed holidays. Customer will designate a knowledgeable full-time staff representative who will serve as a focal point for administering and resolving all Customer requests for Software Maintenance. Such individual will use best efforts to solve Customer problems or issues related to the Software prior to contacting Siemens PLM for assistance. This individual will forward all service requests to Siemens PLM and will also serve as the recipient of all site-wide Siemens PLM Software Maintenance.

Maintenance Service is provided only for the most current release of the Software when installed on the type of computer and with the operating system for which the Software was designed to operate and consists of the following:

(i)telephone support line service which consists of support requests answered by Siemens PLM technical support personnel for the Software specific technical needs and problems;

(ii)bulletin board service which will allow Customer to electronically log Software support requests and access release notes and Software information; and

(iii)upgrades to the Software, if and when made available by Siemens PLM. Upgrades will not include separate Software modules that are available for license at additional charge. Customer agrees to install all Software updates received from Siemens PLM within 30 days after receipt thereof, or at the end of Customer's current semester, whichever is later.

4.Additional Customer Obligations. Customer agrees to the following performance obligations at no charge to Siemens PLM:

(i)As a condition precedent to use by Authorized Users on personal or home computers, Customer will have the Authorized Users sign Siemens PLM’s standard Academic Single User Agreement. Customer will keep the signed Academic Single User Agreements on file and provide them to Siemens PLM at Siemens PLM's request.

(ii)Customer will use the Software as part of its standard offered curriculum in a course(s) offered at least once per academic year.

(iii)Customer will obtain advance written approval from Siemens PLM for all documents intended for publication by Customer which concern the capability, functionality and/or methodology of the Software.

(iv)All software programs and associated documentation developed by Authorized Users which interact and/or interface with the Software will be disclosed to Siemens PLM. Such programs and documentation will be made available to Siemens PLM in source code form, if so requested. Customer grants to Siemens PLM a nonexclusive, transferable, paid-up, royalty free license to use and/or market, distribute and modify any such software program, to the extent that this provision does not conflict with any pre-existing processing grant or contract applicable to such software and documentation. Where such pre-existing Customer grant or contract conflicts with this provision, the pre-existing grant or contract provision will take precedence over this provision provided that Siemens PLM is notified of such grant or contract restriction.

5.Solid Edge® Terms and Conditions. The following additional special terms and conditions apply to Solid Edge:

(i)Solid Edge is prepackaged and licensed under the terms of the associated Solid Edge on-line agreement which may be viewed at as modified by this Schedule. If Customer has licensed Siemens PLM's Unigraphics® and/or I-DEAS® software, Siemens PLM waives the annual fees associated with Solid Edge during the period that Customer has paid Unigraphics and/or I-DEAS annual fees.

(ii)Customer may copy Solid Edge as reasonably required in conjunction with Customer's, and each Authorized User's, permitted use under this Agreement. Customer will retain and reproduce all copyright or proprietary notices in their exact form on all copies (including partial copies) of Solid Edge made by Customer. As between Customer and Siemens PLM, the original and all copies of Solid Edge remain the sole property of Siemens PLM and will be subject to the terms and conditions of Solid Edge on-line agreement as modified by this Schedule.

6.Parasolid® Terms and Conditions. The following additional special terms and conditions apply to Parasolid:

(i)Notwithstanding Section3, Siemens PLM will accept telephone, fax, mail or electronic notification of suspected Parasolid errors identified by Customer during Siemens PLM's standard business hours at its offices in Cambridge, England, except on holidays recognized by Siemens PLM. Customer will verify that data provided to Siemens PLM conforms with any local export laws, regulations, orders or other requirements to which such data is subject prior to providing it to Siemens PLM. If Customer is unable to provide data to Siemens PLM due to export laws and regulations, Siemens PLM will use commercially reasonable efforts to attempt to duplicate the suspected Parasolid error being reported by Customer.

(ii)Notwithstanding Section4, installation, access and use of Parasolid by Authorized Users is restricted solely to Customer's campus facilities.

(iii)Supplementing Section4, Customer will provide Siemens PLM at no cost copies of theses, dissertations and scholarly papers which concern the use of Parasolid insofar as such disclosure does not cause Customer to forgo any applicable patent rights. Siemens PLM may use the information within these documents as it sees fit.

7.D-Cubed Software Terms and Conditions.

The following is applicable to the licensing of D-Cubed products including, but not limited to, the following: 2D Dimensional Constraint Manager (2D DCM), 3D Dimensional Constraint Manager (3D DCM), Collision Detection Manager (CDM), Assembly Engineering Manager (AEM), Profile Geometry Manager (PGM) and Hidden Line Manager (HLM):

(i) Notwithstanding Section 3 of this Schedule, support and maintenance for the D-Cubed products will be provided solely out of Siemens PLM’s D-Cubed facility in CastlePark, CambridgeEngland (the “D-Cubed Facility”) and Customer will correspond solely with the D-Cubed Facility in resolving any issues that arise pursuant to this Section 7. Subject to Siemens PLM’s workload constraints at the D-Cubed Facility, at Siemens PLM’s sole discretion, Siemens PLM will provide telephone, fax, mail and e-mail support and maintenance during Siemens PLM’s standard business hours at the D-Cubed Facility, except on holidays recognized by Siemens PLM in England. Customer will provide Siemens PLM with all data necessary to facilitate the provision of any such support and maintenance. Customer will verify that data provided to Siemens PLM conforms with any local export laws, regulations, orders or other requirements to which such data is subject prior to providing it to Siemens PLM. If Customer is unable to provide data to Siemens PLM due to export laws and regulations Siemens PLM will use commercially reasonable efforts to attempt to duplicate and remedy any suspected errors.

(ii)Notwithstanding Section4 of this Schedule, installation, access and use of D-Cubed products by Authorized Users are restricted solely to Customer's campus facilities.

(iii)Supplementing Section4 of this Schedule, Customer will provide Siemens PLM at no cost copies of theses, dissertations and scholarly papers which concern the use of D-Cubed products insofar as such disclosure does not cause Customer to forgo any applicable patent rights. Siemens PLM may use the information within these documents without restriction.
